① 本届出書の下で行われる本新株予約券証券の付与(以下「本付与」とい
う。)は、エドワーズ・ライフサイエンス・コーポレーション長期株式
奨励報酬制度(以下「本制度」という。)に基づき決定された対象従業
員および契約者に対して行われる。本制度は、2000年3月10日に当社取
締役会により初めて採択され、その後随時当社取締役会により修正さ
れ、直近では2020年5月7日に修正され、本付与は、2023年5月10日に当

② 本制度は、委員会により運営される。委員会は、本制度に定められる条
件に従い、当社の役員、取締役および従業員に対し、運営に関する一定
の義務を委託する権限を有する。委員会に属する委員は、取締役会の裁
量の下その権限を行使し、また取締役会によりいつでも解任され得る。
委員会または本制度の管理者の役割を努めるその被指名人は、本届出書
において、あわせて「委員会」という。
委員会は、本制度に基づき本新株予約権証券を付与される者、本新株予
約権証券の付与対象者・付与条件決定日および当該本新株予約権証券に
係る規定の決定について完全且つ最終的な権限を有する。委員会はま
た、本制度の規定または本制度に基づき付与される本新株予約権証券の
条件の解釈について完全且つ最終的な権限を有する。
取締役会は、本制度の全部または一部を変更、修正、停止または終了す
る権限を有する。更に委員会は、当社の支配権の変更時において、現金
支払いと引き替えに未行使本新株予約権証券を放棄するよう要求する権
限を有する。支配権の変更に関連する新株予約権証券の現金払の場合を
除き、本制度の終了、修正、変更または、本制度に基づき既に付与され
た本新株予約権証券への修正は、かかる本新株予約権証券を保持する参
加者による明示的同意なしに、本制度に基づき既に付与された本新株予
約権証券に対し、悪影響を及ぼす態様で行われないものとする。
取締役会により事前に終了された場合を除き、本制度は、本制度の対象
となる全株式が本制度の規定に基づき購入または取得されるまで、効力
を有するものとする。但し、いかなる場合においても、2026年2月25日
以降は、本制度に基づく報償が付与されることはない。
新株予約権証券数は、発行される証券の最大数を示す。
③ 申込は必要とはしない(新株予約権証券の具体的条件に関する一切の対
象従業員に対する通知は、本届出書による届出の効力が発生することを
条件として、2023年7月1日以降に行われる予定である。)。
④本新株予約権証券は、行使に関する通知書(もしくは当社が指定するそ
の他の形式の通知)を当社に対して交付することで行使される。当該通
知書には、行使されるオプションの対象となる本株式数を記載し、本株
式に関する払込金の全額(または「現金によらない行使」に関する通知
書)を一緒に付す。
⑤ 本新株予約権証券の行使により取得された本株式の保有者は、当該本株
式に関する現金配当金を受領する権利を有する。
⑥ 当社は、現金によらない行使手続を含む準拠する規則・規制に従うこと
を条件に、行使通知書および払込金全額(もしくは「現金によらない行
使」通知書)を受領後可及的速やかに、本新株予約権証券に基づき購入
する本株式の証拠として株券その他を参加者に対して発行および交付せ
しめる。

全額支払われる。 (a)現金または現金等価物、(b)行使時点の行使価格合計

ものである。当社の普通株式は、「EW」という記号のもと、ニューヨーク証券取引所で取引されている。
2. 本新株予約権に基づき、日本の対象従業員および契約者に対して付与される株式の最大数は、42,180株とする。
合計327,600,000の当社普通株式が、本制度(本新株予約権の他、全世界で付与される制限株式、パフォーマンス・ユ
ニットおよびパフォーマンス・シェア等その他の種類の報償を含む。)において認められる複数の奨励報償のために発
行される株式として、その発行を授権された。各年度につき、合計で4百万株だけが、参加者に対する新株予約権の形で

3. 上記価格は2023年5月31日における公正市場価格を基にした見込額である。実際の新株予約権の保持者が本新株予約権に
基づき株式を購入するために支払う価格である「新株予約権の行使時の払込金額」は、付与対象者・付与条件決定日
(2023年7月1日以降、以下同じ)において決定され、また、付与対象者・付与条件決定日における一株あたりの時価の
100パーセント相当額となる。株式の「公正市場価格」とは、当社の普通株式の価値が決定する日、または当該日に報告
される取引がない場合は直前に取引が報告された日におけるNew York Stock Exchange Composite Transactionsに記載
される当社の普通株式の終値である。
「新株予約権の行使時の払込金額」:
1株当たりの行使価格 = 本制度に基づき決定される付与対象者・付与条件決定日現在の「公正市場価格」の100パー
セント相当額(すなわち、当社の普通株式の価値が決定する日、または当該日に報告される取引がない場合は直前に
取引が報告された日におけるNew York Stock Exchange Composite Transactionsに記載される当社の普通株式の終
値)
4. 「新株予約権の行使により株式を発行する場合の株式の発行価額の総額」は、「新株予約権の目的となる株式の数」に
「新株予約権の行使時の払込金額」(84.23ドル(約11,459円))(見込額)を乗じたものと同額とする。
5. 上記「新株予約権の行使により株式を発行する場合の資本組入額」の総額は、(1)額面金額の総額(1.00ドル(136.05
円))および(2)(a)1株当たりの「新株予約権の行使時の払込金額」から(b)額面価格(1.00ドル(136.05円))を減じ
た額である株式払込剰余金の総額として当社の連結貸借対照表に計上される。
6. 本新株予約権は、権利確定期間における一連の分割確定手続を通じて行使可能となる。通常、本新株予約権は、対象と
なる4年の期間中に、当該本新株予約権の保持者の雇用または勤務の継続を条件に、4回の年次毎の分割確定を経て、そ
の権利が確定する。権利確定後の本新株予約権は、付与日から7年間存続する。但し、当該本新株予約権の保持者の雇用
がこれより前に終了した場合はこの限りではない(注8参照)。2023年から、委員会は、付与日現在において本制度の退
職資格基準を満たす従業員に対し、3年の期間中の月次毎の権利確定日程を承認した。実際の行使日程は、委員会により
付与対象者・付与条件決定日において決定される。
更に、支配権の変更(本制度において定義される)が生じた場合には、未行使の本新株予約権は、直ちに権利が確定さ
れ、本新株予約権が業績基準のものでない限り、本新株予約権に基づく株式の100パーセントについて行使可能となる。
当社は、業績基準の新株予約権を付与しない。
7. 本新株予約権の保持者は、その保持する本新株予約権を、かかる新株予約権が行使可能である限りいつでもこれを行使
することができる。但し、かかる行使は、当該本新株予約権の行使期限が終了する以前に行われなければならない。当
該行使期間は、上表6.に記載の通りである。
本新株予約権を行使するに当たり、当該本新株予約権の保持者は、当社に対し、当社が満足する書式で、本新株予約権
に基づき取得される株式数を明記した行使通知を提出するものとする。かかる通知は、取得株式にかかる行使価格およ
び適用される全ての源泉税の支払または、当社が満足する書式での現金によらない行使通知を伴わなければならない。
8. 通常、本新株予約権の行使期間は7年間であるが、一定の条件の下において、これよりも早く行使期限が終了することが
ある。例えば、当該本新株予約権保持者の勤務または雇用が終了した場合、かかる新株予約権保持者は、本新株予約権
を行使する期間を制限される。適用される本新株予約権に係る契約は、当該新株予約権保持者がその雇用または勤務の
終了後に本新株予約権を行使できる期間を定めている。
更に、新株予約権契約において別段の定めがある場合を除き、委員会は、本新株予約権保持者に対し、当社の支配権の
変更時(本制度で定義される)において未行使である本新株予約権を、かかる支配権の変更(本制度で定義される)後
10日以内に現金を支払うことと引き替えに放棄するよう要求する権限を有している。かかる現金の支払いは、本新株予
約権に基づく株式数に、支配権変更日における株式の時価のオプション行使価格を上回る金額を乗じたものと同額とす
る。

9. 本新株予約権保持者は、本新株予約権に関して、一切の株主権を有さないものとする。新株予約権保持者は、同人が本
新株予約権を行使し、当該株式にかかる所有権を獲得するまで、株主権を取得することはできないものとする。
10. 当社の資本に、株式分割、併合、営業譲受、会社分割(スピン・オフを含む)、組織再編、または清算など、一定の変
更が生じた場合、本制度に基づき付与される未行使の本新株予約権の対象となる株式の数および種類ならびに/または
価格、報償に基づき付与され得る株式数に関する制限、および本制度に基づき発行可能な株式数に対し、一定の調整が
なされる。かかる調整は、権利の希薄化または拡大を防ぐため、委員会により、その裁量のもとで行われる。
11. 前述の「新株予約権の目的となる株式の数」(上表)および「新株予約権の行使により株式を発行する場合の株式の発
行価額の総額」(上表)は、本届出書による届出対象となる全ての本新株予約権が行使されるという仮定に基づき算出
された見込数である。

(2) 当社の長期株式奨励報酬制度および米国外従業員向け従業員株式購入制度の条件に従って行われる、日本の対象従業
員に対する当社普通株式に係る新株予約権証券の募集は、デラウェア州一般会社法に違反しない。
(3) 2023年4月21日に提出された外国会社報告書に記載され、本届出書第四部に組み込まれたアメリカ合衆国およびデラ

本株式に係る制限は、2020年6月までの株式分割および株式配当を反映している。
第1条 設立、目的および存続期間
1.1 本制度の設立
デラウェア州の会社であるエドワーズ・ライフサイエンス・コーポレーション(以下「当社」という。)は、2000年4月1日
付で制定された「エドワーズ・ライスサイエンス・コーポレーション長期株式奨励報酬制度」と称する奨励報酬制度(以下、
改訂・再表示後につき「本制度」という。)をここに改訂・再表示するものとする。本制度は、非適格ストック・オプショ
ン、奨励ストック・オプション、制限付株式および制限付株式ユニットの授与を認める。
本制度は、2000年4月1日付(以下「効力発生日」という。)で効力が発生し、第1.3条に定めるとおりまでの間、継続的に有
効とする。
本制度は、2000年7月12日、2002年5月8日、2003年2月20日、2005年2月17日、2006年2月16日、2007年3月6日、2008年2月14
日、2008年3月21日、2009年3月20日および2010年2月11日付で改訂・再表示され、2010年3月23日付で追加改訂され、さらに
2011年2月10日、2011年5月12日、2012年2月16日、2013年2月21日、2014年2月20日付で改訂・再表示され、さらに2014年11月13
日付で追加改訂され、さらに2015年2月19日付、2016年2月25日付、2017年2月23日付および2020年5月7日付で改訂・再表示され
た。
1.2 本制度の目的
本制度の目的は、①当社の目標と一致しかつ参加者の個人的利益および当社株主の利益を関連付ける長期奨励を通じて、当
社の収益性および成長を最大化させること、②参加者に対して優秀な個人業績に対する奨励を提供すること、ならびに③参加
者間の連携を推進することである。
さらに本制度は、当社の成功の多大な貢献者である参加者の勤務を動機付け、勧誘および保持する当社の能力に柔軟性をも
たらすこと、ならびに参加者を当社の成功にあずからせることを意図している。
1.3 本制度の存続期間
本制度は、上記第1.1条に定める効力発生日に開始され、第14条に基づきいつでも本制度を変更もしくは終了できる取締役会
の権利に従うことを条件に、本制度に基づく全ての本株式が本制度の規定に従い購入もしくは取得されるまで有効とする。但
し、2026年2月25日以降は、いかなる場合も本制度に基づく報奨を付与しない。
第2条 定 義
本制度に使用される以下の用語は、以下の意味を有する。また、下記の定義の意味を有する場合、冒頭の文字は大文字で表
記される(訳者注:英語の原文のみ)。
2.1 「報奨」 とは、個別的または総合的に、非適格ストック・オプション、奨励ストック・オプション、制限付株式または制
限付株式ユニットに関する本制度に基づく報奨とする。
2.2 「報奨契約」 とは、本制度に基づき付与される報奨に適用される諸条件および諸規定を定めた当社および各参加者との間
で締結された契約をいう。
2.3 「取締役会」 とは、当社の取締役会をいう。
2.4 当社の 「支配権の変更」 とは、以下のいずれかの事由をいう。
(a) 証券法第13条(d)および第14条(d)に定義される「者」(当社、当社の株主が当社株式の保有割合と実質的に同等の
持分において直接・間接に所有する会社、ならびに当社もしくは同等に持分を保有する当該会社の従業員給付制度
に基づき有価証券を保有する受託者その他を除く。)が、現在もしくは将来、当社の当該時点における発行済有価
証券の全議決権の30%以上に相当する当社の有価証券の直接的もしくは間接的な「実質保有者」(証券法第13d-3
に定義される。)となった場合。

(b) 24ヶ月以内の期間において、当該期間の当初時点につき当社の取締役であった個人、または当該時点における現職
取締役(当該時点当初に取締役であったもしくは従前に同じく3分の2以上の賛成で選任もしくは指名が承認された
取締役とする。)の3分の2以上の賛成票で取締役会に選任もしくは当社株主に指名された新取締役(本第2.4条
(a)、(c)もしくは(d)の取引を行う目的で当社と契約を締結した者により指定された取締役を除く。)が、理由を
問わず取締役会の過半数を下回った場合。
(c) 当社およびその他の事業体との合併または統合が開始された場合。但し、以下を除く。(i) 合併・統合直前におけ
る当社の発行済議決権付有価証券が引き続き、当該合併・統合直後における当社もしくは存続事業体の発行済議決
権付有価証券の議決権総数の60%超を表章する場合(発行済有価証券として存続する場合もしくは存続会社の議決
権付有価証券に転換された場合のいずれかとする。)、または(ii) 当社の資本再編(もしくはその類似目的)を
実施するために合併・統合が行われた場合で、いかなる者も当社の当該時点の発行済有価証券の議決権総数の30%
を超えて保有しない場合。
(d) 当社の株主が、当社の完全な清算もしくは解散の実施計画、または当社の全てもしくは事実上全ての資産を売却も
しくは処分する旨(あるいは同様の効果をもたらす取引)を定めた契約を承認した場合。
2.5 「歳入法」 とは、1986年内国歳入法(随時行う改正を含む。)をいう。
2.6 「委員会」 とは、本制度第3条に定めるとおり、報酬統治委員会または参加者に対する報奨を管理するために取締役会が
任命するその他の委員会をいう。
2.7 「当社」 とは、デラウェア州の会社であるエドワーズ・ライフサイエンス・コーポレーションまたは第17条に定めるその
承継人をいう。
2.8 「請負人」 とは、当社または当社の子会社に業務を提供する個人のうち、当社の従業員または取締役ではない者、および
当社の子会社の取締役のうち、当社の従業員または取締役ではない者、さらにエドワーズ・ライフサイエンス・コーポレー
ション非従業員取締役および顧問株式奨励制度の参加者ではない者をいう。
2.9 「対象従業員」 とは、歳入法第162条(m)またはその承継法基づく規制に定義される「対象従業員」のグループ内に属する
参加者をいう。
2.10 「職務不能」 とは、参加者が準拠する長期的職務不能に関する制度が定める意味、または当該制度がない場合は取締役
会の裁量で決定する意味を有する。
2.11 「効力発生日」 とは、第1.1条に定める意味を有する。
2.12 「従業員」 とは、当社またはその子会社の従業員をいう。当社または子会社に雇用される取締役は、本制度に基づく従
業員として扱われる。
2.13 「証券法」 とは、1934年証券取引法(その後随時行われる改正を含む。)またはその承継法をいう。
2.14 「公正市場価額」 とは、当社の普通株式の価値が決定する日、または当該日に報告される取引がない場合は直前の取引
日におけるNew York Stock Exchange Composite Transactionsに記載される当社の普通株式の終値をいう。
2.15 「奨励ストック・オプション」 または 「ISO」 とは、本制度第6条に基づき付与される本株式を購入するオプションのう
ち奨励ストック・オプションとして指定されかつ歳入法第422条の要件を充足するものをいう。
2.16 「内部者」 とは、当該日付現在、当社の役員、取締役または証券法第12条に基づき登録されている当社の株式のいずれ
かの種類の株式の10%を超えて保有する実質保有者である個人(これらは全て証券法第16条に規定される。)をいう。
2.17 「非適格ストック・オプション」 または 「NQSO」 とは、第6条に基づき付与される本株式を購入するオプションのうち歳
入法第422条の要件を充足する意図がないものをいう。

2.18 「オプション」 とは、第6条に定める奨励ストック・オプションまたは非適格ストック・オプションをいう。
2.19 「オプション価格」 とは、参加者がオプションに基づき本株式を購入できる価格をいう。
2.20 「参加者」 とは、報奨の受領者として選任され、または本制度に基づき付与された未払の報奨を有する従業員または請
負人をいう。
2.21 「業績ベース除外項目」 とは、対象従業員に支払われる報酬に適用される歳入法第162条(m)の税額控除限度額の業績
ベース除外項目をいう。
2.22 「制限期間」 とは、制限付株式の譲渡につき何らかの制限(委員会がその裁量で定める時間の経過、業績目標の達成も
しくはその他の事由の発生をいう。)が課される期間をいい、本株式は、第7条に定めるとおり重大な没収リスクに服する。
2.23 「制限付株式」 とは、本制度第7条に基づき参加者に付与された報奨をいう。
2.24 「制限付株式ユニット」 とは、本制度第8条に基づき参加者に付与された報奨をいう。
2.25 「退職」 とは、適用する報奨契約に別途定める場合を除き、死亡、職務不能もしくは2002年5月8日以降に付与された報
奨については「原因」による場合を除き、55歳以降における従業員の雇用または請負人としての業務の終了をいう。但し、当
社およびバクスター・インターナショナル・インクにおける従業員または請負人としての勤務年数は合計で10年以上とする。
当社およびバクスター・インターナショナル・インクにおける参加者の勤務年数は、従業員もしくは請負人として当初雇用さ
れた日付から当該参加者の雇用もしくは業務終了日までの間における12ヶ月期間の回数によって算出される。バクスター・イ
ンターナショナル・インクでの雇用または業務遂行が当社での雇用または業務遂行の直前になされ、中断なく当社での雇用ま
たは業務遂行へと移行した場合に限り、退職に該当するかを判断する場合においてバクスター・インターナショナル・インク
における雇用期間または業務期間が含められる。適用する報奨契約で別途定める場合を除き、本項の定義において「原因」と
は、(a)参加者が当社もしくは子会社に対する義務の履行を故意に、かつ継続的に怠ること(職務不能による不履行を除く)、
(b)金銭的その他によるかを問わず、参加者が当社もしくは子会社にとって明白かつ多大な有害を及ぼす行為を故意に行う場
合、または、(c)参加者が重罪の有罪判決を受けた場合をいう。「原因」を判断する場合において、参加者の行為または不作為
は、参加者の悪意により、かつ当該行為または不作為が当社または子会社の最善の利益になるという合理的な考えなしに行っ
た行為または不作為でない限り、「故意」とはみなされない。
2.26 「本株式」 とは、当社の普通株式をいう。
2.27 「子会社」 とは、会社として設立されているか否かを問わず、当社が直接もしくはその他の事業体を通じて間接に実質
保有する事業で、その保有する有価証券もしくは持分が当該事業の議決権付有価証券の議決権総数もしくは議決権持分の過半
数を占めるものをいう。
第3条 管理事務
3.1 一般条項
取締役会付属報酬統治委員会または取締役会が任命するその他の委員会が本制度の管理事務を行うものとし、委員会は、取
締役会の判断において証券法第16条に基づき証券取引委員会が公布した規則に定義される非従業員取締役でありかつ歳入法第
162条(m)および同法の関連規制に定める取締役でもある2名以上の委員により構成される。但し、取締役会が別途決定する場合
を除く。本制度の管理事務を行う委員会の一員は全員取締役とする。委員会の一員は、取締役会により随時任命され、また取
締役会の単独の裁量に従って委員を務める。
委員会は、管理事務に関する職務を当社の役員、従業員または取締役に委任する権限を有する。但し、委員会は(i) 内部者
に対して報奨を付与すること、(ii) 業績ベース除外項目に該当する報奨を付与すること、および(iii) 業績ベース除外項目に
該当する報奨の業績目標およびその他の重要な条件が充足された旨を証明することに関する権限は委任できない。

3.2 委員会の権限
法令、当社の基本定款または付属定款により別途制限される場合を除き、かつ本制度の規定に従うことを条件に、委員会は
以下を行う権限を有する。すなわち(a) 本制度の諸条項を解釈し、本制度に関する規則および手続を設定、変更および廃止す
ること、(b) 委員会が適切と判断する形式、金額および諸条件に従って本制度に基づく報奨(同時に付与するかを問わずその
他の報奨もしくは報酬と組み合わせてもしくは並行して付与する、または現行報酬もしくは繰延報酬の代わりに付与する報奨
を含むがこれらに限定されない。)を付与すること、(c) 第14条に従うことを条件に、未払報奨の条件の変更、解約および再
発行もしくは買戻しを行うこと、(d) 本制度に基づく報奨を証する契約、証明書その他の証書の形式を定めること、(e) 本制
度もしくは本制度に基づく報奨における不備もしくは不行為を訂正しおよび矛盾点を調整すること、(f) 当該報奨が参加者に
とってあらゆる法域で税務上有利となさしめるような要件を充足させるために、もしくは当社が希望するその他の理由により
報奨を企画すること、ならびに(g) 委員会が本制度の管理事務に必要もしくは望ましいとみなすその他のあらゆる決定および
一切の行為を行うことである。但し、当社株主の承認なくして、(i)行使価格を下げる目的で未行使オプションを変更したり、
(ii)オプションの価格変更を行う目的で現金またはその他の報酬と引き替えに未行使オプションを解約、交換または放棄した
り、(iii)または当該オプションをより低い行使価格で参加者に再発行する目的で未行使オプションを解約、交換または放棄し
たりできない(それぞれにつき第5.4条に基づく場合を除く。)。委員会の権限に服する事由に関して行った委員会の決定は最
終的であり、かつ当社その他すべての当事者を拘束する。委員会は本制度の管理事務を行う上で適用される全ての法令を遵守
する。法令で認められる限り(および第3.1条に従うことを条件に)、委員会はここに定める権限を委任できる。
3.3 拘束力を有する決定
本制度の諸条項に基づく委員会の全ての判断および決定、ならびに取締役会による一切の関連命令および決議は、最終的お
よび終局的であり、当社、当社の株主、取締役、従業員、請負人、参加者、相続人および受益者を含む一切の者を拘束する。
第4条 資格および参加
4.1 資格
全ての従業員および請負人が、本制度に参加する資格を有する。当社の従業員ではない取締役は、本制度への参加資格がな
い。
4.2 実際の参加
本制度の諸条項に従うことを条件に、委員会は随時、適格従業員および請負人全員の中から報奨を付与される者を選別し、
各報奨の性質および金額を決定する。
第5条 本制度の対象株式および報奨限度額、最低権利確定
5.1 報奨対象となる株式数
第5.4条に定める調整に従うことを条件に、本制度に基づく参加者に対する交付を目的として留保する本株式数は
327,600,000株とする。本制度に基づき付与されるISOとしての資格を有するオプションによって交付される本株式の上限は、
327,600,000株である。本制度に基づき留保される本株式のうち、制限付株式または制限付株式ユニットとして付与できるのは
最大で33,600,000株とする。委員会は、本制度に基づき発行した本株式数を計算するための適切な算出方法を決定する。本制
度に基づく報奨の付与については以下の規則が適用される。
(a) オプション:1会計年度において参加者1名に対してオプションとして付与できる本株式数総数は、最大で
12,000,000株とする。
(b) 制限付株式および制限付株式ユニット:1会計年度において参加者1名に対して制限付株式および制限付株式ユニッ
トとして付与できる本株式数総数は、最大で2,400,000株とする。
5.2 本株式の種類
ストック・オプションもしくは制限付株式ユニットに関連して本制度に基づき発行される株式は、未発行の授権本株式また
は自己株式として保有する発行済本株式とする。制限付株式に関連して本制度に基づき発行される株式は、自己株式として保
有する発行済本株式とする。但し、参加者の過去の業務内容が少なくとも授権未発行本株式の額面価額の対価に十分相当する
と委員会が判断する場合に限り、制限付株式に関連して未発行の授権本株式を発行できる。

5.3 本株式の再利用
(a) 一般条項:本制度に基づく報奨が満了または終了(没収、満了、解約、譲渡、権利確定不履行その他による。)し
た場合、報奨対象の本株式数のうち交付されなかったものは、本制度に基づく次回の報奨として再度使用される。
(b) 制限付株式および制限付株式ユニット:本制度に基づき制限付株式として本株式が交付された後、当該付与に基づ
き留保された権利に基づき当社により没収されまたは再取得された場合、没収または再取得された本株式は、本制
度に基づき次回の報奨として再度使用される。
(c) 制限:上記第5.3条(a)に関わらず、次の本株式は本制度に基づき再発行されない。(i)オプションに関わる源泉徴
収義務を果たすために参加者によって交換される本株式または当社もしくは子会社によって差し引かれる本株式、
(ii)オプション行使時のオプション価格の支払のすべてもしくは一部として参加者によって交換される株式または
当社によって差し引かれる本株式。本制度に基づき付与される制限付株式もしくは制限付株式ユニット報酬であっ
て本制度に基づく報酬に関わる支払いのすべてまたは一部として参加者によって交換される株式または当社によっ
て差し引かれる本株式、さらに参加者によって交換される株式または本制度に基づいて付与される制限付株式もし
くは制限付株式ユニットに関わる源泉徴収義務を果たすために当社または子会社によって差し引かれる本株式は、
本制度に基づく次回の報奨として使用される。
5.4 授権株式の調整
株式分割を含む当社の資本構成の変更、合併・統合、スピンオフを含む分割などの会社取引、当社の株式もしくは財産の分
配、会社更生(歳入法第368条に定義される意味を含むか否かを問わない。)、当社の一部もしくは完全な清算が行われた場
合、第5.1条に基づき交付される本株式の数および種類、本制度に基づき付与された未払報奨の対象本株式の数、種類および/
または価格、ならびに第5.1条に定める報奨に関する制限に対してかかる調整が行われる。これは、委員会がその単独の裁量に
より、権利の希薄化もしくは拡大を防ぐために適切および平等と判断する方法で行われる。但し、報奨に基づく本株式数は必
ず整数とする。当社の株式交換による買収については、委員会はその単独の裁量により、未払報奨に基づく本株式の代替とし
てその他の発行会社の有価証券を用いることができる。
5.5 米国外参加者への報奨
米国外の当社または子会社に勤務する参加者に対して一つ以上の報奨が付与される。当該参加者に付与される報奨はすべ
て、委員会によって承認された適用あるサブプランがある場合にはその条件に従って付与される。
5.6 権利確定の最低要件
第13条に基づいて要求または許可される権利確定の繰り上げおよび第5.6条に別途定める場合を除き、また報奨に関して委員
会が定める権利確定に関する追加の要件または条件に従って、本制度に基づくそれぞれの報奨は、本制度の適用ある条項に定
められた権利確定の最低要件に従うものとする。但し、委員会は、支配権の変更、参加者の当社での雇用もしくは請負人とし
ての当社での業務の終了(参加者の死亡、職務不能または退職を含むが、正当な理由による解雇を除く。)にともない、また
は参加者による当社もしくは子会社もしくはその役員、取締役もしくはその他関連会社に対する係争中もしくは発生するおそ
れのある請求権の放棄の対価、もしくはその対価の一部として(請求権の放棄が正当な理由による、またはその他の状況にお
ける雇用もしくは業務の終了に伴って行われたか否かに関わらず)、報奨の権利確定を繰り上げる、もしくは適用ある報奨契
約において権利確定の繰り上げを規定することができる。上記にかかわらず、委員会は、前文で考慮されていない状況で報奨
の権利確定を繰り上げる、または権利確定の繰り上げを適用ある報奨契約において規定する、および/または、委員会が適切
と認める状況で、本制度の適用ある条項に記載されている最短日程よりも早い権利確定日程を規定する(または本制度の権利
確定のその他の規則に関わらず報奨が付与時に全額権利確定することを規定する)ことができる。但し、本制度の適用ある条
項の権利確定の最低要件に基づく権利確定の最短日程より早く権利確定する当該報奨の対象である本株式(または、権利確定
の繰り上げに関しては、前文で考慮されている状況以外での権利確定の繰り上げ)は、総計で、本制度のもと報奨付与の目的
で使用することのできる本株式数の10%を上回ってはならない。明確さを期すと、権利確定は、本制度のその他の条項に定め
る適用ある最短権利確定期間において、1回以上の比例分割で行われる。

第6条 ストック・オプション
6.1 オプションの付与
本制度の諸条件および諸条項に従うことを条件に、委員会は、自らが定める数および条件、参加者に対してオプションをい
つでも随時付与できる。
6.2 報奨契約
各オプションは、オプション価格、オプションの有効期間、オプションに係る本株式数および委員会が定めるその他の規定
を明記する報奨契約により証される。また報奨契約は、オプションがISOまたはNQSOのいずれを目的としているかを明記する。
6.3 オプション価格
本制度に基づき付与される各オプションのオプション価格は、少なくともオプション付与日現在における本株式1株当たりの
公正市場価額の満額とする。
6.4 オプションの存続期間
2006年2月16日以降(当日を含む)に参加者に付与される各オプションは、付与日から7年後の応当日までに期限満了とな
り、その期間は委員会が定める。
6.5 オプション行使
本第6条に基づき付与されるオプションは、委員会が各々の場合につき承認する時期において、かつ委員会が承認する諸条件
に従うことを条件に行使可能である。これらは各オプションの付与および各参加者につき同一である必要はない。但し、本制
度第5.6条に従い、各オプションは、当該オプションの付与日から最低3年間にわたり行使可能である。
6.6 支払
本第6条に基づき付与されるオプションは、行使に関する通知書(もしくは当社が指定するその他の形式の通知)を当社に対
して交付することで行使される。当該通知書には、行使されるオプションの対象となる本株式数を記載し、本株式に関する払
込金の全額(または「現金によらない行使」に関する通知書)を一緒に付す。
オプション行使時のオプション価格は、当社に対して次のいずれかにより全額支払われる。 (a)現金または現金等価物、(b)
行使時点の行使価格合計に相当する公正市場価額総額を有する既得本株式の買付(実際の交付または認証のいずれかによ
る)、(c)適用される証券法規制および当社が随時指定する手続・制限に基づき、連邦準備制度理事会の規則Tに基づき認可さ
れる「現金によらない行使」、(d)本制度の目的および適用法に合致すると委員会が判断するその他の手段、または(e)(a)ない
し(d)の二つ以上の組み合わせによるものとする。
当社は、現金によらない行使手続を含む準拠する規則・規制に従うことを条件に、行使通知書および払込金全額(もしくは
「現金によらない行使」通知書)を受領後可及的速やかに、オプションに基づき購入する本株式の証拠として株券その他を参
加者に対して発行および交付せしめる。
6.7 株式譲渡性に対する制限
委員会は、本第6条に基づき付与したオプション行使に基づき取得したあらゆる本株式に対して、自らが望ましいとみなす制
限を課すことができる。これには適用される連邦証券法に基づく制限、当該時点において本株式が上場もしくは取引される証
券取引所もしくは市場の要件に基づく制限、ならびに本株式に適用するブルースカイ法もしくは州証券法を含むがこれらに限
定されない。
6.8 雇用または業務の終了
各参加者のオプション報奨契約には、当社における参加者の雇用もしくは請負人としての業務終了後に行使可能なオプショ
ン権の範囲が規定されている。委員会は単独の裁量により当該規定を決定し、当該規定は各参加者と締結する報奨契約に記載
される。また、当該規定は、本第6条に基づき発行される全てのオプションにつき同一である必要はなく、終了理由による相違
を反映できるものとする。

6.9 オプションの譲渡不可
(a) 奨励ストック・オプション:遺言または相続分配法による場合を除き、本制度に基づき付与されたISOを売却、譲
渡、質権設定、移転または担保として供することはできない。さらに、本制度に基づき参加者に付与されたISOは
全て、当該参加者の生存期間中において本人のみ行使できる。
(b) 非適格ストック・オプション:参加者の報奨契約に別途定める場合を除き、また遺言または相続分配法による場合
を除き、本第6条に基づき付与されたNQSOを売却、譲渡、質権設定、移転または担保として供することはできな
い。さらに、参加者の報奨契約に別途定める場合を除き、本第6条に基づき参加者に付与されたNQSOは全て、当該
参加者の生存期間中において本人のみ行使できる。
6.10 現金の代替
参加者の報奨契約に別途定める場合を除き、かつ相反する本制度のいずれの規定(第14.2条を含むがこれに限定されな
い。)に関わらず、支配権の変更事由が発生し、本株式を保有する当社の株主が証券法第12条に基づき登録された普通株式以
外で対価を受領した場合、委員会は、参加者に対して当社が解約するために未行使オプションの引渡しを要求する権限を有す
る。この場合、参加者は支配権の変更事由から10日後以内に当社から現金を受領する。かかる現金支払金は、オプションに基
づく本株式数に、支配権の変更事由が発生した日付現在の本株式の公正市場価額がオプション価格を超過している分を乗じた
額と同額とする。
6.11 ISOに適用される追加規則
ISOに関連する報奨契約において、オプションが歳入法第422条に定義される意味においての「奨励ストック・オプション」
であるために随時要求されるその他の条件が課される。オプションが付与された時点で、当社株式の全種類の総議決権の10%
を超える発行済みの本株式を所有している者(または歳入法第424条(d)に基づき所有しているとみなされる者)にはISOは付与
されない。但し、当該オプションの行使価格がオプションの対象である株式の公正市場価額の少なくとも110%である場合およ
び当該オプションがその付与日から5年を経過した後行使できない場合を除く。
第7条 制限付株式
7.1 制限付株式の付与
本制度の諸条件および諸条項に従うことを条件に、委員会は、何時でもおよび随時、委員会が決定する数量の制限付株式を
参加者に付与できる。
7.2 制限付株式契約
付与される各制限付株式は、制限付株式報奨契約により証される。同契約には、制限期間、付与される制限付株式数および
委員会が定めるその他の規定を明記する。本制度第5.6条に従い、制限期間は、制限付株式の付与日から最低3年間とする。
7.3 譲渡制限
本第7条に定める場合を除き、本制度に基づき付与される制限付株式は、委員会が設定しかつ制限付株式報奨契約に明記され
る適用ある制限期間が終了するまで、または、委員会が単独の裁量で指定しかつ制限付株式報奨契約に規定されるその他の条
件をそれよりも早期に充足するまで、売却、譲渡、質権設定、移転または担保供与できないものとする。本制度に基づき参加
者に付与された制限付株式に係る全ての権利は、当該参加者の生存期間中において本人のみ行使できる。
7.4 その他の制限
第9条に従うことを条件に、委員会は、本制度に基づき付与された制限付株式に対して、自らが望ましいとみなすその他の条
件および/または制限を課すものとし、それは以下を含むがこれらに限定されない。
(a) 制限付株式の権利確定前に、参加者が当社において委員会が定める一定の雇用期間または請負人としての業務遂行
期間を有していることを要件とすること。
(b) 制限期間中に、参加者の雇用または請負人としての業務が終了した場合、参加者の制限付株式の全部または一部が
当社に没収されること(参加者に売却された本株式の場合、参加者が自らの費用で当社に再販すること。)を要件
とすること。

(c) 制限付株式を保有する参加者が当社の競合会社に雇用されること、当該参加者が当社の機密情報を漏洩すること、
または当該参加者が当社の従業員に対してその他の会社への雇用の勧誘を行うことを禁じること。
本制度に基づき付与された制限付株式は、参加者名義で登録され、当該株式につき株券が発行されている場合は、委員会が
単独の裁量により、委員会が指定した銀行または当社において預託できる。委員会は、株券が存在するか否かに関わらず、制
限付株式につき無記名裏書で株式譲渡委任状を作成することを要件として課す場合がある。
本第7条に別途定める場合を除き、参加者は、適用ある制限期間の最終日以降、本制度に基づき付与される各制限付株式を自
由に譲渡できる(但し、適用ある証券法に定める制限に服する。)。
7.5 議決権
委員会が別途定める場合を除き、本制度に基づき発行された制限付株式を保有する参加者は、制限期間中において当該本株
式に係る議決権を完全に行使する権利を有する。
7.6 配当金その他の分配
委員会が別途定める場合を除き、制限期間中において、本制度に基づき発行された制限付株式を保有する参加者は、当該本
株式に関する通常の現金配当金を受領する権利を有する。委員会は、自らが適切とみなす制限を当該配当金に課すことができ
る。上記文の一般性を制限することなく、制限付株式の付与もしくは権利確定が業績ベース除外項目の要件を遵守してなされ
る場合、委員会は、当該配当および/または制限付株式が業績ベース除外項目としての適格性を維持するために、当該制限付
株式の配当金に対して適切とみなす制限を課すことができる。
7.7 雇用または業務の終了
各制限付株式報奨契約には、参加者の当社における雇用または請負人としての業務が終了した後に、従前に権利が未確定で

第8条 制限付株式ユニット
8.1 制限付株式ユニット報奨
本制度の諸条件に従うことを条件に、委員会は、何時でも随時、制限付株式ユニットを発行できる。これは、一定の制限が
失効した場合(指定された業績目標の達成、特定の業務履行、もしくはユニットの権利確定後の指定期間の満了によるかは問
わない。)、参加者に対して、当該ユニットの対象となる本株式を受領する権利を付与するものである。
8.2 制限付株式ユニット報奨契約
各制限付株式ユニット報奨は、制限付株式ユニット報奨契約により証され、同契約には権利確定に関する制限、制限付株式
ユニット報奨に基づく本株式数および委員会が決定するその他の規定を明記する。本制度第5.6条に従い、制限付株式ユニット
は、報奨付与日から少なくとも3年間経過した後において権利確定する。
8.3 制限
委員会は、本制度に基づき付与された制限付株式ユニットに対して、自らが望ましいとみなすその他の条件および/または
制限を課すものとし、それは以下を含むがこれらに限定されない。
(a) 制限付株式ユニット報奨に基づく本株式の発行前に、参加者が当社において委員会が定める一定の雇用期間を有し
ていることを要件とすること。
(b) 権利確定期間中に、参加者の雇用または請負人としての業務が終了した場合、参加者の制限付株式ユニットの全部
または一部が当社に没収されることを要件とすること。
(c) 制限付株式ユニットを保有する参加者が当社の競合会社に雇用されること、当該参加者が当社の機密情報を漏洩す
ること、または当該参加者が当社の従業員に対してその他の会社への雇用の勧誘を行うことを禁じること。
本第8条に別途定める場合を除き、参加者は制限付株式ユニットの対象本株式を受領後、当該株式を自由に譲渡できる(但
し、適用ある証券法に定める制限に服する。)。

8.4 株主の権利
本制度に基づき発行された制限付株式ユニットを保有する参加者は、報奨が権利確定され、本制度に基づき本株式が発行さ
れるまで報奨の対象本株式に関する権利を有していない。しかしながら、未払制限付株式ユニット報奨につき現金もしくは実
際の株式あるいは自社株連動型報酬(ファントム・ストック)で、配当相当ユニットの支払または供与を行うことができる。
但し、委員会が適切とみなす諸条件に従うことを条件とする。
8.5 雇用または業務の終了
各制限付株式ユニット報奨契約には、参加者の当社における雇用または請負人としての業務が終了した後に、制限付株式ユ
ニット報奨に基づく従前に権利未確定であった本株式を権利確定できる範囲を定める。当該規定は、委員会の単独の裁量によ
り決定され、各参加者との間で締結する報奨契約に記載する。また、当該規定は本制度に基づき発行される全ての制限付株式
ユニット報奨について同一である必要はなく、終了理由による相違を反映できる。
第9条 業績ベース報奨
9.1 歳入法第162条(m)業績ベース報奨
上記の一般原則を制限することなく、上記第6条から第8条に記載された報奨はすべて、また役員および従業員に付与された
オプション(「適格オプション」)は通常、業績ベース除外項目を満たすことを目的とした報奨(「業績ベース報奨」)とし
て付与される。業績ベース報奨の付与、権利確定、行使または支払は、連結ベースの当社または子会社、部門、課、事業単
位、または前述の組み合わせに対し、以下に定める業績指標(絶対値ベースまたは相対値ベース(その他の会社の業績との相
対またはその他の会社の業績の指標との比較を含むがこれらに限定されない。))を一つ以上使用して事前に設定した目標レ
ベルに対する一つ以上の業績目標の達成度によって決定される(適格オプションの場合も同様。)。すべての「適格オプショ
ン」は、当該報奨が業績ベース除外項目の要件を満たすために、第9.2条および第9.4条の要件のみに服する。その他の業績
ベース報奨はすべて、本第9条の以下の全規定に従うものとする。
9.2 分類、管理者
本第9条に基づき業績ベース報奨に対する資格がある者は、当社またはその子会社の役員および従業員とする。
9.3 業績指標
業績ベース報奨のための特定の業績目標(適格オプションを除く。)は、絶対値ベースまたは相対値ベースで、委員会がそ
の単独の裁量により選択した以下の業績指標(「業績指標」)の一つ以上に基づいて設定される。
(i) 収益指標(資産収益、資本収益、投資収益、株式収益または売却益を含むがこれらに限定されない。)
(ii) 1株当たりの利益
(iii) 純利益(税引前および税引後)または営業利益

報奨を業績ベース除外項目として適格のものとするため、適用ある複数の業績指標(または場合によっては単独の業績指
標)および特定の業績目標(「目標」)は、業績期間の開始から90日間の間(1年未満の業績期間の場合、いかなる場合も業績
期間の25%以上が経過する前に)および当該目標に関連する業績が歳入法第162条(m)の意味の範囲内において実質的に不確定
である間に、委員会によって設定され、承認されなければならない。委員会は、適用ある業績指標を設定した時点で、重大
な、特異な、もしくは経常外の損益、会計方針の変更または委員会が指定するその他の出来事による予算外の影響を軽減させ
るために調整される業績指標(場合によっては業績指標に対する業績)を規定することができる。適用ある業績測定期間は、
3ヶ月以上10年以下とする。
9.4 業績ベース報奨限度額
1会計年度中の参加者に対する適格オプションの付与は、第5.1条(a)に定める制限に従う。1会計年度中に参加者に付与され
る業績ベース報奨の対象である本株式の上限数は、第5.1条(b)に定める制限に従う。年度中解約される報奨は、歳入法第162条
(m)に要求される範囲において、これらの制限にカウントされる。
9.5 支払の証明、裁量権の留保
本第9条(適格オプションを除く。)に基づく業績ベース報奨が支払われる前に、また報奨を業績ベース除外項目として適格
のものとするために要求される範囲において、委員会は、業績目標およびその他の業績ベース報奨の重要な条件が実際に適時
に満たされたということを書面にて証明しなければならない。委員会は、本第9条に基づいて付与される個々の報奨の制限およ
びその他の制約の裁量を有する。この裁量は、委員会が付与の時点において承認決議の中で、または別の方法で、同趣旨の文
言によって当該権限を保持することとした場合、委員会の単独の裁量によって報奨、支払金額、権利確定を減額し、または報
奨を支払わないこととする権限を含む。適用ある税法および/または証券法の改正により、委員会がその裁量により株主の承
認を得ることなく準拠する業績指標を変更することが認められた場合、委員会は、株主の承認を取得することなく、その単独
の裁量で当該変更を実施する。また、委員会が業績ベース除外項目に該当しない報奨を付与することが望ましいと決定した場
合、委員会は、歳入法第162条(m)の要件を充足することなく、かかる付与を行うことができる。
第10条 受益者の指定
本制度に基づく各参加者は、随時、本制度に基づく受益権の全部または一部を取得する前に死亡した場合にかかる受益権の
支払を受け取る一人または複数の受益者を(付随的または逐次的に)指名することができる。当該指名は、それぞれ同参加者
がそれ以前に行った全ての指名を無効とし、当社の定める形式によるものとし、参加者が生存中に、当社に書面にて提出する
場合に限り、有効とする。当該指名が行われなかった場合、参加者の死亡時に未払である受益権は参加者の遺産となる。
第11条 繰延
委員会は、参加者に対して、参加者がオプション行使もしくは制限付株式あるいは制限付株式ユニットに対する制限の無
効・放棄により参加者に支払われるべき現金の受領または本株式の交付を繰り延べることを認めるまたは要求する場合があ
る。かかる繰延が要求されまたは認められた場合、委員会はその単独の裁量で、繰延支払に関する規則および手続を定めるも
のとし、これは歳入法第409A条に定める要件ならびにそれに基づき公布された財務省の規則および決定と一致するものとす
る。
第12条 従業員および請負人の権利
12.1 雇用
本制度または報奨契約のいかなる規定も、参加者の当社または子会社における雇用または請負人としての業務を何時でも終
了させる当社または子会社の権利を妨害または制限しないものとし、また参加者に対して当社または子会社での雇用もしくは
請負人としての業務を継続する権利を付与しない。
12.2 参加
従業員または請負人は、本制度に基づく報奨の受領者として選ばれる権利、ならびに選ばれた場合に将来の報奨を受領する
権利は一切ない。

第13条 支配権の変更
取締役会または委員会は、支配権の変更に関連し、当該時点の未払報奨に関する支配権の変更の発生に際して(または、場
合によっては、引受けもしくは繰り上げおよび終了の効力を発生させる必要に応じて、その直前に)、(1)当該報奨が承継人も
しくは存続事業体、またはその親会社によって、第5.4条に基づく報奨の適切な調整を行ったうえで引き受けられること、また
は、(2)当該報奨が終了する(および承継人もしくは存続事業体、またはその親会社によって引き受けられない)ことを定める
場合がある。支配権の変更に関連して報奨が引き受けられる場合、当該報奨の報奨契約が適用される。支配権の変更に関連し
て終了する場合、適用法または所管の政府機関もしくは国内証券取引所の規制・規則において禁じる旨が明記される場合を除
き、および当該終了が効力発生する前に、以下のとおりとする。
(a) 報奨が業績ベースの権利確定条件の対象とはならないオプションである場合、直ちに行使可能となる。
(b) 報奨が業績ベースの権利確定条件の対象とはならない制限付株式または制限付株式ユニットである場合、報奨およ
び株式に課される権利確定制限は無効となり、制限付株式ユニットは支払い可能となる。
(c) 報奨が業績ベースの権利確定条件の対象となる場合、報奨は、予測される全ての関連業績目標の達成度ならびに支
配権の変更前までに経過した業績期間の長さに基づき、権利確定し、(場合によっては)比例配分で行使可能また
は支払い可能となる。
取締役会または委員会は、適用ある報奨契約の報奨に関して本第13条の条項を補足または明示的に破棄する場合がある。
2015年2月19日に先立って効力を有する本第13条の条項は、当該日付に先立って付与される報奨に関して引き続き効力を有す
る。
第 14 条 変更、修正、終了
14.1 変更、修正、終了
第14.2条を含む本制度の諸条項に従うことを条件に、取締役会は何時でも随時、本制度の全部または一部を修正、変更、停
止または終了できる。但し、本制度の変更に関して、適用法によって要求される範囲においてのみ、それぞれ株主の承認を要
する。
14.2 従前に付与された報奨
相反する本制度または報奨契約のいかなる規定にも関わらず(但し、第6.10条に服する)、本制度の終了、変更、修正もし
くは改変または本制度に基づき従前に付与された報奨の変更が、当該報奨を保有する参加者の明確な同意なしに、本制度に基
づき従前に付与された報奨に重大な悪影響を及ぼすことはない。
第15条 適用法の遵守および源泉徴収
15.1 一般条項
本制度または報奨契約において相反する規定に関わらず、以下が適用される。
(a) 当社は、本制度に基づく本株式の発行が、適用法または証券取引所その他の類似機関の適用規制もしくは要件に違
反する場合、かかる発行を行う義務を負わない。
(b) 本制度に基づく本株式の発行前に、当社は、受領者が本株式を販売する目的もしくは意図を有しておらず投資目的
で取得するものであり、かつ受領者が1933年証券法の登録要件に違反して当該株式を処分しない旨を記した声明書
を要求する場合がある。
(c) 証券法第16条(a)に服する者に関して、委員会は何時でも、本制度に基づく奨励もしくは支払金に対して追加条件
および制限を課し、また委員会が証券法第16b-3を遵守するために必要もしくは望ましいとみなす本制度の管理事
務に必要な手続を実施することができる。当社が報奨あるいは報奨に基づき発行される本株式の上場、登録もしく
は資格付与(またはそれらの更新)を証券取引上にて行うことまたは連邦・州証券法もしくはブルースカイ法に基
づき行うことが必要と判断した場合、または政府規制当局の同意もしくは承認の取得が報奨、報奨に基づく本株式
の発行、もしくは報奨の対象本株式に対する制限の廃止条件としてあるいはそれらに関連して必要もしくは望まし
い場合、かかる上場、登録、資格付与、同意または承認が、当社の容認できない条件が一切課されることなく有効
となるもしくは取得されない限り、または委員会による別段の定めがない限り、当該報奨の付与および本株式の発
行または当該制限の廃止(場合に応じる)は全てもしくは一部につき行われない。

15.2 証券法の遵守
内部者に関しては、本制度に基づく取引は、1934年証券法第16b-3またはその承継規則の全ての適用ある条件を遵守するも
のとする。
15.3 源泉徴収
当社は、本制度により発生した課税対象事由に関して法規則により源泉徴収しなければならない国内および外国の連法税、
州税、地方税を控除し、源泉徴収を行い、または参加者に当社への送金を要求する権限および権利を有する。
15.4 本株式に関する源泉徴収
本株式でもって支払われるべき報奨において、当該報奨に基づく課税対象事由における源泉徴収に関して、参加者は、当社
に対して本株式を源泉徴収させることで自らの源泉徴収の要件を全部もしくは一部充足することを選択できる。但し、委員会
による別段の定めがない限り、参加者は、税金決定日における公正市場価額に相当し、源泉徴収最低額と同額またはそれ以下
の本株式のみを源泉徴収することを選択できる。委員会による別段の定めがない限り、かかる選択はすべて参加者の署名を付
した撤回不能な書面によって行われ、ならびに委員会がその単独の裁量で適切とみなす制限および制約(委員会による事前の
同意を含む。)に従う。
第16条 補償
当社は、現在または将来において委員会または取締役会の一員である各人が本制度に基づく行為・不行為を理由に当事者と
なるもしくは関与している請求、法的措置、訴訟もしくは法的手続に関連してもしくはその結果として、当該人に課されもし
くは当該人が合理的に負担した損失、費用、債務もしくは経費、ならびに当社の同意の上でそれらの解決のために当該人が支
払った一切の金額、もしくは当該人に対する当該法的措置、訴訟、法的手続の判決に応じるために当該人が支払った一切の金
額につき(但し、当該人は自らのために処理あるいは防御する前に、当社に対して自らの費用で当該事由の処理あるいは防御
を行う機会を与えることを条件とする。)、当該人を補償し、また当該人に損害が及ばないようにする。
第17条 承継人
本制度に基づき付与される報奨に関する本制度に基づく当社の一切の義務は、法律上認められる範囲内において、当社の承
継人を拘束する。その場合、当社の全てあるいは事実上全ての事業および/または資産の買収、合併、統合その他(直接・間
接を問わない。)によってかかる承継人が当社を承継したかを問わない。
第18条 法的構成
18.1 性別および数字
文脈上別途記載される場合を除き、男性形は女性形を含むものとし、また複数形の用語は単数を含みその逆も同様とする。
18.2 可分性
本制度の条項が理由の如何に関わらず違法または無効であると判断された場合、かかる違法または無効とする判断は本制度
の残りの条項には影響を及ぼさないものとし、かかる違法または無効となった条項が含まれないかのように本制度は解釈およ
び施行される。
18.3 準拠法
連邦法により専占されていない場合に限り、本制度およびそれに基づくすべての報奨その他の契約は、デラウェア州法(抵
触法の諸原則を除く。)に準拠し、同法に従って解釈される。
第19条 払戻方針
本制度に基づいて付与される報奨は、随時効力を持つ当社の払戻し、回収または同様の方策の条件、さらには適用ある法律
の同様の規定に従い、かかる条件または規定は、特定の状況において報奨、本株式、もしくは報奨に関連して受領された現金
もしくは財産(報奨の支払に際して取得された本株式の譲渡によって受領されたいかなる対価も含む。)の払戻しまたは没収
を要求する可能性がある。

Article 1. Establishment, Objectives, and Duration
1.1 Establishment of the Program . Edwards Lifesciences Corporation, a Delaware corporation (hereinafter referred to as
the "Company"), hereby amends and restates the incentive compensation plan established April 1, 2000 and known as the
"Edwards Lifesciences Corporation Long-Term Stock Incentive Compensation Program" (hereinafter, as amended and
restated, referred to as the "Program"), as set forth in this document. The Program permits the grant of Nonqualified Stock
Options, Incentive Stock Options, Restricted Stock and Restricted Stock Units.
The Program became effective as of April 1, 2000 (the "Effective Date") and shall remain in effect as provided in Section
1.3 hereof.
The Program was amended and restated effective as of July 12, 2000 , May 8, 2002, February 20, 2003, February 17, 2005,
February 16, 2006, March 6, 2007 , February 14 , 2008, March 21, 2008 , March 20, 2009, February 11, 2010, further amended
on March 23, 2010, further amended and restated as of February 10, 2011, May 12, 2011, February 16, 2012, February 21,
2013, February 20, 2014, further amended on November 13, 2014, and further amended and restated as of February 19, 2015,
February 25, 2016, February 23, 2017, and May 7, 2020 .
1.2 Objectives of the Program . The objectives of the Program are to optimize the profitability and growth of the
Company through long-term incentives which are consistent with the Company's goals and which link the personal interests of
Participants to those of the Company's stockholders; to provide Participants with an incentive for excellence in individual
performance; and to promote teamwork among Participants.
The Program is further intended to provide flexibility to the Company in its ability to motivate, attract, and retain the
services of Participants who make significant contributions to the Company's success and to allow Participants to share in the
success of the Company.
1.3 Duration of the Program . The Program shall commence on the Effective Date, as described in Section 1.1 hereof, and
shall remain in effect, subject to the right of the Board to amend or terminate the Program at any time pursuant to Article 14
hereof, until all Shares subject to it shall have been purchased or acquired according to the Program's provisions. However, in
no event may an Award be granted under the Program on or after February 25, 2026 .
Article 2. Definitions
Whenever used in the Program, the following terms shall have the meanings set forth below, and when the meaning is
intended, the initial letter of the word shall be capitalized:
2.1 "Award" means, individually or collectively, a grant under this Program of Nonqualified Stock Options, Incentive
Stock Options, Restricted Stock or Restricted Stock Units.
2.2 "Award Agreement" means an agreement entered into by the Company and each Participant setting forth the terms
and provisions applicable to Awards granted under this Program.
2.3 "Board" or "Board of Directors" means the Board of Directors of the Company.

2.4 "Change in Control " of the Company shall mean the occurrence of any one of the following events:
(a) Any "Person", as such term is used in Sections 13(d) and 14(d) of the Exchange Act (other than the Company,
any corporation owned, directly or indirectly, by the stockholders of the Company in substantially the same
proportions as their ownership of stock of the Company, and any trustee or other fiduciary holding securities
under an employee benefit plan of the Company or such proportionately owned corporation), is or becomes the
"beneficial owner" (as defined in Rule 13d-3 under the Exchange Act), directly or indirectly, of securities of the
Company representing thirty percent (30%) or more of the combined voting power of the Company's then
outstanding securities; or
(b) During any period of not more than twenty-four (24) months, individuals who at the beginning of such period
constitute the Board of Directors of the Company, and any new director (other than a director designated by a
Person who has entered into an agreement with the Company to effect a transaction described in Sections 2.4(a),
2.4(c), or 2.4(d) of this Section 2.4) whose election by the Board or nomination for election by the Company's

stockholders was approved by a vote of at least two-thirds ( /3) of the directors then still in office who either
were directors at the beginning of the period or whose election or nomination for election was previously so
approved, cease for any reason to constitute at least a majority thereof; or
(c) The consummation of a merger or consolidation of the Company with any other entity, other than: (i) a merger or
consolidation which would result in the voting securities of the Company outstanding immediately prior thereto
continuing to represent (either by remaining outstanding or by being converted into voting securities of the
surviving entity) more than sixty percent (60%) of the combined voting power of the voting securities of the
Company or such surviving entity outstanding immediately after such merger or consolidation; or (ii) a merger or
consolidation effected to implement a recapitalization of the Company (or similar transaction) in which no Person
acquires more than thirty percent (30%) of the combined voting power of the Company's then outstanding
securities; or
(d) The Company's stockholders approve a plan of complete liquidation or dissolution of the Company, or an
agreement for the sale or disposition by the Company of all or substantially all of the Company's assets (or any
transaction having a similar effect).
2.5 "Code" means the Internal Revenue Code of 1986, as amended from time to time.
2.6 "Committee" means the Compensation and Governance Committee or any other committee appointed by the Board
to administer Awards to Participants, as specified in Article 3 herein.
2.7 "Company" means Edwards Lifesciences Corporation, a Delaware corporation, and any successor thereto as
provided in Article 16 herein.
2.8 "Contractor" means an individual providing services to the Company or a Subsidiary who is not an Employee or
member of the Board, as well as an individual who is a member of the board of directors of a Subsidiary and who is not an
Employee or member of the Board, and who does not participate in the Edwards Lifesciences Corporation Nonemployee
Directors and Consultants Stock Incentive Program.
2.9 "Covered Employee" means a Participant who is one of the group of "covered employees," as defined in the
regulations promulgated under Code Section 162(m), or any successor statute.
2.10 "Disability" shall have the meaning ascribed to such term in the Participant's governing long-term disability plan, or
if no such plan exists, at the discretion of the Board.

2.11 "Effective Date" shall have the meaning ascribed to such term in Section 1.1 hereof.
2.12 "Employee" means any employee of the Company or of a Subsidiary of the Company. Directors who are employed
by the Company or by a Subsidiary shall be considered Employees under this Program.
2.13 "Exchange Act" means the Securities Exchange Act of 1934, as amended from time to time, or any successor act
thereto.
2.14 "Fair Market Value" means, the closing price of a share of Common Stock as reported in the New York Stock
Exchange Composite Transactions on the date as of which such value is being determined or, if there shall be no reported
transactions for such date, on the next preceding date for which transactions were reported.
2.15 "Incentive Stock Option" or "ISO" means an option to purchase Shares granted under Article 6 herein and which is
designated as an Incentive Stock Option and which is intended to meet the requirements of Code Section 422.
2.16 "Insider" shall mean an individual who is, on the relevant date, an officer of the Company , director of the Company ,
or beneficial owner of more than ten percent (10%) of any class of the Company's equity securities that is registered pursuant
to Section 12 of the Exchange Act, all as defined under Section 16 of the Exchange Act.
2.17 "Nonqualified Stock Option" or "NQSO" means an option to purchase Shares granted under Article 6 herein and
which is not intended to meet the requirements of Code Section 422.
2.18 "Option" means an Incentive Stock Option or a Nonqualified Stock Option, as described in Article 6 herein.
2.19 "Option Price" means the price at which a Share may be purchased by a Participant pursuant to an Option.
2.20 "Participant" means an Employee or Contractor who has been selected to receive an Award or who has outstanding
an Award granted under the Program.
2.21 "Performance-Based Exception" means the performance-based exception from the tax deductibility limitations of
Code Section 162(m) applicable to compensation payable to Covered Employees.
2.22 "Period of Restriction" means the period during which the transfer of Shares of Restricted Stock is limited in some
way (based on the passage of time, the achievement of performance goals, or upon the occurrence of other events as
determined by the Committee, in its discretion), and the Shares are subject to a substantial risk of forfeiture, as provided in
Article 7 herein.
2.23 "Restricted Stock" means an Award granted to a Participant pursuant to Article 7 herein.
2.24 "Restricted Stock Units" means an Award granted to a Participant pursuant to Article 8 herein.

2.25 "Retirement" means, unless otherwise defined in the applicable Award Agreement, any termination of an Employee's
employment or a Contractor's service after age fifty-five (55) other than due to death, Disability or, with respect to Awards
made after May 8, 2002, Cause, provided that such Employee or Contractor has at least a combined ten (10) years of service
with the Company and Baxter International Inc. A Participant's number of years of service with the Company and Baxter
International Inc. shall be determined by calculating the number of complete twelve-month (12) periods of employment from
the Participant's original date of hire as an Employee or Contractor with the Company or Baxter International Inc. to the
Participant's date of employment or service termination. Employment or service with Baxter International Inc. shall be included
for purposes of determining qualification for Retirement only to the extent that such employment or service immediately, and
without any break, precedes employment or service with the Company. For purposes of this definition, unless defined
otherwise in the applicable Award Agreement, "Cause" means: (a) a Participant's willful and continued failure to substantially
perform his duties with the Company or a Subsidiary (other than any such failure resulting from Disability); (b) a Participant's
willfully engaging in conduct that is demonstrably and materially injurious to the Company or a Subsidiary, monetarily or
otherwise; or (c) a Participant's having been convicted of a felony. For the purpose of determining "Cause," no act, or failure to
act, on a Participant's part shall be deemed "willful" unless done, or omitted to be done, by the Participant not in good faith and
without reasonable belief that the action or omission was in the best interests of the Company or a Subsidiary.
2.26 "Shares" means the shares of common stock of the Company.
2.27 "Subsidiary" means any business, whether or not incorporated, in which the Company beneficially owns, directly or
indirectly through another entity or entities, securities or interests representing more than fifty percent (50%) of the combined
voting power of the voting securities or voting interests of such business.
Article 3. Administration
3.1 General . The Program shall be administered by the Compensation and Governance Committee of the Board, or by
any other Committee appointed by the Board, which shall consist of two (2) or more nonemployee directors within the
meaning of the rules promulgated by the Securities and Exchange Commission under Section 16 of the Exchange Act who also
qualify as outside directors within the meaning of Code Section 162(m) and the related regulations under the Code, in the
judgement of and except as otherwise determined by the Board. Any Committee administering the Program shall be comprised
entirely of directors. The members of the Committee shall be appointed from time to time by, and shall serve at the sole
discretion of, the Board.
The Committee shall have the authority to delegate administrative duties to officers, Employees, or directors of the
Company; provided, however, that the Committee shall not be able to delegate its authority with respect to: (i) granting
Awards to Insiders; (ii) granting Awards that are intended to qualify for the Performance-Based Exception; and (iii) certifying
that any performance goals and other material terms attributable to Awards that are intended to qualify for the Performance-
Based Exception have been satisfied.

3.2 Authority of the Committee . Except as limited by law or by the Certificate of Incorporation or Bylaws of the
Company, and subject to the provisions of the Program, the Committee shall have the authority to: (a) interpret the provisions
of the Program, and prescribe, amend, and rescind rules and procedures relating to the Program; (b) grant Awards under the
Program, in such forms and amounts and subject to such terms and conditions as it deems appropriate, including, without
limitation, Awards which are made in combination with or in tandem with other Awards (whether or not contemporaneously
granted) or compensation or in lieu of current or deferred compensation; (c) subject to Article 14, modify the terms of, cancel
and reissue, or repurchase outstanding Awards; (d) prescribe the form of agreement, certificate, or other instrument evidencing
any Award under the Program; (e) correct any defect or omission and reconcile any inconsistency in the Program or in any
Award hereunder; (f) design Awards to satisfy requirements to make such Awards tax-advantaged to Participants in any
jurisdiction or for any other reason that the Company desires; and (g) make all other determinations and take all other actions
as it deems necessary or desirable for the administration of the Program; provided, however, that no outstanding Option will be
(i) amended to lower the exercise price , (ii)canceled, exchanged or surrendered in exchange for cash or other awards for the
purpose of repricing the Option, or (iii) canceled, exchanged or surrendered for the purpose of reissuing such Option to a
Participant at a lower exercise price (other than, in each case , pursuant to Section 5.4) without the approval of the Company's
stockholders. The determination of the Committee on matters within its authority shall be conclusive and binding on the
Company and all other persons. The Committee shall comply with all applicable laws in administering the Plan. As permitted
by law (and subject to Section 3.1 herein), the Committee may delegate its authority as identified herein.
3.3 Decisions Binding . All determinations and decisions made by the Committee pursuant to the provisions of the
Program and all related orders and resolutions of the Board shall be final, conclusive, and binding on all persons, including the
Company, its stockholders, directors, Employees, Contractors, Participants, and their estates and beneficiaries.
Article 4. Eligibility and Participation
4.1 Eligibility . Persons eligible to participate in this Program shall include all Employees and Contractors. Members of
the Board who are not Employees of the Company shall not be eligible to participate in the Program.
4.2 Actual Participation . Subject to the provisions of the Program, the Committee may, from time to time, select from all
eligible Employees and Contractors those to whom Awards shall be granted and shall determine the nature and amount of each
Award.
Article 5. Shares Subject to the Program and Maximum Awards ; Minimum Vesting
5.1 Number of Shares Available for Grants . Subject to adjustment as provided in Section 5.4 herein, the number of
Shares hereby reserved for delivery to Participants under the Program shall be three hundred twenty seven million six hundred
thousand (327,600,000) Shares. The maximum number of Shares that may be delivered pursuant to Options qualified as ISOs
granted under the Program is three hundred twenty seven million six hundred thousand (327,600,000) Shares. No more than
thirty-three million six hundred thousand (33,600,000) Shares reserved for issuance under the Program may be granted in the
form of Shares of Restricted Stock or Restricted Stock Units. The Committee shall determine the appropriate methodology for
calculating the number of Shares issued pursuant to the Program. The following rules shall apply to grants of such Awards
under the Program:
(a) Options : The maximum aggregate number of Shares that may be granted in the form of Options in any one (1)
fiscal year to any one (1) Participant shall be twelve million (12,000,000).
(b) Restricted Stock and Restricted Stock Units : The maximum aggregate number of Shares that may be granted in
the form of Restricted Stock and Restricted Stock Units in any one (1) fiscal year to any one (1) Participant shall
be two million four hundred thousand (2,400,000).

5.2 Type of Shares . Shares issued under the Program in connection with Stock Options or Restricted Stock Units may be
authorized and unissued Shares or issued Shares held as treasury Shares. Shares issued under the Program in connection with
Restricted Stock shall be issued Shares held as treasury Shares; provided, however, that authorized and unissued Shares may be
issued in connection with Restricted Stock to the extent that the Committee determines that past services of the Participant
constitute adequate consideration for at least the par value thereof.
5.3 Reuse of Shares .
(a) General . In the event of the expiration or termination (by reason of forfeiture, expiration, cancellation, surrender,
failure to vest or otherwise) of any Award under the Program, that number of Shares that was subject to the
Award but not delivered shall again be available for subsequent Awards under the Program.
(b) Restricted Stock and Restricted Stock Units . In the event that Shares are delivered under the Program as
Restricted Stock and are thereafter forfeited or reacquired by the Company pursuant to rights reserved upon the
grant thereof, such forfeited or reacquired Shares shall again be available for subsequent Awards under the
Program.
(c) Limitations . Notwithstanding the provisions of Sections 5.3(a) above, the following Shares shall not be available
for reissuance under the Program: (i) Shares which are exchanged by a Participant or withheld by the Company
or one of its Subsidiaries to satisfy the tax withholding obligations related to any Option; and (ii) Shares which
are exchanged by a Participant or withheld by the Company as full or partial payment of the Option Price upon
the exercise of an Option. Shares that are exchanged by a Participant or withheld by the Company as full or
partial payment in connection with any Award under the Program that is a Restricted Stock or Restricted Stock
Unit Award granted under the Program, as well as any Shares exchanged by a Participant or withheld by the
Company or one of its Subsidiaries to satisfy the tax withholding obligations related to any Restricted Stock or
Restricted Stock Unit Award granted under the Program, shall be available for subsequent Awards under the
Program.
5.4 Adjustments in Authorized Shares . In the event of any change in corporate capitalization, such as a stock split, or a
corporate transaction, such as any merger, consolidation, separation, including a spin-off, or other distribution of stock or
property of the Company, any reorganization (whether or not such reorganization comes within the definition of such term in
Code Section 368) or any partial or complete liquidation of the Company, such adjustment shall be made in the number and
class of Shares which may be delivered under Section 5.1, in the number and class of and/or price of Shares subject to
outstanding Awards granted under the Program, and in the Award limits set forth in Section 5.1, as shall be determined to be
appropriate and equitable by the Committee, in its sole discretion, to prevent dilution or enlargement of rights; provided,
however, that the number of Shares subject to any Award shall always be a whole number. In a stock-for-stock acquisition of
the Company, the Committee may, in its sole discretion, substitute securities of another issuer for any Shares subject to
outstanding Awards.
5.5 International Awards. One or more Awards may be granted to Participants who provide services to the Company or a
Subsidiary outside of the United States. Any Awards granted to such persons may be granted pursuant to the terms and
conditions of any applicable sub- plans, if any, approved by the Committee.

5.6 Minimum Vesting Requirements. Except for any accelerated vesting required or permitted pursuant to Article 13 and
except as otherwise provided in this Section 5.6, and subject to such additional vesting requirements or conditions as the
Committee may establish with respect to the Award, each Award granted under the Program shall be subject to the minimum
vesting requirements set forth in the applicable sections of the Program; provided that the Committee may accelerate or provide
in the applicable Award Agreement for the accelerated vesting of any Award in connection with a Change in Control, the
termination of the Participant's employment with the Company or service to the Company as a Contractor (including a
termination due to the Participant's death, Disability or Retirement, but not including a termination for cause), or as
consideration or partial consideration for a release by the Participant of pending or threatened claims against the Company or a
Subsidiary or any of their respective officers, directors or other affiliates (regardless of whether the release is given in
connection with a termination of employment or service for cause or other circumstances). The Committee may, however,
accelerate or provide in the applicable Award Agreement for the accelerated vesting of any Award in circumstances not
contemplated by the preceding sentence, and/or provide for a vesting schedule that is shorter than the minimum schedule set
forth in the applicable sections of the Program (or provide for an Award to be fully vested at grant notwithstanding the other
vesting rules of the Program), in such circumstances as the Committee may deem appropriate; provided, however, that the
Shares subject to the portion of any such Awards that vest earlier than the minimum vesting dates that would be applicable
pursuant to the minimum vesting requirements of the applicable sections of the Program (or, as to any accelerated vesting,
provides for accelerated vesting other than in the circumstances contemplated by the preceding sentence) shall not, in the
aggregate, exceed ten percent (10%) of the total number of Shares available for award grant purposes under the Program. For
purposes of clarity, vesting may occur in one or more installments ratably over any applicable minimum vesting period set
forth in other sections of the Program.
Article 6. Stock Options
6.1 Grant of Options . Subject to the terms and provisions of the Program, Options may be granted to Participants in such
number, and upon such terms, and at any time and from time to time as shall be determined by the Committee.
6.2 Award Agreement . Each Option grant shall be evidenced by an Award Agreement that shall specify the Option
Price, the duration of the Option, the number of Shares to which the Option pertains, and such other provisions as the
Committee shall determine. The Award Agreement also shall specify whether the Option is intended to be an ISO or an NQSO.
6.3 Option Price . The Option Price for each grant of an Option under this Program shall be at least equal to one hundred
percent (100%) of the Fair Market Value of a Share on the date the Option is granted.
6.4 Duration of Options . Each Option granted to a Participant on or after February 16, 2006 shall expire at such time, not
later than the seventh (7th) anniversary date of its grant, as the Committee shall determine.
6.5 Exercise of Options . Options granted under this Article 6 shall be exercisable at such times and be subject to such
restrictions and conditions as the Committee shall in each instance approve, which need not be the same for each grant or for
each Participant; provided, however, that , subject to Section 5.6 herein, each Option shall become exercisable over a minimum
period of three (3) years measured from the date of grant of the option.
6.6 Payment . Options granted under this Article 6 shall be exercised by the delivery of a written notice (or such other
form of notice as the Company may specify) of exercise to the Company, setting forth the number of Shares with respect to
which the Option is to be exercised, accompanied by full payment for the Shares (or a satisfactory "cashless exercise" notice).

The Option Price upon exercise of any Option shall be payable to the Company in full either: (a) in cash or its equivalent;
(b) by tendering previously acquired Shares (by either actual delivery or attestation) having an aggregate Fair Market Value at
the time of exercise equal to the total Option Price; (c) by a cashless exercise, as permitted under Federal Reserve Board's
Regulation T, subject to applicable securities law restrictions and such procedures and limitations as the Company may specify
from time to time , (d) by any other means which the Committee determines to be consistent with the Program's purpose and
applicable law , or (e) by a combination of two or more of (a) through (d).
Subject to any governing rules or regulations, including cashless exercise procedures, as soon as practicable after receipt
of a notification of exercise and full payment (or a satisfactory "cashless exercise" notice), the Company shall cause to be
issued and delivered to the Participant, in certificate form or otherwise, evidence of the Shares purchased under the Option(s).
6.7 Restrictions on Share Transferability . The Committee may impose such restrictions on any Shares acquired pursuant
to the exercise of an Option granted under this Article 6 as it may deem advisable, including, without limitation, restrictions
under applicable federal securities laws, under the requirements of any stock exchange or market upon which such Shares are
then listed and/or traded, and under any blue sky or state securities laws applicable to such Shares.
6.8 Termination of Employment or Service . Each Participant's Option Award Agreement shall set forth the extent to
which the Participant shall have the right to exercise the Option following termination of the Participant's employment with the
Company or service to the Company as a Contractor. Such provisions shall be determined in the sole discretion of the
Committee, shall be included in the Award Agreement entered into with each Participant, need not be uniform among all
Options issued pursuant to this Article 6, and may reflect distinctions based on the reasons for termination.
6.9 Nontransferability of Options .
(a) Incentive Stock Options . No ISO granted under the Program may be sold, transferred, pledged, assigned, or
otherwise alienated or hypothecated, other than by will or by the laws of descent and distribution. Further, all
ISOs granted to a Participant under the Program shall be exercisable during his or her lifetime only by such
Participant.
(b) Nonqualified Stock Options . Except as otherwise provided in a Participant's Award Agreement, no NQSO
granted under this Article 6 may be sold, transferred, pledged, assigned, or otherwise alienated or hypothecated,
other than by will or by the laws of descent and distribution. Further, except as otherwise provided in a
Participant's Award Agreement, all NQSOs granted to a Participant under this Article 6 shall be exercisable
during his or her lifetime only by such Participant.
6.10 Substitution of Cash . Unless otherwise provided in a Participant's Award Agreement, and notwithstanding any
provision in the Program to the contrary (including but not limited to Section 14.2), in the event of a Change in Control in
which the Company's stockholders holding Shares receive consideration other than shares of common stock that are registered
under Section 12 of the Exchange Act, the Committee shall have the authority to require that any outstanding Option be
surrendered to the Company by a Participant for cancellation by the Company, with the Participant receiving in exchange a
cash payment from the Company within ten (10) days of the Change in Control. Such cash payment shall be equal to the
number of Shares under Option, multiplied by the excess, if any the Fair Market Value of a Share on the date the Change in
Control occurs, over the Option Price.

6.11 Additional Rules Applicable to Incentive Stock Options. There shall be imposed in any Award Agreement relating
to ISOs such other terms and conditions as from time to time are required in order that the Option be an "incentive stock
option" as that term is defined in Code Section 422. No ISO may be granted to any person who, at the time the Option is
granted, owns (or is deemed to own under Code Section 424(d)) outstanding Shares possessing more than 10% of the total
combined voting power of all classes of stock of the Company, unless the exercise price of such Option is at least 110% of the
Fair Market Value of the stock subject to the Option and such Option by its terms is not exercisable after the expiration of five
years from the date such Option is granted.
Article 7. Restricted Stock
7.1 Grant of Restricted Stock . Subject to the terms and provisions of the Program, the Committee, at any time and from
time to time, may grant Shares of Restricted Stock to Participants in such amounts as the Committee shall determine.
7.2 Restricted Stock Agreement . Each Restricted Stock grant shall be evidenced by a Restricted Stock Award Agreement
that shall specify the Period(s) of Restriction, the number of Shares of Restricted Stock granted, and such other provisions as
the Committee shall determine. Subject to Section 5.6 herein, the Period of Restriction shall be a minimum of three (3) years
measured from the grant date of the Restricted Stock.
7.3 Restriction on Transferability . Except as provided in this Article 7, the Shares of Restricted Stock granted herein may
not be sold, transferred, pledged, assigned, or otherwise alienated or hypothecated until the end of the applicable Period of
Restriction established by the Committee and specified in the Restricted Stock Award Agreement, or upon earlier satisfaction
of any other conditions, as specified by the Committee in its sole discretion and set forth in the Restricted Stock Award
Agreement. All rights with respect to the Restricted Stock granted to a Participant under the Program shall be available during
his or her lifetime only to such Participant.
7.4 Other Restrictions . Subject to Article 9 herein, the Committee shall impose such other conditions and/or restrictions
on any Shares of Restricted Stock granted pursuant to the Program as it may deem advisable including, without limitation, any
or all of the following:
(a) A required period of employment or service as a Contractor with the Company, as determined by the Committee,
prior to the vesting of Shares of Restricted Stock.
(b) A requirement that Participants forfeit (or in the case of Shares sold to a Participant, resell to the Company at his
or her cost) all or a part of Shares of Restricted Stock in the event of termination of his or her employment or
service as a Contractor during the Period of Restriction.
(c) A prohibition against employment of Participants holding Shares of Restricted Stock by any competitor of the
Company, against such Participants' dissemination of any secret or confidential information belonging to the
Company, or the solicitation by Participants of the Company's employees for employment by another entity.
Shares of Restricted Stock awarded pursuant to the Program shall be registered in the name of the Participant and, if such
Shares are certificated, in the sole discretion of the Committee, may be deposited in a bank designated by the Committee or
with the Company. The Committee may require a stock power endorsed in blank with respect to Shares of Restricted Stock
whether or not certificated.
Except as otherwise provided in this Article 7, Shares of Restricted Stock covered by each Restricted Stock grant made
under the Program shall become freely transferable (subject to any restrictions under any applicable securities law) by the
Participant after the last day of the applicable Period of Restriction.

7.5 Voting Rights . Unless the Committee determines otherwise, Participants holding Shares of Restricted Stock issued
hereunder shall be entitled to exercise full voting rights with respect to those Shares during the Period of Restriction.
7.6 Dividends and Other Distributions . Unless the Committee determines otherwise, during the Period of Restriction,
Participants holding Shares of Restricted Stock issued hereunder shall be entitled to regular cash dividends paid with respect to
such Shares. The Committee may apply any restrictions to the dividends that the Committee deems appropriate. Without
limiting the generality of the preceding sentence, if the grant or vesting of Shares of Restricted Stock is designed to comply
with the requirements of the Performance-Based Exception, the Committee may apply any restrictions it deems appropriate to
the payment of dividends declared with respect to such Shares of Restricted Stock, such that the dividends and/or the Shares of
Restricted Stock maintain eligibility for the Performance-Based Exception.
7.7 Termination of Employment or Service . Each Restricted Stock Award Agreement shall set forth the extent to which
the Participant shall have the right to vest in previously unvested Shares of Restricted Stock following termination of the
Participant's employment with the Company or service to the Company as a Contractor. Such provisions shall be determined in
the sole discretion of the Committee, shall be included in the Award Agreement entered into with each Participant, need not be
uniform among all Shares of Restricted Stock issued pursuant to the Program, and may reflect distinctions based on the reasons
for termination.
Article 8. Restricted Stock Units
8.1. Restricted Stock Units Awards . Subject to the terms and conditions of the Program, the Committee, at any time and
from time to time, may issue Restricted Stock Units which entitle the Participant to receive the Shares underlying those units
following the lapse of specified restrictions (whether based on the achievement of designated performance goals or the
satisfaction of specified services or upon the expiration of a designated time period following the vesting of the units).
8.2. Restricted Stock Units Award Agreement . Each Restricted Stock Units award shall be evidenced by a Restricted
Stock Units Award Agreement that shall specify the vesting restrictions, the number of Shares subject to the Restricted Stock
Units award, and such other provisions as the Committee shall determine. Subject to Section 5.6 herein, Restricted Stock Units
shall vest over a minimum period of three (3) years measured from the grant date of the award.
8.3. Restrictions . The Committee shall impose such other conditions and/or restrictions on the issuance of any Shares
under the Restricted Stock Units granted pursuant to the Program as it may deem advisable including, without limitation, any
or all of the following:
(a) A required period of service with the Company, as determined by the Committee, prior to the issuance of Shares
under the Restricted Stock Units award.
(b) A requirement that the Restricted Stock Units award be forfeited in whole or in part in the event of termination of
the Participant's employment or service as a Contractor during the vesting period.
(c) A prohibition against employment of Participants holding Restricted Stock Units by any competitor of the
Company, against such Participants' dissemination of any secret or confidential information belonging to the
Company, or the solicitation by Participants of the Company's employees for employment by another entity.
Except as otherwise provided in this Article 8, Shares subject to Restricted Stock Units under the Program shall be freely

8.4. Stockholder Rights . Participants holding Restricted Stock Units issued hereunder shall not have any rights with
respect to Shares subject to the award until the award vests and the Shares are issued hereunder. However, dividend-equivalent
units may be paid or credited, either in cash or in actual or phantom Shares, on outstanding Restricted Stock Units awards,
subject to such terms and conditions as the Committee may deem appropriate.
8.5. Termination of Employment or Service . Each Restricted Stock Units Award Agreement shall set forth the extent to
which the Participant shall have the right to vest in previously unvested Shares subject to the Restricted Stock Units award
following termination of the Participant's employment with the Company or service to the Company as a Contractor. Such
provisions shall be determined in the sole discretion of the Committee, shall be included in the Award Agreement entered into
with each Participant, need not be uniform among all Restricted Stock Unit awards issued pursuant to the Program, and may
reflect distinctions based on the reasons for termination.
Article 9. Performance-Based Awards
9.1 Code Section 162(m) Performance-Based Awards. Without limiting the generality of the foregoing, any of the types
of Awards listed in Articles 6 through 8 above may be, and Options granted to officers and employees (" Qualifying Options ")
typically will be, granted as Awards intended to satisfy the Performance-Based Exception (" Performance-Based Awards " ).
The grant, vesting, exercisability or payment of Performance-Based Awards may depend (or, in the case of Qualifying
Options, may also depend) on the degree of achievement of one or more performance goals relative to a pre-established
targeted level or levels using one or more of the Performance Measures set forth below (on an absolute or relative (including,
without limitation, relative to the performance of other companies or upon comparisons of any of the indicators of performance
relative to other companies) basis) for the Company on a consolidated basis or for one or more of the Subsidiaries, segments,
divisions or business units, or any combination of the foregoing. Any Qualifying Option shall be subject only to the
requirements of Section 9.2 and 9.4 in order for such Award to satisfy the requirements for the Performance-Based Exception.
Any other Performance-Based Award shall be subject to all of the following provisions of this Article 9.
9.2 Class; Administrator. The eligible class of persons for Performance-Based Awards under this Article 9 shall be
officers and employees of the Company or one of its Subsidiaries.
9.3 Performance Measures. The specific performance goals for Performance-Based Awards (other than Qualifying
Options) shall be, on an absolute or relative basis, established based on one or more of the following performance measures ("
Performance Measures ") as selected by the Committee in its sole discretion:
(i) return measures (including, but not limited to, return on assets, capital, investment, equity or sales);
(ii) earnings per share;
(iii) net income (before or after taxes) or operating income;
(iv) earnings before interest, taxes, depreciation and amortization or operating income before depreciation and
amortization;
(v) sales or revenue targets;
(vi) market to book value ratio;
(vii) cash flow or free cash flow (cash flow from operations less capital expenditures);
(viii) market share;

(ix) cost reduction goals;
(x) budget comparisons;
(xi) implementation, completion or progress of projects, processes, products or product-lines strategic or critical to the
Company's business operations;
(xii) measures of customer satisfaction;
(xiii) share price (including, but not limited to, growth measures and total shareholder return);
(xiv) working capital;
(xv) economic value added;
(xvi) percentage of sales generated by new products;
(xvii) progress of research and development projects or milestones;
(xviii) growth in sales of products or product-lines;
(xix) any combination of, or a specified increase in, any of the foregoing; and
(xx) the formation of joint ventures, research and development collaborations, marketing or customer service
collaborations, or the completion of other corporate transactions intended to enhance the Company's revenue or
profitability or expand the Company's customer base.
To qualify Awards for the Performance-Based Exception, the applicable Performance Measures (or Performance Measure, as
the case may be) and specific performance goal or goals ("targets") must be established and approved by the Committee during
the first 90 days of the performance period (and, in the case of performance periods of less than one year, in no event after 25%
or more of the performance period has elapsed) and while performance relating to such target(s) remains substantially uncertain
within the meaning of Code Section 162(m). The Committee may provide, at the time it establishes the applicable Performance
Measures, for the Performance Measures (or performance against the Performance Measures, as the case may be) to be
adjusted to mitigate the unbudgeted impact of material, unusual or nonrecurring gains and losses, accounting changes or other
events specified by the Committee. The applicable performance measurement period may not be less than three months nor
more than 10 years.
9.4 Maximum Performance-Based Award. Grants of Qualifying Options to any one Participant in any one fiscal year
shall be subject to the limit set forth in Section 5.1(a). The maximum number of Shares which may be subject to Performance-
Based Awards that are granted to any one Participant in any one fiscal year shall be subject to the limit set forth in Section 5.1
(b). Awards that are cancelled during the year shall be counted against these limits to the extent required by Code Section 162
(m).

9.5 Certification of Payment; Reservation of Discretion. Before any Performance-Based Award under this Article 9
(other than Qualifying Options) is paid and to the extent required to qualify the Award for the Performance-Based Exception,
the Committee must certify in writing that the performance target(s) and any other material terms of the Performance-Based
Award were in fact timely satisfied. The Committee will have the discretion to determine the restrictions or other limitations of
the individual Awards granted under this Article 9 including the authority to reduce Awards, payouts or vesting or to pay no
Awards, in its sole discretion, if the Committee preserves such authority at the time of grant by language to this effect in its
authorizing resolutions or otherwise. In the event that applicable tax and/or securities laws change to permit Committee
discretion to alter the governing performance measures without obtaining stockholder approval of such changes, the Committee
shall have sole discretion to make such changes without obtaining stockholder approval. In addition, in the event that the
Committee determines that it is advisable to grant Awards that shall not qualify for the Performance-Based Exception, the
Committee may make such grants without satisfying the requirements of Code Section 162(m).
Article 10. Beneficiary Designation
Each Participant under the Program may, from time to time, name any beneficiary or beneficiaries (who may be named
contingently or successively) to whom any benefit under the Program is to be paid in case of his or her death before he or she
receives any or all of such benefit. Each such designation shall revoke all prior designations by the same Participant, shall be in
a form prescribed by the Company, and will be effective only when filed by the Participant in writing with the Company
during the Participant's lifetime. In the absence of any such designation, benefits remaining unpaid at the Participant's death
shall be paid to the Participant's estate.
Article 11. Deferrals
The Committee may permit or require a Participant to defer such Participant's receipt of the payment of cash or the
delivery of Shares that would otherwise be due to such Participant by virtue of the exercise of an Option or the lapse or waiver
of restrictions with respect to Restricted Stock or Restricted Stock Units. If any such deferral election is required or permitted,
the Committee shall, in its sole discretion, establish rules and procedures for such payment deferrals which shall be consistent
with the requirements of Code Section 409A and the Treasury regulations and rulings promulgated thereunder.
Article 12. Rights of Employees and Contractors
12.1 Employment . Nothing in the Program or any Award Agreement shall interfere with or limit in any way the right of
the Company or a Subsidiary to terminate at any time any Participant's employment or service to the Company or a Subsidiary
as a Contractor, nor confer upon any Participant any right to continue in the employ of the Company or a Subsidiary or to
provide services to the Company or a Subsidiary as a Contractor.
12.2 Participation . No Employee or Contractor shall have the right to be selected to receive an Award under this Program,
or, having been so selected, to be selected to receive a future Award.

Article 13. Change in Control
The Board or the Committee may provide in connection with any Change in Control that upon (or, as may be necessary to
give effect to the assumption or acceleration and termination, as the case may be, immediately prior to) the occurrence of a
Change in Control as to any Award then outstanding that (1) such Award will be assumed by a successor or surviving entity,
or a parent thereof, with appropriate adjustments to the Award pursuant to Section 5.4, or (2) such Award will terminate (and
not be assumed by a successor or surviving entity, or a parent thereof). In the event an Award is to be so assumed in
connection to a Change in Control, then the provisions of the Award Agreement for such Award will apply. In the event an
Award is to be so terminated in connection with a Change in Control then , unless otherwise specifically prohibited under
applicable laws or by the rules and regulations of any governing governmental agencies or national securities exchanges and
before giving effect to such termination :
(a) If the Award is an Option that is not subject to performance-based vesting conditions, it shall become
immediately exercisable;
(b) If the Award is Restricted Stock or Restricted Stock Units that are not subject to performance-based vesting
conditions, any vesting restrictions imposed on the Award and underlying Shares shall lapse and Restricted
Stock Units shall become payable;
(c) If the Award is subject to performance-based vesting conditions, the Award will vest and become exercisable or
payable (as the case may be) on a pro rata basis, based upon an assumed achievement of all relevant targeted
performance goals and upon the length of time within the Performance Period(s) which has elapsed prior to the
Change in Control;
The Board or the Committee may supplement or expressly supersede the provisions of this Article 13 as to an Award in
the applicable Award Agreement. The provisions of this Article 13, as in effect prior to February 19, 2015, continue to be
effective as to Awards granted prior to that date.
Article 14. Amendment, Modification, and Termination
14.1 Amendment, Modification, and Termination . Subject to the terms of the Program, including Section 14.2, the Board
may at any time and from time to time, alter, amend, suspend or terminate the Program in whole or in part. However,
stockholder approval shall be required for any amendment only to the extent required by applicable law.
14.2 Awards Previously Granted . Notwithstanding any provision of the Program or of any Award Agreement to the
contrary (but subject to Section 6.10 hereof), no termination, amendment, or modification of the Program or amendment of an
Award previously granted under the Program shall adversely affect in any material way any Award previously granted under
the Program, without the express consent of the Participant holding such Award.
Article 15. Compliance with Applicable Law and Withholding
15.1 General . Notwithstanding anything to the contrary in the Program or any Award Agreement, the following shall
apply:
(a) The Company shall have no obligation to issue any Shares under the Program if such issuance would violate any
applicable law or any applicable regulation or requirement of any securities exchange or similar entity.

(b) Prior to the issuance of any Shares under the Program, the Company may require a written statement that the
recipient is acquiring the Shares for investment and not for the purpose or with the intention of distributing the
Shares and that the recipient will not dispose of them in violation of the registration requirements of the
Securities Act of 1933.
(c) With respect to any person who is subject to Section 16(a) of the Exchange Act, the Committee may, at any time,
add such conditions and limitations to any incentive or payment under the Program or implement procedures for
the administration of the Program which it deems necessary or desirable to comply with the requirements of Rule
16b-3 of the Exchange Act.
If, at any time, the Company, determines that the listing, registration, or qualification (or any updating of any
such document) of any Award, or the Shares issuable pursuant thereto, is necessary on any securities exchange
or under any federal or state securities or blue sky law, or that the consent or approval of any governmental
regulatory body is necessary or desirable as a condition of, or in connection with, any Award, the issuance of
Shares pursuant to any Award, or the removal of any restrictions imposed on Shares subject to an Award, such
Award shall not be granted and the Shares shall not be issued or such restrictions shall not be removed, as the
case may be, in whole or in part, unless such listing, registration, qualification, consent, or approval shall have
been effected or obtained free of any conditions not acceptable to the Company or the Committee otherwise
provides.
15.2 Securities Law Compliance . With respect to Insiders, transactions under this Program are intended to comply with all
applicable conditions of Rule 16b-3 or its successors under the 1934 Act.
15.3 Tax Withholding . The Company shall have the power and the right to deduct or withhold, or require a Participant to
remit to the Company, an amount sufficient to satisfy federal, state, and local taxes, domestic or foreign, required by law or
regulation to be withheld with respect to any taxable event arising as a result of this Program.
15.4 Share Withholding . Awards payable in Shares may provide that with respect to withholding required upon any
taxable event arising thereunder, Participants may elect to satisfy the withholding requirement, in whole or in part, by having
the Company withhold Shares to satisfy their withholding tax obligations; provided that, unless otherwise provided by the
Committee, Participants may only elect to have Shares withheld having a Fair Market Value on the date the tax is to be
determined equal to or less than the minimum withholding tax which could be imposed on the transaction. Unless otherwise
provided by the Committee, all elections shall be irrevocable, made in writing, signed by the Participant, and shall be subject to
any restrictions or limitations, including prior Committee approval, that the Committee, in its sole discretion, deems
appropriate.
Article 16. Indemnification
Each person who is or shall have been a member of the Committee, or of the Board, shall be indemnified and held
harmless by the Company against and from any loss, cost, liability, or expense that may be imposed upon or reasonably
incurred by him or her in connection with or resulting from any claim, action, suit, or proceeding to which he or she may be a
party or in which he or she may be involved by reason of any action taken or failure to act under the Program and against and
from any and all amounts paid by him or her in settlement thereof, with the Company's approval, or paid by him or her in
satisfaction of any judgment in any such action, suit, or proceeding against him or her, provided he or she shall give the
Company an opportunity, at its own expense, to handle and defend the same before he or she undertakes to handle and defend
it on his or her own behalf. The foregoing right of indemnification shall not be exclusive of any other rights of indemnification
to which such persons may be entitled under the Company's Articles of Incorporation or Bylaws, as a matter of law, or
otherwise, or any power that the Company may have to indemnify them or hold them harmless.

Article 17. Successors
All obligations of the Company under the Program with respect to Awards granted hereunder shall, to the extent legally
permissible, be binding on any successor to the Company, whether the existence of such successor is the result of a direct or
indirect purchase, merger, consolidation, or otherwise, of all or substantially all of the business and/or assets of the Company.
Article 18. Legal Construction
18.1 Gender and Number . Except where otherwise indicated by the context, any masculine term used herein also shall
include the feminine; the plural shall include the singular and the singular shall include the plural.
18.2 Severability . In the event any provision of the Program shall be held illegal or invalid for any reason, the illegality or
invalidity shall not affect the remaining parts of the Program, and the Program shall be construed and enforced as if the illegal
or invalid provision had not been included.
18.3 Governing Law . To the extent not preempted by federal law, the Program, and all Award or other agreements
hereunder, shall be construed in accordance with and governed by the laws of the state of Delaware without giving effect to
principles of conflicts of laws.
Article 19. Recoupment Policy .
The Awards granted under the Program are subject to the terms of the Company's recoupment, clawback or similar policy
as it may be in effect from time to time, as well as any similar provisions of applicable law, any of which could in certain
circumstances require repayment or forfeiture of Awards or any Shares or other cash or property received with respect to the
Awards (including any value received from a disposition of the Shares acquired upon payment of the Awards).
