1【提出理由】
ニュースキン・エンタープライジズ・インク（以下、「当社」という。）は、当社及び当社の連結子会社に対
し訴訟の提起がなされたため、金融商品取引法第24条の5第4項及び企業内容等の開示に関する内閣府令第19条
第1項及び第2項第6号及び第14号の規定に基づき、本報告書を提出するものである。

4. Description of the Relevant Litigation and Amount of the Compensation for Damage:
The Company is currently in litigation with Don Roberts, a consultant in the agriculture industry.
Mr. Roberts claims he is a general partner in the Company's indoor-growing business and related
businesses. He also claims he was instrumental in developing some of the business's intellectual
property. In May 2019, the Company filed a lawsuit in the U.S. District Court for the District of
Utah, seeking a declaratory judgment that Mr. Roberts is not an inventor of any of the business's
intellectual property and is not a partner in the business. This lawsuit was dismissed on jurisdictional
grounds in December 2019. The Company has filed a notice of appeal of that dismissal to the U.S.
Court of Appeals for the Tenth Circuit.
On November 15, 2019, Mr. Roberts filed suit in Utah's Fifth Judicial District Court, seeking a
declaratory judgment that he is a general partner and, as such, is entitled to a 50% ownership interest
and 50% of the profits generated by the business. Mr. Roberts also seeks damages exceeding $250
million (JPY 27,477,500,000). The complaint does not state a specific amount. The Company has
filed a motion to dismiss this action in state court. The Company believes Mr. Roberts's claims are
without merit, and the Company intends to vigorously defend itself.
