    1【提出理由】
      ザ　コカ・コーラ          カンパニー（以下、「当社」という。）は、2021年11月１日付で、ボディアー
    マー（BODYARMOR）ブランドを保有するビーエー・スポーツ・ニュートリション・エルエルシー（BA
    Sports    Nutrition,       LLC）（以下、「BAスポーツ・ニュートリション」という。）の所有持分を全て取
    得した。当社は、2018年に初めにBAスポーツ・ニュートリションの15％の持分を取得しており、残りの
    85％の持分を取得したことによって、BAスポーツ・ニュートリションは当社の完全子会社となった。
    従って、当社は、金融商品取引法第24条の5第4項並びに企業内容等の開示に関する内閣府令第19条第1
    項及び同条第2項第8号の2の規定に基づき本報告書を提出するものである。

       (iii)  The  capital   relationship,      personal    relationship,      and  business    relationship      with  the  Company:

         Capital    relationship:      In 2018,   the  Company     acquired    a 15%  stake   in BA  Sports   Nutrition.

         Personal    relationship:      Not  Applicable

         Business     relationship:      BODYARMOR,         a line  of sports   performance      and  hydration     beverages,     owned    by

         BA  Sports   Nutrition     has  been   distributed     by the  U.S.  Coca-Cola     bottling    system    since   2018.
    (2)  The  purpose    of acquisition      of the  company     to be acquired;

       The  Company     acquired     full  ownership      of  BA  Sports    Nutrition,     LLC   for  the  purpose    of  acquiring     full

       ownership      of  the  BODYARMOR         brand,    a line  of  sports    performance       and  hydration     beverages.      The
       Company     considers     this  brand   to be incremental      to its beverage     portfolio    and  to have   significant     potential    for
       long-term     growth.
