１ 【提出理由】
サノフィは、リジェネロン・ファーマシューティカルズの株式を最大 2,280 万株売却することを、
2020 年5月26日に発表いたしました。
よって、金融商品取引法第 24条の 5第4項ならびに企業内容等の開示に関する内閣府令第 19条第 1項
および第 2項第 19号に基づき、以下のとおり本外国会社臨時報告書を提出いたします。
２ 【報告内容】

(1) The date on which the Event occurred
May 26, 2020
(2) The contents ofthe Event
On May 26, 2020, the Company announced that ithas agreed to sell 11.8 million shares of Regeneron
common stock through aregistered offering at aprice of $515.00 per share. On May 29, 2020, Regeneron
repurchased 9.8 million shares or approximately $5 billion incommon stock from the Company atthe offering
price less the underwriting discount. The Company expects to use the net proceeds of the offering and the
repurchase tofurther execute on its strategy todrive innovation and growth.
In connection with the offering, the underwriters were granted an option to purchase up to 1.2 million
additional Regeneron shares atthe price payable by the underwriters in the offering. As the option was fully
exercised, the offering and repurchase together resulted ingross proceeds tothe Company of $11.7 billion and
the sale ofits entire holding inRegeneron, excluding 400,000 Regeneron shares that the Company isretaining.
(3) The amount ofinfluence that the Event has on the consolidated profits and losses
Gross proceeds from the sale of Regeneron shares was $11.7 billion (JPY 1,257,867 million) but the
specifics ofits influence on the consolidated profits and losses has not been fixed.
