1. 本募集は、当社の間接子会社である日本メドトロニック株式会社、メドトロ
ニック・ソファモア・ダネック株式会社およびコヴィディエン ジャパン株式会
社の一定の従業員49名(以下「適格従業員」という。)に対して当社の修正改
訂済2013年株式報酬およびインセンティブ制度に従って付与される当社の記名

を決定することができる。優先株式は、取締役会が決定する方法により、配当、清算時の権
利または議決権行使に係る権利に関して優先することができる。また、優先株式は、当該優

1.目的・定義
1.1 目的 本メドトロニック・パブリック・リミテッド・カンパニー修正改訂済2013年株式報酬およびイ
ンセンティブ制度(以下「本制度」という。)の目的は、役員、従業員、取締役およびコンサルタントの誘
致、雇用継続および意欲を高めるにあたり、当社ならびにその関連会社および子会社(それぞれ以下に定義
される。)に競争上の優位性を与えること、内国歳入法(以下に定義される。)第162条(m)の意味における
「実績に基づく報酬」として最大限に控除可能であることを目的とした経済報酬を当社が上記個人に提供で
きるようにすること、ならびに株主価値に直結した金銭的インセンティブを役員、従業員、取締役およびコ
ンサルタントに与えるインセンティブ制度を当社ならびにその子会社および関連会社に提供することであ
る。本制度は、従業員、取締役およびその他の職員に対する株式報酬および長期金銭的インセンティブ報酬
ならびに当社の業務執行役員に対する年間賞与としての当社の基本的制度となる予定である。当社の株主に
より本制度が承認を得た日以降、他の当社の制度に基づく追加の株式報酬は付与されなかった(かかる制度
に基づく発行済の報酬は、当該制度の条件に従い引き続き処理されるものと解釈される。)。本制度は、
2015年1月26日付で以下のとおり修正および改訂される。
1.2 定義 本書において用いられる用語は、かかる用語が最初に用いられる箇所において付与される定義
を有する。さらに、本制度上、以下の用語は下記のとおり定義される。
(a)「法」とは、1934年証券取引所法をいうものとし、その後の変更、これに基づき公布される規則お
よび改正を含む。
(b)「運営者」とは、本制度第2.2節に定める意味を有する。
(c)「関連会社」とは、当社により支配される、当社を支配する、または当社と共同の支配権に服する
企業またはその他の法人をいう。
(d)「該当取引所」とは、ニューヨーク証券取引所または当該時点における当社普通株式の主要な市場
であるその他の証券取引所をいう。
(e)「本報酬」とは、本オプション、株式評価益受益権、制限付株式、制限付株式ユニット、その他の
株式に基づく報酬または実績報酬の形式により、本制度の条件に基づき付与された報酬をいう。
(f)「付与契約」とは、特定の本報酬の条件を定めた書面または契約をいう。
(g)「実質的所有者」とは、法に基づき公布された法ルール13d-3に定められた意味を有する。
(h)「取締役会」とは、当社の取締役会をいう。
(i)「事象」とは、付与契約に別段の定めがある場合を除き、(ⅰ)適用ある本制度参加適格者が当事者
であり、かつ当該時点において有効な個別契約において定義される「事象」、または(ⅱ)かかる個別
契約が存在しない場合もしくは「事象」を定義していない場合(A)連邦法、地域の法律またはかかる
行為が発生した州法の下で本制度参加適格者が重罪を犯すこと、(B)重大な点において、本制度参加
適格者がその就業義務を履行しないこと、(C)当社の同意なしに、本制度参加適格者がその業務を長
期間欠勤すること、(D)当社の事業もしくはその他の利益と相反するもしくはこれらに逆らう活動に
本制度参加適格者が意図的に従事すること、もしくは(E)当社にとって有害であると合理的に決定さ
れた、業務上の故意の不正行為もしくは違法行為をいう。本制度第2.3節の一般規則にかかわらず、
支配権の変動後、「事象」が存在したか否かに係る当委員会の決定は、改めて検討に付される。
(j)「支配権の変動」とは、本制度第10.2節に定める意味を有する。
(k)「内国歳入法」とは、1986年内国歳入法をいうものとし、その後の変更、改正、これに基づき公布
される規則および内国歳入局または財務省により発行されるその他の解釈ガイダンスを含む。内国歳
入法の特定の項への言及は、かかる規則およびガイダンスならびに内国歳入法の改正条項を含むもの
とみなされる。
(l)「当委員会」とは、取締役会により随時任命される取締役会の委員会または小委員会をいうものと
し、かかる委員会または小委員会は、2名以上の被用者でない取締役によって構成されるものとし、
同取締役はそれぞれ、法ルール16b-3に基づき要求される範囲で、法ルール16b-3に定義される「被
用者でない取締役」とする予定であり、かつ内国歳入法第162条(m)およびこれに基づき公布された規
則に基づき要求される範囲で、内国歳入法第162条(m)に定義される「社外取締役」とする予定であ
る。当初は、そして、取締役会が別段の決定を行わない限り、かつかかる別段の決定を行うまで、
「当委員会」とは、取締役会報酬委員会をいう。
(m)「当社普通株式」とは、1株当たり額面金額が0.0001米ドルの当社普通株式をいう。
(n)「当社」とは、アイルランド籍の株式有限責任公開会社であるメドトロニック・パブリック・リミ
テッド・カンパニーをいう。
(o)「非関連会社化」とは、子会社もしくは関連会社が理由を問わず(当社による子会社もしくは関連
会社の株式の公募、企業分割もしくは売却に起因するものを含むが、これらに限定されない。)、子
会社もしくは関連会社でなくなること、または当社もしくはその関連会社の部門を売却することをい
う。

(p)「適格者」とは、当社または子会社もしくは関連会社の取締役、役員、従業員およびコンサルタン
ト、ならびに当社または子会社もしくは関連会社からの雇用またはコンサルティングの申出を受諾し
た、 従業員、役員およびコンサルタントとなる予定である者をいう。ただし、上記該当者の雇用また
はコンサルティングが開始する日付より前に付与は有効にならないものとする。
(q)「公正市場価格」とは、当委員会が別段の決定を行わない限り、該当取引所における測定日(また
は当社株式がかかる測定日において該当取引所で取引されていない場合は、かかる日に先立つ直近の
当社株式の取引日)の当社普通株式の終値をいい、すべて当委員会が選択する情報源からの報告によ
るものとする。当社普通株式が国際証券取引所に上場されていない場合は、公正市場価格は、当委員
会が内国歳入法第409条(A)の要求を適切な範囲で勘案し、誠実にその裁量により決定するものとす
る。
(r)「独立SAR」とは、本制度第5.3節に定める意味を有する。
(s)「全額報酬」とは、本オプション、株式評価益受益権または実績連動現金報酬以外の本報酬をい
う。
(t)終了のための「正当な理由」とは、付与契約に別段の定めがある場合を除き、(ⅰ)いずれの場合も
かかる本制度参加適格者に適用される個別契約において、雇用の終了が、「正当な理由」による終了
であるか、もしくは類似の解釈がなされる終了規定に基づき適格である場合には、本制度参加適格者
による支配権の変動後の2年間における雇用の終了をいう。また( ⅱ ) 本制度参加適格者がかかる個別
契約の当事者でない場合、もしくはかかる個別契約がかかる規定を含まない場合には、(A)本制度参
加適格者の通勤距離を、当該支配権の変動の直前における通勤距離から50マイル超増加させる不本意
な移転、(B)本制度参加適格者の基本給または本制度参加適格者の全般的な報酬機会のいずれかにお
ける、適用ある支配権の変動の直前に有効であった水準からの著しい減少、または(C)本制度参加適
格者の権限、義務もしくは責任における、適用ある支配権の変動の直前に有効であった水準からの著
しい低下が発生した後の雇用の終了をいう。上記の記載にかかわらず、雇用の終了は、正当な理由を
発生させる1つ以上の条件の存在について、本制度参加適格者がかかる条件の当初発生から90日以内
に当社に書面による通知を行い、当社がかかる通知を受領してから30日以内(以下「治癒期間」とい
う。)にかかる条件を治癒せず、本制度参加適格者が治癒期間の終了後180日以内に雇用を終了させ
た場合にのみ、本制度第1.2節(t)( ⅱ ) 項に基づく正当な理由であるとみなされるものとする。
(u)「付与日」とは、( ⅰ ) 当委員会(もしくは適用ある場合、その代理人)が本報酬を受領する適格者
を選定する行為をとり、かかる本報酬の対象となる当社株式の数を決定する日、または( ⅱ ) 当委員会
(もしくは適用ある場合、その代理人)が定めるこれ以降の日をいう。
(v)「インセンティブ・ストック・オプション」とは、内国歳入法第422条(または同条の改正規定)
の意味における「インセンティブ・ストック・オプション」として適用ある付与契約において指定さ
れ、事実上かかる意味において適格である本オプションをいう。
(w)「個別契約」とは、本制度参加適格者と当社の間または本制度参加適格者と当社のいずれかの子会
社もしくは関連会社との間の雇用契約、コンサルティング契約、退職規定、支配権の変動による退職
規定または類似の契約をいう。本制度上、個別契約はその期間中において「有効」であるとみなされ
るものとするが、退職金または他の実質手当、報酬もしくは給付金が、支配権の変動または支配権の
変動を予期した雇用の終了の後にのみ供与されると規定する個別契約は、支配権の変動または支配権
の変動を予期した雇用の終了(場合による)が発生するまで「有効」であるとはみなされないものと
する。
(x)「インセンティブ・ストック・オプション適格従業員」とは、当社、当社の(内国歳入法第424条
(f)の意味における)子会社、または当社の(内国歳入法第424条(e)の意味における)親会社の従業
員をいう。
(y)「不適格オプション」とは、( ⅰ ) インセンティブ・ストック・オプションとして指定されていない
か、または( ⅱ ) インセンティブ・ストック・オプションとして指定されているが、適格でない本オプ
ションをいう。
(z)「本オプション」とは、本制度第5.1節に基づいて付与された本報酬をいう。
(aa)「その他の株式に基づく報酬」とは、当社普通株式および当社普通株式を参照しまたは別途当社普
通株式に基づきその全部または一部が評価されるその他の本報酬(非制限株式、配当等価物および転
換社債を含むが、これらに限定されない。)をいう。
(bb)「その他の株式に基づく実績報酬」とは、本制度第8節に定める意味を有する。
(cc)「本制度参加適格者」とは、本報酬が付与されるまたは付与された適格者をいう。
(dd)「実績報酬」とは、実績連動現金報酬、その他の株式に基づく実績報酬、実績に基づく制限付株式
または実績連動ユニット(本書にそれぞれ定義される。)による本報酬をいう。
(ee)「実績に基づく制限付株式」とは、本制度第6.1節に定める意味を有する。
(ff)「実績連動現金報酬」とは、本制度第9節に定める意味を有する。
(gg)「実績目標」とは、実績報酬の付与に関し、当委員会が設定した実績目標をいう。実績に基づく適
格報酬の場合、( ⅰ ) かかる実績目標は、売上高、純売上高、収益、収益成長率または製品の収益成長
率、営業利益(税引前または税引後)、投資利益率、使用総資本利益率、税引前利益または税引後利
益(会社運営諸経費および賞与の割当前または割当後)、純益、1株当たり利益、希薄化後の1株当た
り利益、税引前連結収益または税引後連結収益(金利、租税、減価償却費および償却費の一部または
全部を控除する前の収益を含む。)、純利益、売上総利益、粗利益、期末現金、債務削減、1株当た
り簿価、株主資本利益率、費用管理、投資収益率、資本構成の改善、特定可能な事業ユニットまたは
製品の収益性、利鞘の維持または改善、株価、市場占有率、費用、キャッシュ・フロー、運転資本、

総資産利益または純資産、資産回転率、在庫回転率、経済付加価値(経済的利益)または同様の基
準、様々な株式市場指数との比較、株価の上昇または維持、費用削減、規制基準への到達、調査、開
発、 製品またはプロジェクトおよび人材の採用または雇用継続に関する測定可能な目標の推進、達成
または到達、および株主総利益率(それぞれ当社または当社の1つ以上の関連会社、子会社、部門、
事業ユニットもしくは事業セグメントに関し、絶対的基準または1社以上の他社の業績もしくは複数
の企業を対象とする指数との比較のいずれかにおいて測定される。)のうち、1つ以上の指標の指定
水準への到達または変動に基づくものとし、( ⅱ ) かかる実績目標は、内国歳入法第162条(m)およびこ
れに基づき公布される規則に規定される期間内に当委員会により設定されるものとし、( ⅲ ) かかる実
績目標は内国歳入法第162条(m)およびこれに基づき公布される規則の意味において客観的であり、か
つ事前に設定されるものとし、( ⅳ ) かかる実績目標の達成は内国歳入法第162条(m)の要件に従い認定
されるものとする。
(hh)「業績連動期間」とは、実績報酬が付与された時点またはそれ以降の時点において当委員会により
設定され、かかる本報酬に関し当委員会により指定された実績目標が測定される期間をいう。
(ii)「実績連動ユニット」とは、本制度第7.1節に定める意味を有する。
(jj)「本制度」とは、本書に規定される本メドトロニック・パブリック・リミテッド・カンパニー修正
改訂済2013年株式報酬およびインセンティブ制度(本書の日付以後の改訂を含む。)をいう。
(kk)「本先行制度」とは、当社の1994年株式報酬制度、1998年社外取締役株式報酬制度、経営陣インセ
ンティブ制度、カイフォン・インク2002年株式制度、2003年長期インセンティブ制度ならびに2008年
株式報酬およびインセンティブ制度(それぞれその後の修正および改訂を含む。)をいう。
(ll)「実績に基づく適格報酬」とは、本制度第11節に定める第162条(m)免除資格を有することを目的と
した本報酬をいう。
(mm)「交換予定報酬」とは、本制度第10.1節に定める意味を有する。
(nn)「交換報酬」とは、本制度第10.1節に定める意味を有する。
(oo)「制限付株式」とは、本制度第6節に定める意味を有する。
(pp)「制限付株式ユニット」とは、本制度第7節に定める意味を有する。
(qq)「制限期間」とは、制限付株式および制限付株式ユニットに関し、付与日に開始し、適用ある授権
条件の失効または適用ある実績目標の達成により終了する期間をいう(制限期間中、適用ある本報酬
の一部につき、当委員会は制限の失効を規定することができるものと解釈される。)。
(rr)「第162条(m)免除資格」とは、内国歳入法第162条(m)(4)(C)に記載される内国歳入法第162条(m)に
より課される控除制限の免除資格をいう。
(ss)「当社株式」とは、当社普通株式の株式をいう。
(tt)「株式評価益受益権」または「SAR」とは、本制度第5.3節に定める意味を有する。
(uu)「子会社」とは、1963年アイルランド共和国会社法第155条に規定される意味を有する。ただし、
当委員会が決定するとおり、内国歳入法第409条(A)に基づく追徴課税を免れるために必要な範囲内に
おいて、当社が直接的または一連の企業もしくはその他法人(かかる一連の企業もしくはその他法人
に属する各企業もしくはその他法人は、かかる一連の企業もしくはその他法人に属する他の企業もし
くは法人に対して「企業支配権」を有するものとする。)を通じて「企業支配権」(財務省規則第
1.409条(A)-1(b)(5)(ⅱ)(E)(1)に定義される。)を有する法人である場合を除き、当該法人は子会社
であるとはみなされない。
(vv)「代替報酬」とは、当社もしくは子会社もしくは関連会社が取得する、または当社もしくは子会社
もしくは関連会社が合併する会社または事業(適用ある取引の前には、当社の子会社または関連会社
でないものとする。)の報酬を引き受け、またはこれの代わりに付与される本報酬をいう。
(ww)「タンデムSAR」とは、本制度第5.3節に定める意味を有する。
(xx)「10パーセント株主」とは、当社、(内国歳入法第424条(f)の意味における)子会社、または(内
国歳入法第424条(e)の意味における)親会社のいずれかの全種類の株式の議決権総数の10パーセント
超の株式を所有している者をいう。
(yy)「有効期間」とは、本オプションまたは株式評価益受益権が発行されている最長期間をいうが、適
用ある付与契約に指定される雇用の終了またはその他による早期終了に従うものとする。
(zz)「雇用の終了」とは、付与契約に別段の定めがある場合を除き、当社およびその子会社または関連
会社のいずれかとの間の適用ある本制度参加適格者との間の雇用関係または同社に対する本制度参加
適格者の勤務の終了をいう。当委員会が別段の決定を行わない限り、子会社もしくは関連会社または
当社もしくは関連会社の部門に雇用されているまたは勤務している本制度参加適格者は、非関連会社
化の結果、かかる子会社、関連会社または部門が子会社、関連会社または部門(場合による)でなく
なった場合、雇用の終了が発生したとみなされるものとし、本制度参加適格者は当社またはその他の
子会社もしくは関連会社の従業員または勤務者に直ちになるわけではない。疾病、休暇、休職ならび
に当社ならびにその子会社および関連会社の間の転勤による一時的な欠勤は、雇用の終了とはみなさ
れないものとする。上記の記載にかかわらず、内国歳入法第409条(A)の意味における「不適格繰延報
酬」である本報酬に関しては、「雇用の終了」とは、内国歳入法第409条(A)に定義される「業務の分
離」を意味するものとする。

2.運 営
2.1 当委員会 本制度は、当委員会または本書に定義される正式に指名された運営者によって運営される
ものとする。当委員会は、本制度第11節に基づき、本制度の条件に従い適格者に本報酬を付与する絶対的権
限を有する。当委員会は、本制度の条件に従い、とりわけ下記を行う権限を有する。
(a)本報酬を付与する適格者の選定。
(b)本書に基づき本オプション、株式評価益受益権、制限付株式、制限付株式ユニット、その他の株式
に基づく報酬もしくは実績報酬のどの付与を、またはこれらの組み合わせの付与を行うか否か、およ
びいかなる範囲で行うかを決定すること。
(c)本制度に基づき付与されたそれぞれの本報酬の対象となる当社株式の数の決定。
(d)当委員会が決定する要因に基づく、本書に従い付与されたそれぞれの本報酬の条件の決定。
(e)本制度第12節に従い、本報酬の条件を修正、変更または調整すること。
(f)当委員会が随時望ましいとみなすところに従い、本制度を管理する運営規則、ガイドラインおよび
実務を採用、変更または撤回すること。
(g)本制度ならびに本制度(およびこれに関する契約)に基づき発行された本報酬の条件および条項の
解釈。
(h)本制度第11節および第12節に従い、それぞれの場合において当委員会がその単独の裁量でする決定
に基づき、発行済の本報酬の授権または制限の失効を促進すること。
(i)本報酬に関し決定しなければならないその他の全事項を決定すること。
(j)本制度に基づく本報酬に関し支払われる現金、当社株式ならびにその他の資産およびその他の金額
が、自動的または本制度参加適格者の選択により繰り延べられるか否か、ならびにいかなる範囲でお
よびいかなる状況において繰り延べられるかを決定すること。
(k)本制度のその他運営。
2.2 当委員会の手続・取締役会の権限 当委員会は、本制度に基づく権限を以下のとおり行使する。
(a)当委員会は、その時点において在任中の委員の過半数の同意によってのみ行為することができるも
のとする。ただし、当委員会は、適用法令または該当取引所の上場規則により禁止されていない限
り、本制度第11.3節に従い、1名以上の委員にその責任および権限の全部または一部を割り当て、同
委員が選任する者(以下「運営者」という。)にその責任および権利の全部または一部を委任するこ
とができる。上記の記載にかかわらず、かかる委任により本書における実績に基づく適格報酬が第
162条(m)免除資格として不適格となるか、または本書に基づく本報酬が法第16条(b)の短期売買の回
収規則の(免除ではなく)対象となる場合、いかなる責任または権限も委任することができないもの
とする。上記の一般性を制限することなく、当委員会は、実績に基づく適格報酬の付与、条件設定や
その他管理をする責任および権限を委任することはできず、そしてまた、法第16条(b)(下記本制度
第11.4節に定義される。)の対象である本制度参加適格者に対する本報酬の付与および条件決定をす
る責任および権限を委任することもできない。
(b)本制度第11.3節に従い、当委員会に付与された権限は、取締役会全体によっても行使されうる。取
締役会によりとられた許可された行為が、当委員会の行為と矛盾する場合には、取締役会の行為を優
先するものとする。
2.3 当委員会の裁量 本制度第1.2節( ⅰ ) 項に従い、本報酬に関する本制度の規定に基づく当委員会または
運営者による決定は、本報酬の付与時(または本制度にこれに違反する明白な規定がない限り、これ以降の
あらゆる時点)において当委員会または運営者の単独の裁量により行われるものとする。当委員会または運
営者によるすべての決定は、当社、本制度参加適格者および適格者を含むすべての者に対し、終局的で、か
つ法的な拘束力を有するものとし、本制度に基づく本報酬を受領することにより、各本制度参加適格者は、
当委員会のすべての決定が終局的であり、かつ本制度参加適格者、その受益者および本報酬において債権ま
たは利益を有するその他いかなる者に対しても法的な拘束力を有することを認めるものとする。
2.4 付与契約 当委員会が別段の決定を行わない限り、当委員会が決定するそれぞれの本報酬の条件は、
書面による付与契約に記載されるものとする。付与契約は、本制度第12節に従う場合にのみ変更することが
できる。
3.本制度の対象となる当社普通株式
3.1 本制度に基づき発行される当社株式の最大数 本制度第3.4節に規定される調整に従い、(a)本制度に
基づく本報酬に従い発行される当社株式の最大数は( ⅰ )50,000,000 株、( ⅱ ) 当社の2008年株式報酬およびイ
ンセンティブ制度に基づき2013年8月22日時点で付与が可能な株式ならびに( ⅲ ) 本制度第3.2節に基づき本制
度の下で付与が可能となる本先行制度に関する株式、の合計とし、(b)インセンティブ・ストック・オプ
ションとなる予定の本オプションに従い発行される当社株式の最大数は50,000,000株とする。本制度に基づ
く本報酬の対象となる当社株式は、授権株式および未発行株式または自己株式からなる場合がある。
3.2 発行される当社株式の計算に関する規定 本制度第3.1節に規定される制限の目的(本制度第3.3節に
規定される制限の目的を除く。)において、全額報酬の対象となる各当社株式は、3.0株として数えられ
る。本制度もしくは本先行制度に基づく本報酬が没収され、または本制度もしくは本先行制度に基づき付与
される本オプションおよび関連するタンダムSARもしくは独立SARが行使されずに消滅、終了もしくは失効
し、または本報酬が現金により決済される範囲においては、その結果交付されないこととなるかかる本報酬

の対象となる当社株式は、(全額報酬の場合は、本制度第3.2節の第1文に規定される株式計数比に基づき)
本制度の下で本報酬のために利用可能となる。当社普通株式の株式が当社によって留保されているかまたは
本 オプションもしくはSAR以外の本報酬に関する源泉徴収納税義務を果たすために、以前に付与された当社
株式が本制度参加適格者によってすでに提出されている(実際にかまたは認証済みであるのかを問わな
い。)場合、かかる提出されているかまたは留保されている当社株式は、自動的に本制度に基づく発行が再
び可能となり、それに応じて本制度第3.2節の規定と同率に従って本制度第3.1節に基づき発行可能となる当
社株式の総数は増加することとなる。本制度第3.2節と異なるいかなる規定にもかかわらず、以下の当社株
式が本制度に基づき再び発行可能となることはない。以下の当社株式とはすなわち、(a)本制度第5.8節
(c)に基づく「行使純額」または本オプションの行使価格の支払のために本制度参加適格者によって提出さ
れた(実際にかまたは認証済みであるのかを問わない。)以前に付与された当社株式によって行使価格が支
払われた場合以外のオプションの行使時に発行された当社株式、(b)当社によって留保された当社株式また
は本オプションもしくはSAR(その他の本報酬は除く。)に関する源泉徴収税義務を果たすために、本制度
参加適格者によって提出された(実際にかまたは認証済みであるのかを問わない。)以前に付与された当社
株式、(c)SARの行使時の株式決済に関連して発行されたのではないSARに対応する当社株式および(d)本オ
プションの行使による収益を利用して当社によって買い戻された当社株式である。さらに、代替報酬の場合
は、かかる代替報酬に関して交付されるもしくは交付可能な当社株式は、本制度第3.1節もしくは本制度第
3.3節の目的において本制度の下で付与または発行されたものとみなされないものとする。
3.3 個別制限 本制度第3.4節に規定される調整に従い、本制度参加適格者は、本制度の下で、(a)本オプ
ションおよび株式評価益受益権ならびに(b)本オプションまたは株式評価益受益権以外の本報酬によって
も、1事業年度中に2,000,000株超を付与されることはないものとする。上記の記載に加え、1事業年度中に
おける現金建ての実績に基づく適格報酬の本制度参加適格者に対して支払われる最大米ドル価格は、かかる
事業年度中に取得され繰り延べられた金額を含み、当社の最高経営責任者については20,000,000米ドル、そ
の他の各本制度参加適格者に対しては10,000,000米ドルとする。本報酬が取り消された場合は、取り消され
た本報酬は、引き続き本制度第3.3節に規定される制限に含めて数えられるものとする。
3.4 調整規定 当委員会は、本制度の下で、以下の調整を行う権限を有するものとする。
(a)吸収合併、新設合併、資産もしくは株式の取得、新株引受権募集、清算、分離、企業分割、非関連
会社化、現金もしくはその他の資産による特別配当または当社もしくはその子会社のいずれかに影響
を及ぼす類似の事由(以下「企業間取引」という。)が生じた場合、当委員会もしくは取締役会は、
(ⅰ)本制度の下で発行および交付のために保存されている当社株式もしくはその他の証券の総数もし
くは種類、(ⅱ)本制度第3.1節および第3.3節に規定される当社株式の最大数に関する諸制限、(ⅲ)発
行済の本報酬の対象となる当社株式もしくはその他の証券の数もしくは種類および(ⅳ)発行済の本報
酬の行使価格に関して、適切および衡平であるとみなされる代替または調整を行うものとする。かか
る調整によって生じた端株は消去されるものとする。当委員会により決定されたすべての調整は終局
的で、法的な拘束力を有し、決定的なものとする。
(b)株式配当、株式分割、逆株式分割、組織再編成、株式併合、資本再構成または当社の資本構成に影
響を及ぼす類似の事由が生じた場合、当委員会もしくは取締役会は、(ⅰ)本制度の下で発行および交
付のために保存されている当社株式もしくはその他の証券の総数もしくは種類、(ⅱ)本制度第3.1節
および第3.3節に規定される当社株式の最大数に関する諸制限、(ⅲ)発行済の本報酬の対象となる当
社株式もしくはその他の証券の数もしくは種類および(ⅳ)発行済の本報酬の行使価格に関して、適切
および衡平であるとみなされる代替または調整を行うものとする。ただし、本オプションの1株当た
りの行使価格または本報酬に関し支払われるべき1株当たりの応募価格が、1株当たりの額面金額未満
の金額まで減額されることはない。かかる調整によって生じた端株は消去されるものとする。当委員
会により決定されたすべての調整は終局的で、法的な拘束力を有し、決定的なものとする。
(c)企業間取引の場合、かかる調整には、( ⅰ ) 当委員会もしくは取締役会がその単独の裁量により決定
する発行済の本報酬の価格に等しい総価額を有する現金、資産もしくはその組み合わせ(もしあれ
ば)による支払と引き換えに行われるかかる本報酬の取消(当社普通株式の株主が当該存続会社(下
記本制度第10.2節に定義する。)の公開有価証券以外の対価を受領する企業間取引の場合、本オプ
ションもしくは株式評価益受益権の価格がかかる目的においてかかる企業間取引に従いかかる本オプ
ションもしくは株式評価益引受権の行使価格として各当社株式に対して支払われる対価の価格の超過
分(もしあれば)と等しいとみなす当委員会によるいかなる決定も、完全に有効と解釈されるものと
する。)、( ⅱ ) その他の資産による発行済の本報酬の対象となる当社株式(現金もしくは当社のその
他の証券または当社以外の法人の証券が含まれるが、これらに限定されない。)との代替、および
( ⅲ ) 非関連会社化に関して、企業間取引を受けて、影響を被る子会社、関連会社もしくは当社の部門
またはかかる子会社、関連会社もしくは当社の部門を支配する法人による本報酬の引受、または本報
酬とその他の資産もしくは証券(当社のその他の証券または当社以外の法人の証券が含まれるが、こ
れらに限定されない。)に基づく新たな報酬との代替の手配、が含まれるが、これらに限定されない
(引き続き当社の証券に基づくこととなる本報酬に対する類似の調整も同様とする。)。疑義を避け
るために、当委員会が、企業間取引の日付時点で、本報酬は無価値であると判断した場合、かかる本
報酬は当社によって支払無しで終了させられるものとする。
(d) 当委員会は、その単独の裁量により、1つ以上の客観的に決定可能な調整に対し、1つ以上の実績目
標を設定するものと定めている。かかる調整は以下のうちの1つ以上を含むがそれらに限定されな
い。すなわち、( ⅰ ) 会計原則における変更に関する項目、(ⅱ)財務活動に関する項目、(ⅲ)再編また

は生産性向上のための費用、(ⅳ)その他の営業外項目、(ⅴ)買収に関する項目、(ⅵ)業績連動期間中
に当社により買収された法人の事業運営に起因する項目、(ⅶ)事業もしくは事業の一部の清算または
売 却に関する項目、(ⅷ)適用ある会計基準に基づく事業の一部として適格でない非継続事業に関する
項目、(ⅸ)業績連動期間中に発生した株式配当、株式分割、株式の組み合わせまたは交換に起因する
項目、(x)適切な調整と認められる重大な利益または費用のその他の項目、(xi)特別なもしくは臨時
の企業間取引、事由または進展に関する項目、(xii)買収された無形資産の償却に関する項目、
(xiii)当社の核となる進行中の事業活動の範囲外にある項目、(xiv)買収された進行中の研究開発に
関する項目、(xv)税法の変更に関する項目、(xvi)主要なライセンスまたはパートナーシップの手配
に関する項目、(xvii)資産減損による費用に関する項目、(xviii)訴訟、調停および契約上の調停に
かかる損益に関する項目、または(xix)適用ある法律、会計原則または事業の状況におけるその他の
特別なもしくは非継続的な事象または変更に関する項目、である。第162条(m)免除資格を満たす予定
であるすべての本報酬に対して、かかる決定は、内国歳入法第162条(m)に従う場合を除き、内国歳入
法第162条(m)に定められた期間内になされるものとする。
(e) 上記の規定にかかわらず、(a)本制度第3.4節に従い行われる内国歳入法第409条(A)の意味の範囲
内における「繰延給与」とみなされる本報酬に対するいかなる調整も、内国歳入法第409条(A)の要件
に従って行われるものとし、(b)本制度第3.4節に従い行われる内国歳入法第409条(A)の意味の範囲
内における「繰延給与」とみなされない本報酬に対するいかなる調整も、かかる調整後に本報酬が、
( ⅰ ) 引き続き内国歳入法第409条(A)に服しないか、または( ⅱ ) 内国歳入法第409条(A)の要件に従うか
のいずれかとなる方法で行われるものとする。
4.適格性
4.1 適格者-インセンティブ・ストック・オプション 本報酬は、本制度に基づき、適格者に付与するこ
とができるものとする。ただし、インセンティブ・ストック・オプションは、当社および(内国歳入法第
424条(f)に定められた意味における)その子会社または親会社の従業員にのみ付与することができるものと
する。
5.本オプションおよび株式評価益受益権
5.1 本オプションの種類 本オプションは、インセンティブ・ストック・オプションおよび不適格オプ
ションの2種類になる可能性がある。本オプションの付与契約において、かかる本オプションがインセン
ティブ・ストック・オプションまたは不適格オプションになる予定であることが記載される。ただし、イン
センティブ・ストック・オプションとして記載されているが、(本制度第5.2節または別段に規定される)
インセンティブ・ストック・オプションの基準を満たさない本オプションおよびインセンティブ・ストッ
ク・オプションとなる予定であることが明確に記載されていないオプションは、不適格オプションとして扱
われるものとする。
5.2 インセンティブ・ストック・オプションの制限 本制度または当社、(内国歳入法第424条(f)に定め
られた意味における)子会社もしくは(内国歳入法第424条(e)に定められた意味における)親会社のその他
のストック・オプション制度に基づき、暦年において初めてインセンティブ・ストック・オプションを行使
できる際に、当社株式の公正市場価格総額(付与時に決定される。)が100,000米ドルを超える限りにおい
ては、制限を超えたかかる当社株式に関するオプションは不適格オプションとしてみなされるものとする。
インセンティブ・ストック・オプション適格従業員がインセンティブ・ストック・オプションの付与時から
その行使日の3ヶ月前(または適用される法律が別段に規定する期間)までの間に、当社、(内国歳入法第
424条(f)に定められた意味における)子会社または(内国歳入法第424条(e)に定められた意味における)親
会社における常勤雇用を継続していない場合は、かかるオプションは不適格オプションとして扱われるもの
とする。本オプションを適格なインセンティブ・ストック・オプションとするために本制度の規定が必要で
ない場合または追加規定が必要な場合は、当委員会は、当社株主による承認を得ることなく、本制度を適宜
に修正することができる。
5.3 株式評価益受益権の種類および性質

5.5 行使価格 交換報酬または代替報酬を除いて、本オプションまたは独立SARの対象となる当社株式1株
分の行使価格は、当委員会によって決定され、適用ある付与契約に規定されるものとし、当該付与日におけ
る当社普通株式の公正市場価格を下回ってはならないものとする。ただし、インセンティブ・ストック・オ
プションが10パーセント株主に付与される場合は、かかる行使価格は当該付与日における当社株式の公正市
場価格の110パーセントを下回らないものとする。
5.6 有効期間 各オプションおよび各独立SARの有効期間は、当委員会によって決定されるが、付与日から
10年を超えないものとする。

5.7 授権および行使可能性 本書で別段の規定のない限り、本オプションおよび独立SARは、当委員会が決
定する行使時期および条件に従って行使できるものとする。本制度および適用ある付与契約の条件に従い、
本オプションまたは独立SARに関する授権計画は、いかなる場合も、付与日から1年が経過する前にかかる本
オ プションまたは独立SARが確定することを規定しない。前述に規定された最短授権期間は、(A)取得済み
の実績連動報酬およびその他の取得済みインセンティブ現金報酬の支払に使用された本報酬に対して、(B)
死亡、障害または退職による雇用の終了時、(C)支配権の変動時、(D)代替された報酬の授権期間を短縮し
ない代替報酬に対して、または(E)本報酬が影響を与える当社普通株式の株式数が本オプションまたは独立
SARとして付与できる当社株式の5パーセントを超えない場合、には適用されないものとする。
5.8 行使方法 本制度第5節の規定に従い、当該有効期間の間は随時、行使される予定の本オプションまた
は独立SARに応じた株式数を明記した書面により当社に行使を通知することにより、本オプションおよび独
立SARの全部または一部を行使することができる。本オプションを行使する場合は、かかる通知と同時に、
購入価格(当該行使価格を掛けたかかる株式数の積と同等とする。)の全額および連邦、州、地方、または
外国の源泉徴収税の金額が支払われるものとする。法律の許容する範囲内において、かつ当委員会が承認し
た場合は(かかる承認は適用ある付与契約またはその他に規定することができる。)、支払の全部または一
部は、支払保証小切手もしくは銀行小切手または当社が受け取ることのできるその他の手形もしくは方法に
よって、以下のとおりに行われる。
(a)支払は、本制度参加適格者がすでに保有する本オプションの対象となる当社普通株式と同一の種類
の当社株式の形(かかる当社株式の交付または証明書による。)で行うことができる(本オプション
の行使日における当社普通株式の公正市場価格に基づく。)。ただし、インセンティブ・ストック・
オプションの場合は、本オプションが付与されるときにのみ、本オプションの対象となる当社普通株
式と同一の種類のすでに保有される当社株式の形式で支払う権利が付与される。
(b)支払は、適用ある法律の許容する限りにおいて、購入価格の支払に必要な売上または貸付収益の金
額および連邦、州、地方、または外国の源泉徴収税の金額を当社へ速やかに交付する旨の、ブロー
カーに対する撤回不能通知の写しとともに、正式に署名済みの行使通知を当社に交付することにより
行うことができる。当社は、かかる支払を円滑に進めるために、適用ある法律の許容する限りにおい
て、1つ以上のブローカー会社と共同手続に関する契約を締結することができる。
(c)支払は、(ⅰ)行使価格に(ⅱ)行使される本オプションの対象となる当社株式の数を掛けた積と等し
い公正市場価格(適用ある本オプションの行使日における当社普通株式の公正市場価格に基づく。)
および連邦、州、地方、または外国の源泉徴収税の金額を有する当社株式の数を差引く旨を当社に通
知することによって行うことができる。
5.9 交付-株主の権利 本オプションの行使に従って、かかる本オプションの行使価格の全額が支払わ
れ、適用ある税が源泉徴収されるまでは、当社株式は交付されないものとする。該当する本制度参加適格者
は、(a)当社が、本制度参加適格者から、本制度の下で有効な行使の実施に関して規定されたすべての手続
(必要書類の完成および送付を含むがこれに限定されない。)に適合する、行使についての書面による通知
を受け取り、(b)要請があれば、本制度参加適格者が本制度第15.1節に記載される説明を行い、また(c)本
オプションの場合は、本制度参加適格者が当該当社株式の全額を支払ったときは、本オプションまたは株式
評価益受益権の対象となる当社普通株式の種類またはシリーズを有する当社の株主のすべての権利(該当す
る場合には、適用ある当社株式の議決権および配当を受領する権利を含む。)を有するものとする。
5.10 本オプションおよび株式評価益受益権の譲渡の禁止 本オプションまたは独立SARは、当委員会が明
示的に譲渡を許可しない限り(かかる許可があれば、直接的もしくは間接的、または信託、パートナーシッ
プもしくはその他の方法による本制度参加適格者への親族への譲渡に準じる場合を含む。)、(a)遺言もし
くは相続および財産の分配に関する法律による場合、または(b)不適格オプションもしくは独立SARの場合
を除き、本制度参加適格者が無償または無対価で譲渡できないものとする。本制度において、当委員会が別
段に決定する場合を除き、「親族」とは、1933年証券法(その後の改正および改訂を含む。)に基づく
フォームS‑8に対する汎用命令A.1(a)(5)の当該用語の意味を有する。タンデムSARは、関連する本オプショ
ンを伴い、前述に従って本オプションを譲渡することができる程度に限り、譲渡することができるとする。
本オプションまたは株式評価益受益権は、本制度の条件に従い、該当する本制度参加適格者、かかる本制度
参加適格者の保護者もしくは法定代理人、または本制度第5.10節に従ってかかる本オプションまたは株式評
価益受益権が許可を得て譲渡された者が行使することができる。「本制度参加適格者」とは、かかる保護
者、法定代理人またはその他の譲渡された者を含むと解釈される。ただし、「雇用の終了」は、依然として
原本制度参加適格者の雇用の終了を意味するものとする。
5.11 配当または配当等価物の不可 配当、その他の分配または配当等価物のいかなる報酬も、本制度に基
づく本オプションまたは株式評価益受益権に関して付与することができないものとする。
5.12 価格の改定の不可 本制度第3.4節を除く本制度における他の規定にかかわらず、当委員会は、当社
の株主の事前の承認なしに、(ⅰ)本オプションまたはSARの条件を行使価格を低下させるように変更または
修正すること、(ⅱ)水準に満たない本オプションまたはSARを解約することおよびより低い行使価格の代替
オプションもしくはSARのいずれかまたはその他の本報酬もしくは現金を交換に付与することまたは(ⅲ)水
準に満たない本オプションまたはSARを買い戻すことにより、以前に付与された水準に満たない本オプショ

10 .支配権の変動に関する条項
10.1 支配権の変動による影響 本制度の他のいかなる別段の規定にかかわらず、支配権の変動が生じた際
には、適用される付与契約において別段の定めがない限り、本制度第10節における条項が適用されるものと
する。
(a)支配権の変動が発生した場合、(ⅰ)その時点において発行済の本オプションおよび株式評価益受益
権はすべて確定し、行使可能となる。また、あらゆる全額報酬(実績報酬を除く。)もすべて確定
し、制限が付されず、取得されたものとみなされ、直ちに当該本報酬の全額と同額が支払い可能とな
る。ただし、本制度第3.4節に基づき、当該本報酬を代替するため、本制度第10.1節(b)項の要件を
満たすその他の本報酬(以下、本制度第10.1節(b)項の要件を満たすその他の本報酬を「交換報酬」
という。)が本制度参加適格者に提供される各場合(以下、交換報酬により代替が意図される報酬を
「交換予定報酬」という。)を除く。(ⅱ)交換報酬により代替されない実績報酬は、取得されたもの
とみなされ、直ちに当該実績報酬の全額((x)適用ある目標水準および(y)支配権の変動日までに当
委員会により定められる本報酬に係る実績目標の達成水準を超えた場合、適用あるすべての実績目標
は達成されたものとみなされる。また、業績を実際に評価することのできる、支配権の変動の直近日
までの業績も考慮される(ただし、当該業績連動期間が終了するまでとする)。)に、支配権の変動
日より以前の当該業績連動期間における日数を分子とし、当該業績連動期間における日数を分母とす
る分数を乗じた額と同額が支払い可能となる。ただし、かかる支配権の変動日現在において、当該実
績報酬の実績目標がすべて達成されている場合、当該分数は1となるものとする。
(b)以下の場合、本報酬は本制度第10.1節(b)項の要件を満たすものとする(それ故、交換報酬とみな
されるものとする。)。(ⅰ)本報酬が交換予定報酬と同種である場合。(ⅱ)本報酬が、支配権の変動
日現在において、代替される本報酬と少なくとも同額の公正市場価格を有する場合。(ⅲ)基礎となる
交換予定本報酬が株式に基づく本報酬である場合、本報酬は、支配権の変動後、当社または支配権の
変動の結果としての存続会社もしくは最終的な親会社の公開株式有価証券に関連する。また、(ⅳ)支
配権の変動日現在において、本報酬のその他の要項(支配権の変動の発生後に適用される条項を含
む。)が、本制度参加適格者にとって、交換予定報酬の要項と比較して不利でない場合。上記の一般
性を制限することなく、前述の要件を満たしている場合、交換報酬は、適用される交換予定報酬を継
続する形を採る場合もある。本制度第10.1節(b)項の要件が満たされているかの判断は、支配権の変
動の直前に構成される当委員会により、その単独の裁量により行われる。
(c)支配権の変動日に関連して、または支配権の変動日より2年以内に本制度参加適格者の雇用の終了
が、事象以外を理由として当社により、または正当な理由により本制度参加適格者により行われた場
合、(ⅰ)当該本制度参加適格者により保有されている交換報酬はすべて確定し、制限が付されず、取
得されたものとみなされ、直ちに当該交換報酬の全額と同額が支払い可能となる。また、(ⅱ)本制度
参加適格者が支配権の変動日現在において保有していた、または交換報酬を構成する、雇用の終了の
直前に本制度参加適格者により保有されていたすべての本オプションおよび株式評価益受益権は、
(1)支配権の変動日から3年が経過する日、または(2)当該本オプションまたは株式評価益受益権の
規定された有効期間が満了する日、のいずれか早く到来する日までは行使可能とする。ただし、適用
される付与契約がより長い行使可能期間を提示する場合、当該条項が適用されるものとする。
10.2 支配権の変動の定義 本制度において「支配権の変動」とは、以下のいずれかの事象を意味する。
(a)(法第13条(d)(3)または第14条(d)(2)に定められた意味における)個人、法人または集団(以下
「者」という。)が実質的所有者(法に基づき公布されたルール13d-3に定められた意味における)
または(ⅰ)その当時における発行済の当社普通株式(以下「発行済当社普通株式」という。)もしく
は(ⅱ)取締役の選任に関して一般的に議決権を有するその当時における発行済当社議決権付証券(以
下「発行済当社議決権付証券」という。)の議決権総数の30パーセント以上となる場合。ただし、本
項(a)において、以下の取得は支配権の変動を構成しない。(1)当社からの直接の取得、(2)当社も
しくは子会社による取得、(3)当社もしくは子会社により提供もしくは維持されているあらゆる従業
員給付制度(もしくはそれに関連する信託)による取得、(4)証券の募集に従いかかる証券を一時的
に保有している引受人による取得、または(5)下記本制度第10.2節(c)項(ⅰ)、第10.2節(c)項(ⅱ)
および第10.2節(c)項(ⅲ)の条項を遵守する取引に準じた取得。

(b)効力発生日における取締役会の構成員(以下「現職取締役」という。)が理由の如何を問わず、取
締役会の過半数未満になった場合。ただし、本制度の効力発生日以降その選任または当社の株主によ
る 選任のための推薦が取締役会を構成する現職取締役の少なくとも過半数により承認(個別の投票ま
たはかかる候補者が取締役候補として掲載されている委任状勧誘状(かかる推薦に関する書面による
異議のないもの)の承認のいずれかによる)されたことにより取締役に就任した者は、取締役就任の
目的のために、取締役会以外の者により、もしくはその者の代理として取締役の選任または解任に関
して実際に行われたか、もしくは行われたおそれのある選出競争または委任状もしくは同意書の勧誘
行為の結果として取締役に最初に就任した者を除き、現職取締役であったものとみなされるものとす
る。
(c)当社または子会社が関係する組織再編、吸収合併、法定の株式交換もしくは併合(もしくはこれら
に類似する取引)、当社の資産のすべてもしくは大部分の売却または他の法人の資産もしくは株式の
取得(以下「企業結合」という。)が完了した場合。ただし、かかる企業結合の直後において、(ⅰ)
発行済当社普通株式および発行済当社議決権付証券につき、かかる企業結合の直前におけるそれぞれ
の実質的所有者である個人および法人の実質的に全部が、(A)かかる企業結合(以下「当該存続会
社」という。)により生じた企業または(B)当該存続会社の取締役を選出する権利がある議決権付証
券の80パーセント以上の実質的所有権を、直接的または間接的に持つ最終的な親会社(以下「親会
社」という。)の発行済当社普通株式およびその時点における発行済議決権付証券の議決権(一般的
に取締役の選任に関する議決権)のそれぞれについて直接的または間接的に50パーセント超を、かか
る企業結合の直前において所有していた発行済普通株式および発行済当社議決権付証券と実質的に同
じ割合で、実質的に所有する場合、(ⅱ)発行済普通株式および親会社の取締役を選出する権利がある
発行済当社証券の議決権について直接的または間接的に30パーセント以上を実質的に所有する者(当
該存続会社および親会社により援助または維持されている当社の従業員給付制度(もしくは関連する
信託)を除く。)が存在しない場合、および(ⅲ)企業結合の完了に引き続き、親会社(親会社が存在
しない場合には当該存続会社)の取締役会の構成員の少なくとも過半数が、かかる企業結合に関する
当初の契約の承認時における現職取締役である場合を除く。
(d)当社の清算または解散が、当社株主により承認された場合。
疑義を避けるために、(A)1963年アイルランド共和国会社法第201条に基づき裁判所が決定する和解もしく
は取決めまたは(B)1963年アイルランド共和国会社法第204条に基づき、上記の1つ以上が行われる場合があ
る。
10.3 内国歳入法第409条(A) 前述の記載にかかわらず、本報酬が内国歳入法第409条(A)に基づく場合、
(a)本制度第10節は付与契約において具体的に提示される範囲でのみ、また、本制度第11.6節で許可される
範囲でのみ適用されるものとし、(b)内国歳入法第409条(A)の対象となる本報酬に関して、内国歳入法第
409条(A)に基づく税金の増加または追加を避けるために必要とされる範囲内で、内国歳入法第409条(A)の目
的における「支配権の変動事由」に該当する事象が当てはまらない場合には、いかなる場合においても支配
権の変動が発生したとは扱われないものとする。
11 .実績に基づく適格報酬; 実績連動現金報酬
(本募集に無関係につき省略)
12 .有効期間、修正および終了
12.1 有効性 本制度の効力発生日は、2013年6月20日とする。
12.2 終了 本制度は、10回目の効力発生日に終了するものとする。かかる終了日現在に残存する本報酬
は、本制度の終了により影響を受けまたは損なわれることはないものとする。
12.3 本制度の修正 取締役会または当委員会は、本制度を修正し、変更し、終了することができるが、以
前付与された本報酬に関し、本制度参加適格者の権利を著しく損なう修正、変更、または終了については、
かかる本制度参加適格者の同意なしには行われない。ただし、かかる修正が、適用ある法律(内国歳入法第
409条(A)、内国歳入法第162条(m)、内国歳入法第422条、証券取引所規則または会計規則を含むが、これら
に限定されない。)を遵守することとなる場合を除く。さらに、かかる承認が、適用ある法律または該当取
引所の上場規則により要求される場合には、かかる修正は当社株主の承認なしに行われないものとする。
12.4 本報酬の修正 本制度第5.12節に従い、当委員会は付与された本報酬の条件を一方的に変更すること
ができる。ただし、かかる修正によって実績に基づく適格報酬が第162条(m)免除資格を失うことはないもの
とする。上記の規定に従い、当委員会の修正権限は、当社株式の数または本報酬のその他の条件の修正、本
報酬の期間の延長、行使可能性もしくは授権の繰り上げまたは本報酬に関する制限の終了、発行済の本報酬
の引き渡しの受諾、および以前に行使されていないかまたは授権されていない場合に限り、引き渡された本
報酬の代替としての新たな本報酬の付与に対する授権を含むがこれらに限定されないものとする。ただし、
しかしながら、(a)修正または修正された条件が効力発生時点で本制度に承認されていること、(b)かかる
条件の修正または変更により悪影響を受けるすべての本制度参加適格者がかかる修正または変更に同意して
いること(ただし、かかる修正が適用ある法律(内国歳入法第409条(A)、内国歳入法第162条(m)、内国歳入
法第422条、証券取引所規則または会計規則を含むが、これらに限定されない。)を遵守することとなる場
合を除く。)、および(c)行使可能性もしくは授権を繰り上げるかまたは本報酬に関する制限を終了させる

権限は、本制度参加適格者の死亡、障害もしくは退職に関して、支配権の変動に関して、または当該行為が
影響を与える当社普通株式の総数が本報酬に利用可能な株式数の5パーセントを超えない範囲内で、のみ行
使 可能であること、を条件とする。
13 .没収
13.1 没収 適用ある法律に従い、本制度に基づくすべての本報酬は、(a)当社のインセンティブ報酬没収
方針(その後の改訂を含む。)、ならびに(b)当委員会により決定され、適用ある付与契約に規定された、
その他の没収または違約条項および規定に基づく、没収またはその他の罰則の対象となるものとする。
13.2 支配権の変動の効果 上記の規定にかかわらず、適用ある付与契約において当委員会による別段の定
めがある場合または適用ある法律によって求められる場合を除き、本制度第13節は、支配権の変動後の本制
度参加適格者には適用されないものとする。
14 .本制度の無基金状態
無基金状態、当委員会の権限。現在、本制度がインセンティブおよび繰延報酬に関して「無基金」制度を
制定することが予定されている。当委員会は、本制度に基づき生じる、当社株式の交付または支払を行う義
務を満たすために、信託またはその他の取決めの設定を認可することができる。ただし、当委員会による別
段の決定がある場合を除き、かかる信託またはその他の取決めの存在は、本制度の「無基金」状態に一致す
るものとする。
15 .総則
15.1 発行条件 当委員会は、本報酬に従って当社株式を購入または受領する各本制度参加適格者に対し、
かかる者はその配当を目的としてではなく当社株式を取得する旨を、書面により当社に表明および同意する
ことを要求することができる。かかる当社株式の株券には、当委員会が譲渡に関する制限を示すのに適当で
あるとみなす警句を記載することができる。本制度のその他の規定またはそれに従って締結された契約にか
かわらず、当社は、下記の条件をすべて満たすまでは、本制度に基づく当社株式の株券の発行または交付を
要求されないものとする。(a)かかる当社株式の該当取引所における発行株式数通知を行った上での上場ま
たは上場認可、(b)州もしくは連邦の法令に基づく当社株式の届出もしくはその他の認定、または当委員会
が法律顧問の助言に基づきその完全な裁量により必要もしくは適当であるとみなす、かかる届出もしくはそ
の他の認定の効力の維持、および(c)当委員会が、法律顧問の助言に基づきその完全な裁量により必要また
は適当であると決議した、州または連邦政府機関からの同意、承認、または許可の取得。
15.2 追加報酬の取決め 本制度は、当社またはいかなる子会社もしくは関連会社に対しても、その従業員
に対するその他のまたは追加的な報酬の取決めの採用を禁止するものではない。
15.3 非雇用契約 本制度は雇用契約を制定するものではなく、本制度の採用が、いかなる従業員に対して
も雇用継続の権利を付与することはなく、また、当社または子会社もしくは関連会社の、従業員の雇用をい
かなる時でも終了させる権利を決して妨げることもない。
15.4 納税義務 本制度に基づく本報酬に関し、その金額が、連邦、州、地方、または外国所得もしくは雇
用もしくはその他の課税上、本制度参加適格者の総収益に初めて含まれる日までに、かかる本制度参加適格
者は、かかる金額に関し、法律により源泉徴収が義務付けられている一切の連邦、州、地方、または外国税
の支払について、当社に対し支払うか、または当社の満足しうる処理を行うものとする。当社による別段の
決定がある場合を除き、源泉徴収義務は、課税上源泉徴収が義務付けられる最低金額(その額を超えること
はないものとする。)に相当する、源泉徴収日の公正市場価格を有する当社株式(源泉徴収要件の生じる本
報酬の一部である当社株式を含む。)に対し、当委員会が設定した手続に従い、かつ適用ある法律の許容す
る範囲内で課すことができる。本制度に基づく当社の義務には、かかる支払または処理が必要条件とされて
おり、当社およびその関連会社は、法律の許容する限りにおいて、かかる本制度参加適格者によるものを除
き、支払からかかる税金を控除する権利を有する。当委員会は、当社普通株式に源泉徴収義務を課すにあた
り、適切とみなすかかる手続(変更取消不能の選択を行うことを含む。)を、設定することができる。
15.5 配当の再投資および配当等価物の制限 当社株式に追加的に設定される制限付株式ユニットに対する
配当の再投資、および制限付株式の本報酬を保有する本制度参加適格者に対する配当に関する当社株式の支
払は、かかる再投資または支払に関し、本制度第3節に基づく十分な当社株式が入手可能な場合にのみ許可
される(その当時に残存する本報酬を勘案する。)。かかる再投資または支払に関し、十分な当社株式が入
手できない場合、かかる再投資または支払は、制限付株式ユニットが、本制度第15.5節に意図される条件に
よる追加の制限付株式ユニットに対する再投資に相当する現金決済および配当を行うという条件で、かかる
支払または再投資により取得される予定の制限付株式ユニットまたは当社株式と同数の制限付株式ユニット
の付与という形式でなされる。
15.6 書類(電子書類) 本制度の条件において要求されるあらゆる書面(付与契約を含むが、これに限定
されない。)は、電子書類をもって代用することができる。

15.7 死亡後受益者の指名 当委員会は、本制度参加適格者が、かかる本制度参加適格者が死亡した場合に
支払金額が支払われるまたはかかる本制度参加適格者の死亡後にかかる本制度参加適格者の権利を行使する
ことのできる受益者を指名するための、適切な手続を設定する。本制度参加適格者の死亡時において、有効
な 受益者の指名がなされていない場合、本制度参加適格者の遺産に対しかかる金額は支払われ、またかかる
権利は行使されるものとする。
15.8 子会社従業員 当社子会社の従業員に対する本報酬の付与に関し、当社は、当委員会の指示があった
場合、本制度の規定に基づき当委員会に定められた本報酬の条件に従って子会社が当社株式を従業員に譲渡
するという前提または合意の下で、当委員会が定めることのできる法律上認められた約因として、子会社に
対し本報酬に含まれる当社株式(もしあれば)の発行または譲渡を行うことができる。本報酬に含まれる喪
失または取消された当社株式は、当社に返却される。
15.9 準拠法 本制度ならびにそれに基づき付与されるすべての本報酬およびそれに基づく行為は、抵触法
の原則とは無関係に、ミネソタ州の法令に準拠するものとする。
15.10 非譲渡性 本制度第5.10節または当委員会により別段の定めがある場合を除き、本制度に基づく本
報酬は、遺言または相続および財産の分配に関する法律による場合を除いては、譲渡することはできない。
15.11 外国人従業員および外国法についての考察 当委員会は、本制度に規定された条件とは異なるが、
本制度の目的達成を助長し、促進するために必要または望ましいと当委員会が判断した条件で、外国籍の適
格者、合衆国外に居住する適格者、外国において国際的な任務に就く合衆国の住民もしくは居住外国人であ
る適格者、合衆国内に維持される従業員名簿より報酬の支払を受けない適格者、または合衆国外の国もしく
は管轄区域の法令の規定が別途適用される(または当社をしてこれらを適用される)適格者に対して本報酬
を付与することができ、また、かかる目的の促進のために、当委員会は、かかる法令または規制の規定を遵
守するために必要または妥当である変更、修正、手続またはサブ・プランを行うことができる。
15.12 報酬に対する無権利、不均一の決定 いかなる本制度参加適格者または適格者も、本制度に基づく
一切の本報酬の付与を要求する権利を有しない。当社、その関連会社または当委員会は、本制度参加適格者
または適格者を均一に扱う義務を負わず、本制度に基づく決定は、かかる本制度参加適格者および適格者が
同じ状況にあるか否かにかかわらず、本制度参加適格者または適格者の間で選択的に行うことができる。本
制度の特定の条項に基づく本報酬は、本制度参加適格者間で均一である必要はない。
15.13 その他の給付との関連性 当社またはその関連会社の年金、退職、貯蓄、利益分配、団体保険、福
利厚生、または給付制度に基づく給付金の決定に際して、かかる制度に別途定めのない限り、本制度に基づ
くいかなる支払も考慮されないものとする。
15.14 費用 本制度の運用にかかる費用は、当社およびその子会社または関連会社が負担するものとす
る。
15.15 表題および見出し 本制度の節の表題および見出しは、参照の便宜上のものにすぎず、何らかの齟
齬が生じた場合、かかる表題や見出しではなく本制度の内容が効力を持つものとする。
15.16 端株 本制度の下ではいかなる端株も発行されないものとする。
15.17 政府規制およびその他の規制 本制度における他の規定にかかわらず、
(a)本制度に従って当社株式を取得するいかなる本制度参加適格者も、かかる本制度参加適格者が
(1933年証券法(以下「証券法」という。)に従い公布された規則の意味の範囲内における)当社の
関連会社である間は、かかる当社株式の募集または売出しを行うことはできない。ただし、かかる募
集および売出しが(ⅰ)証券法に基づく有効な登録届出書で、最新のかつ売出し予定の当社株式を対象
とするものに従って行われ、または(ⅱ)証券法に基づき公布されたルール144に定められた免除のよ
うに、証券法の登録要件を適正に免除されて行われる場合はこの限りでない。
(b)当該証券取引所に基づく、または外国、連邦、州、もしくは地域の法律もしくは慣行、または政府
規制機関の同意もしくは承認に従った、本報酬の対象となる当社株式の登録、上場または資格付与
が、かかる本報酬の付与またはそれらに基づく当社株式の購入もしくは受領を条件として、またはそ
れらに関連して、必要または望ましいと当委員会が決定した場合には、いかなる当社株式もかかる本
報酬に従って購入、交付または受領することができないものとする。ただし、かかる登録、上場、資
格付与、同意または承認が、当委員会が認めていない条件を免除されて有効となりまたは取得された
場合にはこの限りでない。本報酬に基づき当社株式を受領または購入した本制度参加適格者は、上記
またはその他の適用ある法的要件の遵守を確実に行うために当委員会が要求する表明および同意を行
い、当委員会が要求する情報を提供するものとする。当社は、すべての関連する要件が満たされたと
いう当委員会の決定がなされる前に、本制度に基づく当社株式の株券を発行または交付することを要
求されないものとする。当社は、いかなる場合も当社株式またはその他の有価証券を証券法または適
用ある州もしくは外国の法律に従って登録する義務を負わず、またはかかる法律、規則もしくは要件

を遵守するようにかかる株券の発行および交付を行わせるためにその他の行動を取る義務も負わない
ものとする。
15.18 追加条項 各付与契約には、当委員会が決定することのできるその他の条件が含まれる場合があ
る。ただし、その場合かかるその他の条件は、本制度の規定と矛盾しないものとする。
15.19 当社の権利の制限の不可 本報酬の付与は、当社の資本もしくは事業構造の調整、再分類、または
変更を行い、その事業もしくは資産の全部もしくは一部の合併、統合、解散、清算、売却、または譲渡を行
う当社の権利または権限に、いかなる形であっても影響を及ぼさないものとする。本制度は、妥当な企業の
目的上、いずれの者に関しても、本制度以外に基づいて本報酬を策定し、付与し、または引き受ける当社の
権限を制限しないものとする。
15.20 可分性 本制度の規定が何らかの理由で違法または無効とされた場合、かかる違法性または無効性
は本制度のその他の規定に影響を及ぼさず、本制度は、かかる違法規定または無効規定が含まれていなかっ
たものとして解釈および実施されるものとする。
15.21 ブラックアウト期間 本制度における他の規定にかかわらず、または本報酬と異なる場合であって
も、当社は一切の報酬に関連して当社が必要であるまたは望ましいと考える「ブラックアウト」期間を設け
る権限を有するものとする。
15.22 アイルランドにおける発行条件 本制度における他の規定にかかわらず、(a)適用ある法律に従い
少なくとも当該新規発行株式の額面金額の全額が事前に支払われている場合を除き、当社は本報酬に従って
株式を発行する義務はなく(かかる法律により本報酬の保有者が支払を義務付けられる場合がある。)、ま
た(b)当該発行もしくは当該交付に関連するすべての法的もしくは規制上の要件が当委員会の満足のいくよ
うに充足されるまで、当社は本報酬に係る発行もしくは交付を行う義務もない。

Section 1. Purpose; Definitions.
1.1 Purpose. The purpose of this Medtronic plc Amended and Restated 2013 Stock Award and
Incentive Plan (this “Plan”) is to give the Company and its Affiliates and Subsidiaries (each as defined below) a
competitive advantage in attracting, retaining, and motivating officers, employees, directors, and consultants, to
provide the ability for the Company to provide such individuals with financial rewards that are intended to be
deductible to the maximum extent possible as “performance-based compensation" within the meaning of
Section162(m) of the Code (as defined below), and to provide the Company and its Subsidiaries and Affiliates
with an incentive plan that gives officers, employees, directors, and consultants financial incentives directly
linked to shareholder value. This Plan is intended to serve as the Company's primary vehicle for equity
compensation awards and long-term cash incentive awards for employees, directors, and other service providers,
as well as annual bonus awards for the Company's executive officers. Following the date that this Plan was
approved by the Company's shareholders, no further equity compensation awards were granted pursuant to any
other Company plan (it being understood that outstanding awards under such plans will continue to be settled
pursuant to the terms of such plans). The Plan is hereby amended and restated as of January26, 2015.
1.2 Definitions. Certain terms used herein have definitions given to them in the first place in which
they are used. In addition, for purposes of this Plan, the following terms are defined as set forth below:
(a) “Act” means the Securities Exchange Act of 1934, as amended from time to time, any
regulations promulgated thereunder, and any successor thereto.
(b) “Administrator” shall have the meaning set forth in Section2.2.
(c) “Affiliate” means a corporation or other entity controlled by, controlling, or under common
control with, the Company.
(d) “Applicable Exchange" means the New York Stock Exchange or such other securities
exchange as may at the applicable time be the principal market for the Common Stock.
(e) “Award” means an Option, Stock Appreciation Right, Restricted Stock, Restricted Stock
Unit, Other Stock-Based Award, or Performance Award granted pursuant to the terms of this Plan.
(f) “Award Agreement" means a written document or agreement setting forth the terms and
conditions of a specific Award.
(g) “Beneficial Owner" shall have the meaning given in Rule 13d-3, promulgated pursuant to
the Act.
(h) “Board” means the Board of Directors of the Company.
(i) “Cause” means, unless otherwise provided in an Award Agreement, (i)"Cause" as defined in
any Individual Agreement to which the applicable Participant is a party and which is operative at the time in
question, or (ii)if there is no such Individual Agreement, or if it does not define “Cause”: (A)commission by the
Participant of a felony under federal law, local law or the law of the state in which such action occurred, (B)
failure on the part of the Participant to perform such Participant's employment duties in any material respect, (C)
the Participant's prolonged absence from duty without the consent of the Company, (D)intentional engagement
by the Participant in any activity that is in conflict with or adverse to the business or other interests of the
Company, or (E)willful misconduct or malfeasance of duty which is reasonably determined to be detrimental to
the Company. Notwithstanding the general rule of Section2.3, following a Change of Control, any determination
by the Committee as to whether “Cause” exists shall be subject to de novo review.
(j) “Change of Control" shall have the meaning set forth in Section10.2.
(k) “Code” means the Internal Revenue Code of 1986, as amended from time to time, and any
successor thereto, regulations promulgated thereunder, and other relevant interpretive guidance issued by the
Internal Revenue Service or the Treasury Department. Reference to any specific section of the Code shall be
deemed to include such regulations and guidance, as well as any successor provision of the Code.

(l) “Committee” means a committee or subcommittee of the Board, appointed from time to time
by the Board, which committee or subcommittee shall consist of two or more non-employee directors, each of
whom is intended to be, to the extent required by Rule 16b-3, a “non-employee director" as defined in Rule 16b-
3 and, to the extent required by Section162(m) of the Code and any regulations promulgated thereunder, an
“outside director" as defined under Section162(m) of the Code. Initially, and unless and until otherwise
determined by the Board, “Committee” means the Compensation Committee of the Board.
(m) “Common Stock" means ordinary shares, par value $0.0001 per share, of the Company.
(n) “Company” means Medtronic plc, an Irish public limited company.
(o) “Disaffiliation” means a Subsidiary's or Affiliate's ceasing to be a Subsidiary or Affiliate
for any reason (including, without limitation, as a result of a public offering, or a spinoff or sale by the
Company, of the stock of the Subsidiary or Affiliate) or a sale of a division of the Company or its Affiliates.
(p) “Eligible Individuals" means directors, officers, employees, and consultants of the
Company or any Subsidiary or Affiliate, and prospective employees, officers and consultants, who have
accepted offers of employment or consultancy from the Company or any Subsidiary or Affiliate; provided
however, that no grant shall be effective prior to the date on which such individual's employment or consultancy
commences.
(q) “Fair Market Value" means, unless otherwise determined by the Committee, the closing
price of a share of Common Stock on the Applicable Exchange on the date of measurement or, if Shares were not
traded on the Applicable Exchange on such measurement date, on the next preceding date on which Shares were
traded, all as reported by such source as the Committee may select. If the Common Stock is not listed on a
national securities exchange, Fair Market Value shall be determined by the Committee in its good faith
discretion, taking into account, to the extent appropriate, the requirements of Section409A of the Code.
(r) “Free-Standing SAR" shall have the meaning set forth in Section5.3.
(s) “Full-Value Award" means any Award other than an Option, Stock Appreciation Right, or
Performance Cash Award.
(t) “Good Reason" for termination means, unless otherwise provided in an Award Agreement,
a Termination of Employment during the two-year period following a Change of Control by a Participant if (i)
such Termination of Employment constitutes a termination for “good reason" or qualifies under any similar
constructive termination provision, in either case, in any Individual Agreement applicable to such Participant, or
(ii)if the Participant is not party to any such Individual Agreement, or if such Individual Agreement does not
contain such a provision, any Termination of Employment following the occurrence of: (A)an involuntary
relocation that increases the Participant's commute by more than 50 miles from the commute in effect
immediately prior to the applicable Change of Control, (B)a material reduction in either the Participant's base
pay or in the Participant's overall compensation opportunity from the levels in effect immediately prior to the
applicable Change of Control or (C)a material reduction in the Participant's authority, duties or responsibilities
below the levels in effect immediately prior to the applicable Change of Control. Notwithstanding the foregoing,
a Termination of Employment shall be deemed to be for Good Reason under clause (ii)of this Section1.2(t) only
if the Participant provides written notice to the Company of the existence of one or more of the conditions giving
rise to Good Reason within 90 days of the initial existence of such condition, the Company fails to cure such
condition during the 30-day period (the “Cure Period") following its receipt of such notice, and the Participant
terminates employment within 180 days following the conclusion of the Cure Period.
(u) “Grant Date" means (i)the date on which the Committee (or its delegate, if applicable) takes
action to select an Eligible Individual to receive a grant of an Award and determines the number of Shares to be
subject to such Award, or (ii)such later date as is provided by the Committee (or its delegate, if applicable).
(v) “Incentive Stock Option" means any Option that is designated in the applicable Award
Agreement as an “incentive stock option" within the meaning of Section422 of the Code or any successor
provision thereto, and that in fact qualifies.
(w) “Individual Agreement" means an employment, consulting, severance, change of control,
or similar agreement between a Participant and the Company or between the Participant and any of the Company
’s Subsidiaries or Affiliates. For purposes of this Plan, an Individual Agreement shall be considered “operative”

during its term; provided , that an Individual Agreement under which severance or other substantive protections,
compensation and/or benefits are provided only following a change of control or termination of employment in
anticipation of a change of control shall not be considered “operative” until the occurrence of a Change of
Control or Termination of Employment in anticipation of a Change of Control, as the case may be.
(x) “ISO Eligible Employee" means an employee of the Company, any subsidiary corporation
(within the meaning of Section424(f) of the Code) of the Company, or parent corporation (within the meaning of
Section424(e) of the Code) of the Company.
(y) “Nonqualified Option" means any Option that either (i)is not designated as an Incentive
Stock Option or (ii)is so designated but fails to qualify as such.
(z) “Option” means an Award granted under Section5.1.
(aa) “Other Stock-Based Awards" means Awards of Common Stock and other Awards that are
valued in whole or in part by reference to, or are otherwise based upon, Common Stock, including (without
limitation) unrestricted stock, dividend equivalents, and convertible debentures.
(bb) “Other Stock-Based Performance Award" shall have the meaning given in Section8.
(cc) “Participant” means an Eligible Individual to whom an Award is or has been granted.
(dd) “Performance Award" means a Performance Cash Award, an Other Stock-Based
Performance Award, an Award of Performance-Based Restricted Stock, or Performance Units, as each is defined
herein.
(ee) “Performance-Based Restricted Stock" shall have the meaning given in Section6.1.
(ff) “Performance Cash Award" shall have the meaning set forth in Section9.
(gg) “Performance Goals" means the performance goals established by the Committee in
connection with the grant of a Performance Award. In the case of Qualified Performance-Based Awards, (i)such
Performance Goals shall be based on the attainment of or changes in specified levels of one or more of the
following measures: sales, net sales, revenue, revenue growth or product revenue growth, operating income
(before or after taxes), return on invested capital, return on capital employed, pre- or after-tax income (before or
after allocation or corporate overhead and bonus), net earnings, earnings per share, diluted earnings per share,
consolidated earnings before or after taxes (including earnings before some or all of the following: interest, taxes,
depreciation and amortization), net income, gross profit, gross margin, year-end cash, debt reductions, book
value per share, return on equity, expense management, return on investment, improvements in capital structure,
profitability of an identifiable business unit or product, maintenance or improvements of profit margins, stock
price, market share, costs, cash flow, working capital, return on assets or net assets, asset turnover, inventory
turnover, economic value added (economic profit) or equivalent metrics, comparison with various stock market
indices, appreciation in and/or maintenance of share price, reductions in costs, regulatory achievements,
implementation, completion or attainment of measurable objectives with respect to research, development,
products or projects and recruiting or maintaining personnel, and total shareholder return; each as measured with
respect to the Company or one or more Affiliates, Subsidiaries, divisions, business units, or business segments of
the Company, either in absolute terms or relative to the performance of one or more other companies or an index
covering multiple companies; (ii)such Performance Goals shall be set by the Committee in the time period
prescribed by Section162(m) of the Code and the regulations promulgated thereunder; (iii)such Performance
Goals shall be objective, pre-established performance goals within the meaning of Section162(m) of the Code
and the regulations promulgated thereunder and (iv)the achievement of such Performance Goals shall be certified
in accordance with the requirements of Section162(m) of the Code.
(hh) “Performance Period" means that period established by the Committee at the time any
Performance Award is granted or at any time thereafter during which any Performance Goal specified by the
Committee with respect to such Award is to be measured.
(ii) “Performance Units" shall have the meaning given in Section7.1.
(jj) “Plan” means this Medtronic plc Amended and Restated 2013 Stock Award and Incentive
Plan, as set forth herein and as hereafter amended from time to time.

(kk) “Predecessor Plans" means the Company's Amended and Restated 1994 Stock Award
Plan, 1998 Outside Director Stock Compensation Plan, Executive Incentive Plan, Kyphon Inc. 2002 Stock Plan,
2003 Long-Term Incentive Plan and 2008 Stock Award and Incentive Plan.
(ll) “Qualified Performance-Based Award" means an Award intended to qualify for the
Section162(m) Exemption, as provided in Section11.
(mm) “Replaced Award" shall have the meaning given in Section10.1.
(nn) “Replacement Award" shall have the meaning given in Section10.1.
(oo) “Restricted Stock" shall have the meaning given in Section6.
(pp) “Restricted Stock Units" shall have the meaning given in Section7.
(qq) “Restriction Period" means, with respect to Restricted Stock and Restricted Stock Units,
the period commencing with the Grant Date and ending upon the expiration of the applicable vesting conditions
or the achievement of the applicable Performance Goals (it being understood that the Committee may provide
that restrictions shall lapse with respect to portions of the applicable Award during the Restriction Period).
(rr) “Section 162(m) Exemption" means the exemption from the limitation on deductibility
imposed by Section162(m) of the Code that is set forth in Section162(m)(4)(C) of the Code.
(ss) “Share” means a share of Common Stock.
(tt) “Stock Appreciation Right" or “SAR” shall have the meaning set forth in Section5.3.
(uu) “Subsidiary” has the meaning set forth in section 155 of the Companies Act 1963 of the
Republic of Ireland; provided that, to the extent required to avoid the imposition of additional taxes under
Section409A of the Code, an entity shall not be treated as a Subsidiary unless it is also an entity in which the
Company has a “controlling interest" (as defined in Treas. Reg. Section1.409A-1(b)(5)(ii)(E)(1)), either directly
or through a chain of corporations or other entities in which each corporation or other entity has a “controlling
interest" in another corporation or entity in the chain, as determined by the Committee.
(vv) “Substitute Award" means any Award granted in assumption of, or in substitution for, an
award of a company or business (that is not, prior to the applicable transaction, a Subsidiary or Affiliate of the
Company) acquired by the Company or a Subsidiary or Affiliate or with which the Company or a Subsidiary or
Affiliate combines.
(ww) “Tandem SAR" shall have the meaning set forth in Section5.3.
(xx) “Ten Percent Shareholder" means a person owning stock possessing more than 10% of the
total combined voting power of all classes of stock of the Company, any subsidiary corporation (within the
meaning of Section424(f) of the Code), or parent corporation (within the meaning of Section424(e) of the Code).
(yy) “Term” means the maximum period during which an Option or Stock Appreciation Right
may remain outstanding, subject to earlier termination upon Termination of Employment or otherwise, as
specified in the applicable Award Agreement.
(zz) “Termination of Employment" means, unless otherwise provided in the Award
Agreement, the termination of the applicable Participant's employment with, or performance of services for, the
Company and any of its Subsidiaries or Affiliates. Unless otherwise determined by the Committee, a Participant
employed by, or performing services for, a Subsidiary or an Affiliate or a division of the Company or its
Affiliates shall be deemed to incur a Termination of Employment if, as a result of a Disaffiliation, such
Subsidiary, Affiliate, or division ceases to be a Subsidiary, Affiliate or division, as the case may be, and the
Participant does not immediately become an employee of, or service provider for, the Company or another
Subsidiary or Affiliate. Temporary absences from employment because of illness, vacation, or leave of absence,
and transfers among the Company and its Subsidiaries and Affiliates, shall not be considered Terminations of
Employment. Notwithstanding the foregoing, with respect to any Award that constitutes “nonqualified deferred
compensation" within the meaning of Section409A of the Code, “Termination of Employment" shall mean a
“separation from service" as defined under Section409A of the Code.

Section 2. Administration .
2.1 Committee. The Plan shall be administered by the Committee or a duly designated Administrator,
as defined herein. The Committee shall, subject to Section11, have plenary authority to grant Awards to Eligible
Individuals pursuant to the terms of the Plan. Among other things, the Committee shall have the authority,
subject to the terms and conditions of the Plan:
(a) To select the Eligible Individuals to whom Awards may be granted;
(b) To determine whether and to what extent Options, Stock Appreciation Rights, Restricted
Stock, Restricted Stock Units, Other Stock-Based Awards, or Performance Awards, or any combination thereof,
are to be granted hereunder;
(c) To determine the number of Shares to be covered by each Award granted under the Plan;
(d) To determine the terms and conditions of each Award granted hereunder, based on such
factors as the Committee shall determine;
(e) Subject to Section12, to modify, amend, or adjust the terms and conditions of any Award;
(f) To adopt, alter, or repeal such administrative rules, guidelines, and practices governing the
Plan as the Committee shall from time to time deem advisable;
(g) To interpret the terms and provisions of the Plan and any Award issued under the Plan (and
any agreement relating thereto);
(h) Subject to Sections 11 and 12, to accelerate the vesting or lapse of restrictions of any
outstanding Award, based in each case on such considerations as the Committee in its sole discretion may
determine;
(i) To decide all other matters that must be determined in connection with an Award;
(j) To determine whether, to what extent, and under what circumstances cash, Shares, and other
property and other amounts payable with respect to an Award under this Plan shall be deferred either
automatically or at the election of the Participant; and
(k) To otherwise administer the Plan.
2.2 Committee Procedures; Board Authority. The Committee shall exercise its authority under the
Plan as follows:
(a) The Committee may act only with the assent of a majority of its members then in office,
except that the Committee may, except to the extent prohibited by applicable law or the listing standards of the
Applicable Exchange and subject to Section11.3, allocate all or any portion of its responsibilities and powers to
any one or more of its members and may delegate all or any part of its responsibilities and powers to any person
or persons selected by it (the “Administrator”). Notwithstanding the foregoing, the Committee may not so
delegate any responsibility or power to the extent that such delegation would cause a Qualified Performance-
Based Award hereunder not to qualify for the Section162(m) Exemption, or make any Award hereunder subject
to (and not exempt from) the short-swing recovery rules of Section16(b) of the Act. Without limiting the
generality of the foregoing, the Committee may not delegate its responsibilities and powers to grant, establish the
terms and conditions of, and otherwise administer Qualified Performance-Based Awards, nor its responsibilities
and powers to grant and establish the terms and conditions of Awards to Participants who are subject to
Section16(b) (as defined in Section11.4 below).
(b) Subject to Section11.3, any authority granted to the Committee may also be exercised by
the full Board. To the extent that any permitted action taken by the Board conflicts with action taken by the
Committee, the Board action shall control.
2.3 Discretion of Committee. Subject to Section1.2(i), any determination made by the Committee or
by the Administrator under the provisions of the Plan with respect to any Award shall be made in the sole
discretion of the Committee or the Administrator at the time of the grant of the Award or, unless in contravention
of any express term of the Plan, at any time thereafter. All decisions made by the Committee or the

Administrator shall be final and binding on all persons, including the Company, Participants, and Eligible
Individuals, and by accepting an Award under the Plan, each Participant acknowledges that all decisions of the
Committee shall be final and binding on the Participant, his or her beneficiaries and any other person having a
claim or an interest in the Award.
2.4 Award Agreements. Unless otherwise determined by the Committee, the terms and conditions of
each Award, as determined by the Committee, shall be set forth in a written Award Agreement. Award
Agreements may be amended only in accordance with Section12 hereof.
Section 3. Common Stock Subject to Plan .
3.1 Plan Maximums. Subject to adjustment as provided in Section3.4, (a)the maximum number of
Shares that may be issued pursuant to Awards under the Plan shall be the sum of (i)50,000,000 Shares, (ii)any
Shares which are available for grant as of August22, 2013 under the Company's 2008 Stock Award and
Incentive Plan and (iii)any Shares relating to Predecessor Plans which become available for grants under the Plan
pursuant to Section3.2; and (b)the maximum number of Shares that may be issued pursuant to Options intended
to be Incentive Stock Options shall be 50,000,000. Shares subject to an Award under the Plan may be authorized
and unissued Shares or may be treasury Shares.
3.2 Rules for Calculating Shares Issued. For purposes of the limits set forth in Section3.1 (but not for
purposes of the limits set forth in Section3.3), each Share that is subject to a Full-Value Award shall be counted
as 3.0 Shares. To the extent that any Award under this Plan or the Predecessor Plans is forfeited, or any Option
and related Tandem SAR or any Free-Standing SAR granted under this Plan or the Predecessor Plans terminates,
expires, or lapses without being exercised, or any Award is settled for cash, the Shares subject to such Awards
not delivered as a result thereof shall thereupon become available (in the case of Full-Value Awards, based upon
the share-counting ratio set forth in the first sentence of this Section3.2) for Awards under the Plan. In the event
that any Shares of Common Stock are withheld by the Company or previously acquired Shares are tendered
(either actually or by attestation) by a Participant to satisfy any tax withholding obligation with respect to an
Award other than an Option or SAR, then the Shares so tendered or withheld shall automatically again become
available for issuance under the Plan and correspondingly increase the total number of Shares available for
issuance under Section3.1 in accordance with the same ratio specified in this Section3.2. Notwithstanding
anything to the contrary in this Section3.2, the following Shares will not again become available for issuance
under the Plan: (a)any Shares which would have been issued upon any exercise of an Option but for the fact that
the exercise price was paid by a “net exercise" pursuant to Section5.8(c) or any previously acquired Shares
tendered (either actually or by attestation) by a Participant in payment of the exercise price of an Option; (b)any
Shares withheld by the Company or previously acquired Shares tendered (either actually or by attestation) by a
Participant to satisfy any tax withholding obligation with respect to an Option or SAR (but not other Awards);
(c)Shares covered by a SAR that are not issued in connection with the stock settlement of the SAR upon its
exercise; and (d)Shares that are repurchased by the Company using Option exercise proceeds. In addition, in the
case of any Substitute Award, Shares delivered or deliverable in connection with such Substitute Award shall
not be deemed granted or issued under the Plan for purposes of Sections 3.1 or 3.3.
3.3 Individual Limits. Subject to adjustment as provided in Section3.4, no Participant may be granted
(a)Options and Stock Appreciation Rights relating to more than 2,000,000 Shares under the Plan during any
fiscal year and (b)Awards other than Options or Stock Appreciation Rights relating to more than 2,000,000
Shares under the Plan during any fiscal year. In addition to the foregoing, the maximum dollar value that may be
paid to any Participant in Qualified Performance-Based Awards denominated in cash in any fiscal year shall be
$20,000,000 for the Company's Chief Executive Officer and $10,000,000 for each other Participant, including
any amounts earned during such fiscal year and deferred. If an Award is cancelled, the cancelled Award shall
continue to be counted towards the limitations set forth in this Section 3.3.
3.4 Adjustment Provision. The Committee shall have authority to make adjustments under the Plan as
provided below:
(a) In the event of a merger, consolidation, acquisition of property or shares, stock rights
offering, liquidation, separation, spinoff, Disaffiliation, extraordinary dividend of cash or other property, or
similar event affecting the Company or any of its Subsidiaries (a “Corporate Transaction"), the Committee, or
the Board shall make such substitutions or adjustments as it deems appropriate and equitable to (i)the aggregate
number and kind of Shares or other securities reserved for issuance and delivery under the Plan, (ii)the various
maximum share limitations set forth in Sections 3.1 and 3.3, (iii)the number and kind of Shares or other
securities subject to outstanding Awards, and (iv)the exercise price of outstanding Awards. Any fractional

Shares resulting from such adjustment shall be eliminated. Any adjustments determined by the Committee shall
be final, binding and conclusive.
(b) In the event of a stock dividend, stock split, reverse stock split, reorganization, share
combination, recapitalization, or similar event affecting the capital structure of the Company, the Committee or
the Board shall make such substitutions or adjustments as it deems appropriate and equitable to (i)the aggregate
number and kind of Shares or other securities reserved for issuance and delivery under the Plan, (ii)the various
share maximum limitations set forth in Sections 3.1 and 3.3, (iii)the number and kind of Shares or other
securities subject to outstanding Awards, and (iv)the exercise price of outstanding Awards, provided that in no
event shall the per Share exercise price of an Option or the subscription price payable per Share of an Award be
reduced to an amount that is lower than the nominal value of a Share. Any fractional Shares resulting from such
adjustment shall be eliminated. Any adjustments determined by the Committee shall be final, binding and
conclusive.
(c) In the case of Corporate Transactions, such adjustments may include, without limitation, (i)
the cancellation of outstanding Awards in exchange for payments of cash, property, or a combination thereof
having an aggregate value equal to the value (if any) of such Awards, as determined by the Committee or the
Board in its sole discretion (it being understood that, in the case of a Corporate Transaction with respect to which
shareholders of Common Stock receive consideration other than publicly traded equity securities of the
Surviving Corporation (as defined below in Section10.2), any such determination by the Committee that the
value of an Option or Stock Appreciation Right shall for this purpose be deemed to equal the excess, if any, of
the value of the consideration being paid for each Share pursuant to such Corporate Transaction over the exercise
price of such Option or Stock Appreciation Right shall conclusively be deemed valid), (ii)the substitution of
other property (including, without limitation, cash or other securities of the Company and securities of entities
other than the Company) for the Shares subject to outstanding Awards, and (iii)in connection with a
Disaffiliation, arranging for the assumption of Awards, or replacement of Awards with new awards based on
other property or other securities (including, without limitation, other securities of the Company and securities of
entities other than the Company), by the affected Subsidiary, Affiliate, or division of the Company or by the
entity that controls such Subsidiary, Affiliate, or division of the Company following such Corporate Transaction
(as well as any corresponding adjustments to Awards that remain based upon Company securities). For the
avoidance of doubt, if the Committee determines that, as of the date of the Corporate Transaction, the Award has
no value, then such Award may be terminated by the Company without payment.
(d) The Committee may, in its sole discretion, provide that one or more objectively
determinable adjustments shall be made to one or more of the Performance Goals. Such adjustments may
include, but are not limited to, one or more of the following: (i)items related to a change in accounting principle;
(ii)items relating to financing activities; (iii)expenses for restructuring or productivity initiatives; (iv)other non-
operating items; (v)items related to acquisitions; (vi)items attributable to the business operations of any entity
acquired by the Company during the Performance Period; (vii)items related to the disposal or sale of a business
or segment of a business; (viii)items related to discontinued operations that do not qualify as a segment of a
business under applicable accounting standards; (ix)items attributable to any stock dividend, stock split,
combination or exchange of stock occurring during the Performance Period; (x)any other items of significant
income or expense which are determined to be appropriate adjustments; (xi)items relating to unusual or
extraordinary corporate transactions, events or developments, (xii)items related to amortization of acquired
intangible assets; (xiii)items that are outside the scope of the Company's core, on-going business activities; (xiv)
items related to acquired in-process research and development; (xv)items relating to changes in tax laws; (xvi)
items relating to major licensing or partnership arrangements; (xvii)items relating to asset impairment charges;
(xviii)items relating to gains or losses for litigation, arbitration and contractual settlements; or (xix)items relating
to any other unusual or nonrecurring events or changes in applicable laws, accounting principles or business
conditions. For all Awards intended to qualify for the Section162(m) Exemption, such determinations shall be
made within the time prescribed by, and otherwise in compliance with, Section162(m) of the Code.
(e) Notwithstanding the foregoing: (a)any adjustments made pursuant to Section3.4 to Awards
that are considered “deferred compensation" within the meaning of Section409A of the Code shall be made in
compliance with the requirements of Section409A of the Code and (b)any adjustments made pursuant to
Section3.4 to Awards that are not considered “deferred compensation" subject to Section409A of the Code shall
be made in such a manner as to ensure that, after such adjustment, the Awards either (i)continue not to be subject
to Section409A of the Code, or (ii)comply with the requirements of Section409A of the Code.

4.1 Eligible Individuals; Incentive Stock Options. Awards may be granted under the Plan to Eligible
Individuals; provided, that Incentive Stock Options may be granted only to employees of the Company and its
Subsidiaries or parent corporation (within the meaning of Section424(f) of the Code).
Section 5. Options and Stock Appreciation Rights .
5.1 Types of Options. Options may be of two types: Incentive Stock Options and Nonqualified
Options. The Award Agreement for an Option shall indicate whether the Option is intended to be an Incentive
Stock Option or a Nonqualified Option; provided, that any Option that is designated as an Incentive Stock
Option but fails to meet the requirements therefor (as described in Section5.2 or otherwise), and any Option that
is not expressly designated as intended to be an Incentive Stock Option shall be treated as a Nonqualified Option.
5.2 Incentive Stock Option Limitations. To the extent that the aggregate Fair Market Value,
determined at the time of grant, of the Shares with respect to which Incentive Stock Options are exercisable for
the first time during any calendar year under the Plan or any other stock option plan of the Company, any
subsidiary corporation (within the meaning of Section424(f) of the Code), or parent corporation (within the
meaning of Section424(e) of the Code) exceeds $100,000, Options relating to such Shares in excess of the limit
shall be deemed Nonqualified Options. If an ISO Eligible Employee does not remain employed by the Company,
any subsidiary corporation (within the meaning of Section424(f) of the Code), or parent corporation (within the
meaning of Section424(e) of the Code) at all times from the time an Incentive Stock Option is granted until 3
months prior to the date of exercise thereof (or such other period as required by applicable law), such Option
shall be treated as a Nonqualified Stock Option. Should any provision of the Plan not be necessary in order for
any Options to qualify as Incentive Stock Options, or should any additional provisions be required, the
Committee may amend the Plan accordingly, without the necessity of obtaining the approval of the shareholders
of the Company.
5.3 Types and Nature of Stock Appreciation Rights. Stock Appreciation Rights may be “Tandem
SARs", which are granted in conjunction with an Option, or “Free-Standing SARs", which are not granted in
conjunction with an Option. Upon the exercise of a Stock Appreciation Right, the Participant shall be entitled to
receive an amount in cash, Shares, or both, in value equal to the product of (a)the excess of the Fair Market
Value of one Share over the exercise price of the applicable Stock Appreciation Right, multiplied by (b)the
number of Shares in respect of which the Stock Appreciation Right has been exercised. The applicable Award
Agreement shall specify whether such payment is to be made in cash or Common Stock or both, or shall reserve
to the Committee or the Participant the right to make that determination prior to or upon the exercise of the Stock
Appreciation Right.
5.4 Tandem SARs. A Tandem SAR may be granted at the Grant Date of the related Option. A
Tandem SAR shall be exercisable only at such time or times and to the extent that the related Option is
exercisable in accordance with the provisions of this Section5, and shall have the same exercise price as the
related Option. A Tandem SAR shall terminate or be forfeited upon the exercise or forfeiture of the related
Option, and the related Option shall terminate or be forfeited upon the exercise or forfeiture of the Tandem SAR.
5.5 Exercise Price. Except in respect of Replacement Awards or Substitute Awards, the exercise
price per Share subject to an Option or Free-Standing SAR shall be determined by the Committee and set forth in
the applicable Award Agreement, and shall not be less than the Fair Market Value of a share of the Common
Stock on the applicable Grant Date; provided, that if an Incentive Stock Option is granted to a Ten Percent
Shareholder, the exercise price shall be no less than 110% of the Fair Market Value of the Stock on the
applicable Grant Date.
5.6 Term. The Term of each Option and each Free-Standing SAR shall be fixed by the Committee,
but shall not exceed 10years from the Grant Date.
5.7 Vesting and Exercisability. Except as otherwise provided herein, Options and Free-Standing
SARs shall be exercisable at such time or times and subject to such terms and conditions as shall be determined
by the Committee. Subject to the terms of the Plan and the applicable Award Agreement, in no event shall the
vesting schedule of an Option or Free-Standing SAR provide that such Option or Free-Standing SAR vest prior
to the first anniversary of the Grant Date. The minimum vesting periods specified in the preceding sentence shall
not apply: (A)to Awards made in payment of earned performance-based Awards and other earned cash-based
incentive compensation; (B)upon a termination of employment due to death, disability or retirement; (C)upon a
Change of Control; (D)to a Substitute Award that does not reduce the vesting period of the award being

replaced; or (E)to Awards involving an aggregate number of shares of Common Stock not in excess of five
percent of the Shares available for grant as Options or Free-Standing SARs.
5.8 Method of Exercise. Subject to the provisions of this Section5, Options and Free-Standing SARs
may be exercised, in whole or in part, at any time during the applicable Term by giving written notice of exercise
to the Company specifying the number of Shares as to which the Option or Free-Standing SAR is being
exercised. In the case of the exercise of an Option, such notice shall be accompanied by payment in full of the
purchase price (which shall equal the product of such number of shares multiplied by the applicable exercise
price) and an amount equal to any federal, state, local or foreign withholding taxes. To the extent permitted by
law and if approved by the Committee (which approval may be set forth in the applicable Award Agreement or
otherwise), payment, in full or in part, may be made by certified or bank check or such other instrument or such
other method as the Company may accept, as follows:
(a) Payment may be made in the form of Shares (by delivery of such shares or by attestation) of
the same class as the Common Stock subject to the Option already owned by the Participant (based on the Fair
Market Value of the Common Stock on the date the Option is exercised); provided that, in the case of an
Incentive Stock Option, the right to make a payment in the form of already owned Shares of the same class as the
Common Stock subject to the Option may be authorized only at the time the Option is granted.
(b) To the extent permitted by applicable law, payment may be made by delivering a properly
executed exercise notice to the Company, together with a copy of irrevocable instructions to a broker to deliver
promptly to the Company the amount of sale or loan proceeds necessary to pay the purchase price, and the
amount of any federal, state, local, or foreign withholding taxes. To facilitate the foregoing, the Company may,
to the extent permitted by applicable law, enter into agreements for coordinated procedures with one or more
brokerage firms.
(c) Payment may be made by instructing the Company to withhold a number of Shares having a
Fair Market Value (based on the Fair Market Value of the Common Stock on the date the applicable Option is
exercised) equal to the product of (i)the exercise price multiplied by (ii)the number of Shares in respect of which
the Option shall have been exercised and an amount equal to any federal, state, local and/or foreign withholding
taxes.
5.9 Delivery; Rights of Shareholders. No Shares shall be delivered pursuant to the exercise of an
Option until the exercise price therefor has been fully paid and applicable taxes have been withheld. The
applicable Participant shall have all of the rights of a shareholder of the Company holding the class or series of
Common Stock that is subject to the Option or Stock Appreciation Right (including, if applicable, the right to
vote the applicable Shares and the right to receive dividends), when (a)the Company has received a written
notice from the Participant of exercise that complies with all procedures established under this Plan for effective
exercise, including, without limitation, completion and delivery of all required forms, (b)the Participant has, if
requested, given the representation described in Section15.1, and (c)in the case of an Option, the Participant has
paid in full for such Shares.
5.10 Nontransferability of Options and Stock Appreciation Rights. No Option or Free-Standing SAR
shall be transferable by a Participant other than, for no value or consideration, (a)by will or by the laws of
descent and distribution, or (b)in the case of a Nonqualified Option or Free-Standing SAR, as otherwise
expressly permitted by the Committee including, if so permitted, pursuant to a transfer to the Participant's family
members, whether directly or indirectly or by means of a trust or partnership or otherwise. For purposes of this
Plan, unless otherwise determined by the Committee, “family member" shall have the meaning given to such
term in General Instructions A.1(a)(5) to Form S-8 under the Securities Act of 1933, as amended, and any
successor thereto. A Tandem SAR shall be transferable only with the related Option and only to the extent the
Option is transferable pursuant to the preceding sentence. Any Option or Stock Appreciation Right shall be
exercisable, subject to the terms of this Plan, only by the applicable Participant, the guardian or legal
representative of such Participant, or any person to whom such Option or Stock Appreciation Right is
permissibly transferred pursuant to this Section5.10, it being understood that the term “Participant” includes such
guardian, legal representative and other transferee; provided , that the term “Termination of Employment" shall
continue to refer to the Termination of Employment of the original Participant.
5.11 No Dividend or Dividend Equivalents. No dividend or other distribution or award of dividend
equivalents may be granted with respect to any Option or SAR granted under this Plan.
5.12 No Repricing. Notwithstanding any other provision of this Plan other than Section3.4, the
Committee may not, without prior approval of the Company's stockholders, seek to effect any repricing of any

previously granted, “underwater” Option or SAR by: (i)amending or modifying the terms of the Option or SAR
to lower the exercise price; (ii)canceling the underwater Option or SAR and granting either replacement Options
or SARs having a lower exercise price; or other Awards or cash in exchange; or (iii)repurchasing the underwater
Options or SARs. For purposes of this Section5.12, an Option or SAR will be deemed to be “underwater” at any
time when the Fair Market Value of the Common Stock is less than the exercise price of the Option or SAR.
Section 6. Restricted Stock (Including Performance-Based Restricted Stock) .
6.1 Nature of Award; Certificates. Shares of Restricted Stock are actual Shares issued to a
Participant, and shall be evidenced in such manner as the Committee may deem appropriate, including book-
entry registration or issuance of one or more stock certificates or delivery to an account in the Participant's name
at a broker designated by the Company. “Performance-Based Restricted Stock" is an Award of Shares of
Restricted Stock, the vesting of which is subject to the attainment of Performance Goals. In the event that the
Committee grants Shares of Performance-Based Restricted Stock, the performance levels to be achieved for each
Performance Period and the amount of the Award to be distributed shall be conclusively determined by the
Committee. Any certificate issued in respect of Shares of Restricted Stock shall be registered in the name of the
applicable Participant and, in the case of Restricted Stock, shall bear an appropriate legend referring to the terms,
conditions, and restrictions applicable to such Award. The Committee may require that the certificates
evidencing such shares be held in custody by the Company until the restrictions thereon shall have lapsed and
that, as a condition of any Award of Restricted Stock, the applicable Participant shall have delivered a stock
power, endorsed in blank, relating to the Common Stock covered by such Award.
6.2 Terms and Conditions. Shares of Restricted Stock shall be subject to the following terms and
conditions:
(a) The Committee shall, prior to or at the time of grant, condition the vesting or transferability
of an Award of Restricted Stock upon the continued service of the applicable Participant or the attainment of
Performance Goals, or the attainment of Performance Goals and the continued service of the applicable
Participant. In the event that the Committee conditions the grant or vesting of an Award of Restricted Stock upon
the attainment of Performance Goals (or the attainment of Performance Goals and the continued service of the
applicable Participant), the Committee may, prior to or at the time of grant, designate such an Award as a
Qualified Performance-Based Award. The conditions for grant, vesting, or transferability and the other
provisions of Restricted Stock Awards (including without limitation any Performance Goals applicable to
Performance-Based Restricted Stock) need not be the same with respect to each Participant.
(b) Subject to the terms of the Plan and the applicable Award Agreement, any Award of
Restricted Stock shall be subject to a vesting period of at least three years following the date of grant, provided
that vesting during a period of at least one year following the date of grant is permissible if vesting is conditioned
upon the achievement of Performance Goals, and provided , further, that an Award may vest in part on a pro rata
basis (as specified in the applicable Award Agreement) prior to the expiration of any vesting period. The
minimum vesting periods specified in the preceding sentence shall not apply: (A)to Awards made in payment of
earned performance-based Awards and other earned cash-based incentive compensation; (B)upon a termination
of employment due to death, disability or retirement; (C)upon a Change of Control; (D)to a Substitute Award
that does not reduce the vesting period of the award being replaced; or (E)to Awards involving an aggregate
number of shares of Common Stock not in excess of five percent of Shares available for grant as Restricted
Stock (together with all other Shares available for grant as Full-Value Awards). Subject to the provisions of the
Plan and the applicable Award Agreement, during the Restriction Period, the Participant shall not be permitted to
sell, assign, transfer, pledge, or otherwise encumber Shares of Restricted Stock.
(c) If any applicable Performance Goals and/or continued service periods are satisfied and the
Restriction Period expires without a prior forfeiture of the Shares of Restricted Stock for which legended
certificates have been issued, either (i)unlegended certificates for such Shares shall be delivered to the
Participant upon surrender of the legended certificates, or (ii)such Shares shall be evidenced in such manner as
the Committee may deem appropriate, including book-entry registration or delivery to an account in the
Participant's name at a broker designated by the Company.
6.3 Rights of Shareholder. Except as provided in the applicable Award Agreement, the applicable
Participant shall have, with respect to Shares of Restricted Stock, all of the rights of a shareholder of the
Company holding the class or series of Common Stock that is the subject of the Restricted Stock, including, if
applicable, the right to vote the Shares and the right to receive any dividends and other distributions, provided,

however, that in no event shall a dividend or other distribution or dividend equivalent be paid on Performance-
Based Restricted Stock until all applicable Performance Goals have been attained and the Award has vested.
Section 7. Restricted Stock Units (Including Performance Units) .
7.1 Nature of Award. Restricted Stock Units are Awards denominated in Shares that will be settled,
subject to the terms and conditions of the applicable Award Agreement, (a)in cash, based upon the Fair Market
Value of a specified number of Shares, (b)in Shares, or (c)a combination thereof. “Performance Units" are
Restricted Stock Units, the vesting of which are subject to the attainment of Performance Goals. In the event that
the Committee grants Performance Units, the performance levels to be achieved for each Performance Period
and the amount of the Award to be distributed shall be conclusively determined by the Committee.
7.2 Terms and Conditions. Restricted Stock Units shall be subject to the following terms and
conditions:
(a) The Committee shall, prior to or at the time of grant, condition the grant, vesting, or
transferability of Restricted Stock Units upon the continued service of the applicable Participant or the attainment
of Performance Goals, or the attainment of Performance Goals and the continued service of the applicable
Participant. In the event that the Committee conditions the grant or vesting of Restricted Stock Units upon the
attainment of Performance Goals (or the attainment of Performance Goals and the continued service of the
applicable Participant), the Committee may, prior to or at the time of grant, designate such an Award as a
Qualified Performance-Based Award. The conditions for grant, vesting or transferability and the other provisions
of Restricted Stock Units (including without limitation any Performance Goals applicable to Performance Units)
need not be the same with respect to each Participant. An Award of Restricted Stock Units shall be settled as and
when the Restricted Stock Units vest or at a later time specified by the Committee or in accordance with an
election of the Participant, if the Committee so permits.
(b) Subject to the terms of the Plan and the applicable Award Agreement, any Restricted Stock
Units shall be subject to a vesting period of at least three years following the date of grant, provided that vesting
during a period of at least one year following the date of grant is permissible if vesting is conditioned upon the
achievement of Performance Goals, and provided , further, that Restricted Stock Units may vest in part on a pro
rata basis (as specified in the applicable Award Agreement) prior to the expiration of any vesting period. The
minimum vesting periods specified in the preceding sentence shall not apply: (A)to Awards made in payment of
earned performance-based Awards and other earned cash-based incentive compensation; (B)upon a termination
of employment due to death, disability or retirement; (C)upon a Change of Control; (D)to a Substitute Award
that does not reduce the vesting period of the award being replaced; or (E)to Awards involving an aggregate
number of shares of Common Stock not in excess of five percent of Shares available for grant as Restricted
Stock Units (together with all other Shares available for grant as Full-Value Awards).
(c) Subject to the provisions of the Plan and the applicable Award Agreement, during the
period, if any, set by the Committee, during the Restriction Period the Participant shall not be permitted to sell,
assign, transfer, pledge, or otherwise encumber Restricted Stock Units.
(d) The Award Agreement for Restricted Stock Units may specify whether, to what extent, and
on what terms and conditions the applicable Participant shall be entitled to receive current or deferred payments
of cash, Shares, or other property corresponding to the dividends payable on the Company's Stock (subject to
Section15.5 below), provided, however, that in no event shall a dividend or other distribution or dividend
equivalent be paid on a Performance Unit until all applicable Performance Goals have been attained and the
Award has vested.
Section 8. Other Stock-Based Awards (Including Other Stock-Based Performance Awards). Other Stock-
Based Awards may be granted under the Plan, provided that any Other Stock-Based Awards that are Awards of
Common Stock that are unrestricted shall only be granted in lieu of other compensation due and payable to the
Participant. “Other Stock-Based Performance Awards" are Other Stock-Based Awards, the vesting of which is
subject to the attainment of Performance Goals. In the event that the Committee grants Other Stock-Based
Performance Awards, the performance levels to be achieved for each Performance Period and the amount of the
Award to be distributed shall be conclusively determined by the Committee. Subject to the terms of the Plan and
the applicable Award Agreement, any Other Stock-Based Award that is a Full-Value Award (and is not an
Award of unrestricted stock) shall be subject to a vesting period of at least three years following the Grant Date;
provided that a vesting period of at least one year is permissible if vesting is conditioned upon the achievement
of Performance Goals, and provided , further, that any Other Stock-Based Award may vest in part on a pro rata
basis prior to the expiration of any vesting period. The minimum vesting periods specified in the preceding

Section 9. Performance Cash Awards . Performance Cash Awards may be issued under the Plan, for no
cash consideration or for such minimum consideration as may be required by applicable law, either alone or in
addition to other Awards. A “Performance Cash Award" is an Award entitling the recipient to payment of a cash
amount subject to the attainment of Performance Goals. The Committee may, in connection with the grant of a
Performance Cash Award, designate the Award as a Qualified Performance-Based Award. The conditions for
grant or vesting and the other provisions of a Performance Cash Award (including without limitation any
applicable Performance Goals) need not be the same with respect to each Participant. Performance Cash Awards
may be paid in cash, Shares, other property or any combination thereof, in the sole discretion of the Committee
as set forth in the applicable Award Agreement. The performance levels to be achieved for each Performance
Period and the amount of the Award to be distributed shall be conclusively determined by the Committee.
Section 10. Change of Control Provisions .
10.1 Impact of Event. Notwithstanding any other provision of this Plan to the contrary, the provisions
of this Section10 shall apply in the event of a Change of Control, unless otherwise provided in the applicable
Award Agreement.
(a) Upon a Change of Control, (i)all then-outstanding Options and SARs shall become fully
vested and exercisable, and any Full-Value Award (other than a Performance Award) shall vest in full, be free
of restrictions, and be deemed to be earned and immediately payable in an amount equal to the full value of such
Award, except in each case to the extent that another Award meeting the requirements of Section10.1(b) (any
award meeting the requirements of Section10.1(b), a “Replacement Award") is provided to the Participant
pursuant to Section3.4 to replace such Award (any award intended to be replaced by a Replacement Award, a
“Replaced Award"), and (ii)any Performance Award that is not replaced by a Replacement Award shall be
deemed to be earned and immediately payable in an amount equal to the full value of such Performance Award
(with all applicable Performance Goals deemed achieved at the greater of (x)the applicable target level and (y)
the level of achievement of the Performance Goals for the Award as determined by the Committee not later than
the date of the Change of Control, taking into account performance through the latest date preceding the Change
of Control as to which performance can, as a practical matter, be determined (but not later than the end of the
Performance Period)) multiplied by a fraction, the numerator of which is the number of days during the
applicable Performance Period before the date of the Change of Control, and the denominator of which is the
number of days in the applicable Performance Period; provided, however, that such fraction shall be equal to one
in the event that the applicable Performance Goals in respect of such Performance Award have been fully
achieved as of the date of such Change of Control.
(b) An Award shall meet the conditions of this Section10.1(b) (and hence qualify as a
Replacement Award) if: (i)it is of the same type as the Replaced Award; (ii)it has a Fair Market Value at least
equal to the value of the Replaced Award as of the date of the Change of Control; (iii)if the underlying Replaced
Award was an equity-based award, it relates, following the Change of Control, to publicly traded equity
securities of the Company or the Surviving Corporation or the ultimate parent company which results from the
Change of Control; and (iv)its other terms and conditions are not less favorable to the Participant than the terms
and conditions of the Replaced Award (including the provisions that would apply in the event of a subsequent
Change of Control) as of the date of the Change of Control. Without limiting the generality of the foregoing, a
Replacement Award may take the form of a continuation of the applicable Replaced Award if the requirements
of the preceding sentence are satisfied. The determination whether the conditions of this Section10.1(b) are
satisfied shall be made by the Committee, as constituted immediately before the Change of Control, in its sole
discretion.
(c) Upon a Termination of Employment of a Participant occurring in connection with or during
the two years following the date of a Change of Control, by the Company other than for Cause or by the
Participant for Good Reason, (i)all Replacement Awards held by such Participant shall vest in full, be free of
restrictions, and be deemed to be earned and immediately payable in an amount equal to the full value of such

Replacement Award, and (ii)all Options and SARs held by the Participant immediately before the Termination
of Employment that the Participant held as of the date of the Change of Control or that constitute Replacement
Awards shall remain exercisable until the earlier of (1)the third anniversary of the Change of Control and (2)the
expiration of the stated Term of such Option or SAR; provided, that if the applicable Award Agreement provides
for a longer period of exercisability, that provision shall control.
10.2 Definition of Change of Control. For purposes of the Plan, a “Change of Control" shall mean
any of the following events:
(a) Any individual, entity or group (within the meaning of Section13(d)(3) or 14(d)(2) of the
Act) (a “Person”) becomes the Beneficial Owner (within the meaning of Rule 13d-3 promulgated under the Act)
or 30% or more of either (i)the then-outstanding shares of Common Stock of the Company (the “Outstanding
Company Common Stock") or (ii)the combined voting power of the then-outstanding voting securities of the
Company entitled to vote generally in the election of directors (the “Outstanding Company Voting Securities");
provided that, for purposes of this subsection (a), the following acquisitions shall not constitute a Change of
Control: (1)an acquisition directly from the Company; (2)an acquisition by the Company or a Subsidiary; (3)an
acquisition by any employee benefit plan (or related trust) sponsored or maintained by the Company or any
Subsidiary; (4)any acquisition by an underwriter temporarily holding securities pursuant to an offering of such
securities or (5)an acquisition pursuant to a transaction that complies with Sections 10.2(c)(i), 10.2(c)(ii), and
10.2(c)(iii) below;
(b) Individuals who, on the Effective Date, constitute the Board (the “Incumbent Directors")
cease for any reason to constitute at least a majority of the Board; provided that any person becoming a director
subsequent to the Effective Date whose election, or nomination for election by the Company's shareholders, was
approved by a vote of at least a majority of the Incumbent Directors then on the Board (either by a specific vote
or by approval of the proxy statement of the Company in which such person is named as a nominee for director,
without written objection to such nomination) shall be considered an Incumbent Director; but excluding, for this
purpose, any such individual whose initial assumption of office occurs as a result of either an actual or threatened
election contest with respect to the election or removal of directors or other actual or threatened solicitation of
proxies or consents by or on behalf of any Person other than the Board; or
(c) The consummation of a reorganization, merger, statutory share exchange or consolidation
(or similar corporate transaction) involving the Company or a Subsidiary, the sale or other disposition of all or
substantially all of the Company's assets, or the acquisition of assets or stock of another entity (a “Business
Combination"), unless immediately following such Business Combination: (i)substantially all of the individuals
and entities who were Beneficial Owners, respectively, of the Outstanding Company Common Stock and the
Outstanding Company Voting Securities immediately prior to such Business Combination beneficially own,
directly or indirectly, more than 50% of, respectively, the then-outstanding shares of common stock and the total
voting power of (A)the corporation resulting from such Business Combination (the “Surviving Corporation") or
(B)if applicable, the ultimate parent corporation that directly or indirectly has beneficial ownership of 80% or
more of the voting securities eligible to elect directors of the Surviving Corporation (the “ Parent Corporation"),
in substantially the same proportion as their ownership, immediately prior to the Business Combination, of the
Outstanding Company Common Stock and the Outstanding Company Voting Securities, as the case may be, (ii)
no Person (other than any employee benefit plan (or related trust) sponsored or maintained by the Surviving
Corporation or the Parent Corporation), is or becomes the Beneficial Owner, directly or indirectly, of 30% or
more of the outstanding shares of common stock and the total voting power of the outstanding securities eligible
to elect directors of the Parent Corporation (or, if there is no Parent Corporation, the Surviving Corporation) and
(iii)at least a majority of the members of the Board of the Parent Corporation (or, if there is no Parent
Corporation, the Surviving Corporation) following the consummation of the Business Combination were
Incumbent Directors at the time of the Board's approval of the initial agreement providing for such Business
Combination; or
(d) Approval by the shareholders of the Company of a complete liquidation or dissolution of
the Company.
For the avoidance of doubt, any one or more of the above events may be effected pursuant to (A)a compromise
or arrangement sanctioned by the court under section 201 of the Companies Act 1963 of the Republic of Ireland
or (B)section 204 of the Companies Act 1963 of the Republic of Ireland.
10.3 Section409A of the Code. Notwithstanding the foregoing, if any Award is subject to
Section409A of the Code, (a)this Section10 shall be applicable only to the extent specifically provided in the

Award Agreement and as permitted pursuant to Section11.6; and (b)in respect of any Award subject to
Section409A of the Code, to the extent required to avoid an accelerated or additional tax under Section409A of
the Code, in no event shall a Change of Control be treated as having occurred if such event is not a “change in
control event" for purposes of Section409A of the Code.
Section 11. Qualified Performance-Based Awards; Performance Cash Awards .
11.1 Qualified Performance-Based Awards. The provisions of this Plan are intended to ensure that all
Options and Stock Appreciation Rights granted hereunder to any Participant who is or may be a “covered
employee" (within the meaning of Section162(m)(3) of the Code) in the tax year in which such Option or Stock
Appreciation Right is expected to be deductible to the Company qualify for the Section162(m) Exemption, and
all such Awards shall therefore be considered Qualified Performance-Based Awards and this Plan shall be
interpreted and operated consistent with that intention. When granting any Award other than an Option or Stock
Appreciation Right, the Committee may designate such Award as a Qualified Performance-Based Award, based
upon a determination that (a)the recipient is or may be a “covered employee" (within the meaning of Section162
(m)(3) of the Code) with respect to such Award, and (b)the Committee wishes such Award to qualify for the
Section162(m) Exemption, and the terms of any such Award (and of the grant thereof) shall be consistent with
such designation. Within 90 days after the commencement of a Performance Period or, if earlier, prior to the
expiration of 25% of a Performance Period, the Committee will designate one or more Performance Periods,
determine the Participants for the Performance Periods, and establish the Performance Goals for the Performance
Periods on terms consistent with Section 1.2(gg)(iii).
11.2 Performance Goals and Other Conditions . Each Qualified Performance-Based Award (other
than an Option or Stock Appreciation Right) shall be earned, vested, and/or payable (as applicable) upon the
achievement of one or more Performance Goals, together with the satisfaction of any other conditions, such as
continued employment, as the Committee may determine to be appropriate. Moreover, no Qualified
Performance-Based Award may be amended, nor may the Committee exercise any discretionary authority it may
otherwise have under this Plan with respect to a Qualified Performance-Based Award under this Plan, in any
manner that would cause the Qualified Performance-Based Award to cease to qualify for the Section162(m)
Exemption; provided , that (i)the Committee may provide, either in connection with the grant of the applicable
Award or by amendment thereafter, that achievement of such Performance Goals will be waived upon the death
or disability of the Participant (or under any other circumstance with respect to which the existence of such
possible waiver will not cause the Award to fail to qualify for the Section162(m) Exemption), and (ii)the
provisions of Section10 shall apply notwithstanding this Section11.2.
11.3 Limits on Board and Administrator Authority . Neither the full Board nor the Administrator shall
be permitted to exercise authority granted to the Committee to the extent that the grant or exercise of such
authority to or by the Board or the Administrator would cause an Award designated as a Qualified Performance-
Based Award not to qualify for, or to cease to qualify for, the Section162(m) Exemption.
11.4 Section16(b) . The provisions of this Plan are intended to ensure that no transaction under the
Plan is subject to (and not exempt from) the short-swing recovery rules of Section16(b) of the Act ("Section 16
(b)"). Accordingly, the composition of the Committee shall be subject to such limitations as the Board deems
appropriate to permit transactions pursuant to this Plan to be exempt (pursuant to Rule 16b-3 promulgated under
the Act) from Section16(b), and no delegation of authority by the Committee shall be permitted if such
delegation would cause any such transaction to be subject to (and not exempt from) Section16(b).
11.5 Awards Valid Notwithstanding Committee Composition . Notwithstanding any other provision
of the Plan to the contrary, if for any reason the appointed Committee does not meet the requirements of Rule
16b-3 or Section162(m) of the Code, such noncompliance with the requirements of Rule 16b-3 and Section162
(m) of the Code shall not affect the validity of Awards, grants, interpretations of the Plan, or other actions of the
Committee.
11.6 Section409A of the Code .
(a) It is the intention of the Company that no Award shall be “deferred compensation" subject
to Section409A of the Code, unless and to the extent that the Committee specifically determines otherwise as
provided in the immediately following sentence, and the Plan and the terms and conditions of all Awards shall be
interpreted accordingly. The terms and conditions governing any Awards that the Committee determines will be
subject to Section409A of the Code, including any rules for elective or mandatory deferral of the delivery of cash
or Shares pursuant thereto and any rules regarding treatment of such Awards in the event of a Change of Control,
shall be set forth in the applicable Award Agreement, and shall comply in all respects with Section409A of the

Code. In no event whatsoever shall the Company be liable for any additional tax, interest or penalty that may be
imposed on a Participant by Section409A of the Code or damages for failing to comply with Section409A of the
Code.
(b) The intent of the parties is that payments and benefits under this Plan comply with
Section409A of the Code, to the extent subject thereto, and accordingly, to the maximum extent permitted, this
Plan shall be interpreted and administered to be in compliance therewith. Notwithstanding anything contained
herein to the contrary, a Participant shall not be considered to have terminated employment with the Company
for purposes of any payments under the Plan which are subject to Section409A of the Code until the Participant
has incurred a “separation from service" from the Company within the meaning of Section409A of the Code.
Each amount to be paid or benefit to be provided under this Plan shall be construed as a separate identified
payment for purposes of Section409A of the Code. Without limiting the foregoing and notwithstanding anything
contained herein to the contrary, to the extent required in order to avoid an accelerated or additional tax under
Section409A of the Code, amounts that would otherwise be payable and benefits that would otherwise be
provided pursuant to this Plan during the six-month period immediately following a Participant's separation from
service shall instead be paid on the first business day after the date that is six months following the Participant's
separation from service (or, if earlier, the Participant's date of death). The Company makes no representation
that any or all of the payments described in this Plan will be exempt from or comply with Section409A of the
Code and makes no undertaking to preclude Section409A of the Code from applying to any such payment.
Section 12. Term, Amendment, and Termination .
12.1 Effectiveness. The Effective Date of the Plan is June20, 2013.
12.2 Termination. The Plan will terminate on the tenth anniversary of the Effective Date. Awards
outstanding as of such termination date shall not be affected or impaired by the termination of the Plan.
12.3 Amendment of Plan. The Board or the Committee may amend, alter, or discontinue the Plan, but
no amendment, alteration, or discontinuation shall be made which would materially impair the rights of any
Participant with respect to a previously granted Award without such Participant's consent, except such an
amendment made to comply with applicable law, including, without limitation, Section409A of the Code,
Section162(m) of the Code, Section422 of the Code, stock exchange rules or accounting rules. In addition, no
such amendment shall be made without the approval of the Company's shareholders to the extent that such
approval is required by applicable law or by the listing standards of the Applicable Exchange.
12.4 Amendment of Awards. Subject to Section5.12, the Committee may unilaterally amend the
terms of any Award theretofore granted; provided, however, that no such amendment shall cause a Qualified
Performance-Based Award to cease to qualify for the Section162(m) Exemption. Subject to the foregoing, the
amendment authority of the Committee shall include, without limitation, the authority to modify the number of
Shares or other terms and conditions of an Award; extend the term of an Award; accelerate the exercisability or
vesting or otherwise terminate any restrictions relating to an Award; accept the surrender of any outstanding
Award; and, to the extent not previously exercised or vested, authorize the grant of new Awards in substitution
for surrendered Awards; provided, however that (a)the amended or modified terms are permitted by the Plan as
then in effect; (b)any Participant adversely affected by such amended or modified terms shall have consented to
such amendment or modification unless such amendment is necessary to comply with applicable law, including,
without limitation, Section409A of the Code, Section162(m) of the Code, Section422 of the Code, stock
exchange rules or accounting rules; and (c)the authority to accelerate the exercisability or vesting or otherwise
terminate restrictions relating to an Award may be exercised only in connection with a Participant's death,
disability or retirement, in connection with a Change of Control, or to the extent such actions involve an
aggregate number of shares of Common Stock not in excess of 5% of the number of shares available for Awards.
Section 13. Forfeiture .
13.1 Forfeiture. Subject to applicable law, all Awards under this Plan shall be subject to forfeiture or
other penalties pursuant (a)to the Company's Incentive Compensation Forfeiture Policy, as amended from time
to time, and (b)such other forfeiture and/or penalty conditions and provisions as determined by the Committee
and set forth in the applicable Award Agreement.
13.2 Effect of Change of Control. Notwithstanding the foregoing provisions, unless otherwise
provided by the Committee in the applicable Award Agreement or required by applicable law, this Section13
shall not be applicable to any Participant following a Change of Control.

Section 14. Unfunded Status of Plan. Unfunded Status; Committee Authority. It is presently intended that
the Plan will constitute an “unfunded” plan for incentive and deferred compensation. The Committee may
authorize the creation of trusts or other arrangements to meet the obligations created under the Plan to deliver
Shares or make payments; provided , that unless the Committee otherwise determines, the existence of such
trusts or other arrangements is consistent with the “unfunded” status of the Plan.
Section 15. General Provisions .
15.1 Conditions for Issuance. The Committee may require each Participant purchasing or receiving
Shares pursuant to an Award to represent to and agree with the Company in writing that such person is acquiring
the Shares without a view to the distribution thereof. The certificates for such Shares may include any legend
which the Committee deems appropriate to reflect any restrictions on transfer. Notwithstanding any other
provision of the Plan or agreements made pursuant thereto, the Company shall not be required to issue or deliver
any certificate or certificates for Shares under the Plan prior to fulfillment of all of the following conditions: (a)
listing or approval for listing upon notice of issuance of such Shares on the Applicable Exchange, (b)any
registration or other qualification of such Shares of the Company under any state or federal law or regulation, or
the maintaining in effect of any such registration or other qualification which the Committee shall, in its absolute
discretion upon the advice of counsel, deem necessary or advisable, and (c)obtaining any other consent,
approval, or permit from any state or federal governmental agency which the Committee shall, in its absolute
discretion after receiving the advice of counsel, determine to be necessary or advisable.
15.2 Additional Compensation Arrangements. Nothing contained in the Plan shall prevent the
Company or any Subsidiary or Affiliate from adopting other or additional compensation arrangements for its
employees.
15.3 No Contract of Employment. The Plan shall not constitute a contract of employment, and
adoption of the Plan shall not confer upon any employee any right to continued employment, nor shall it interfere
in any way with the right of the Company or any Subsidiary or Affiliate to terminate the employment of any
employee at any time.
15.4 Required Taxes. No later than the date as of which an amount first becomes includible in the
gross income of a Participant for federal, state, local, or foreign income or employment or other tax purposes
with respect to any Award under the Plan, such Participant shall pay to the Company, or make arrangements
satisfactory to the Company regarding the payment of, any federal, state, local, or foreign taxes of any kind
required by law to be withheld with respect to such amount. Unless otherwise determined by the Company,
withholding obligations may be settled with Shares, including Shares that are part of the Award that gives rise to
the withholding requirement, having a Fair Market Value on the date of withholding equal to the minimum
amount (and not any greater amount) required to be withheld for tax purposes, all in accordance with such
procedures as the Committee establishes and to the extent permissible under applicable law. The obligations of
the Company under the Plan shall be conditioned on such payment or arrangements, and the Company and its
Affiliates shall, to the extent permitted by law, have the right to deduct any such taxes from any payment
otherwise due to such Participant. The Committee may establish such procedures as it deems appropriate,
including making irrevocable elections, for the settlement of withholding obligations with Common Stock.
15.5 Limit on Dividend Reinvestment and Dividend Equivalents. Reinvestment of dividends in
additional Restricted Stock Units to be settled in Shares, and the payment of Shares with respect to dividends to
Participants holding Awards of Restricted Stock Units, shall only be permissible if sufficient Shares are
available under Section3 for such reinvestment or payment (taking into account then outstanding Awards). In the
event that sufficient Shares are not available for such reinvestment or payment, such reinvestment or payment
shall be made in the form of a grant of Restricted Stock Units equal in number to the Restricted Stock Units or
Shares that would have been obtained by such payment or reinvestment, the terms of which Restricted Stock
Units shall provide for settlement in cash and for dividend equivalent reinvestment in further Restricted Stock
Units on the terms contemplated by this Section 15.5.
15.6 Written Materials; Electronic Documents. Electronic documents may be substituted for any
written materials required by the terms of the Plan, including, without limitation, Award Agreements.
15.7 Designation of Death Beneficiary. The Committee shall establish such procedures as it deems
appropriate for a Participant to designate a beneficiary to whom any amounts payable in the event of such
Participant's death are to be paid or by whom any rights of such Participant after such Participant's death may be
exercised. If no beneficiary designation is in effect for a Participant at the time or his or her death, any such
amounts shall be paid to, and any such rights may be exercised by, the estate of the Participant.

15.8 Subsidiary Employees. In the case of a grant of an Award to any employee of a Subsidiary of
the Company, the Company may, if the Committee so directs, issue or transfer the Shares, if any, covered by the
Award to the Subsidiary, for such lawful consideration as the Committee may specify, upon the condition or
understanding that the Subsidiary will transfer the Shares to the employee in accordance with the terms of the
Award specified by the Committee pursuant to the provisions of the Plan. All Shares underlying Awards that are
forfeited or canceled shall revert to the Company.
15.9 Governing Law. The Plan and all Awards made and actions taken thereunder shall be governed
by and construed in accordance with the laws of the State of Minnesota, without reference to principles of
conflict of laws.
15.10 Non-Transferability. Except as otherwise provided in Section5.10 or by the Committee,
Awards under the Plan are not transferable except by will or by laws of descent and distribution.
15.11 Foreign Employees and Foreign Law Considerations. The Committee may grant Awards to
Eligible Individuals who are foreign nationals, who are located outside the United States, who are United States
citizens or resident aliens on global assignments in foreign nations, who are not compensated from a payroll
maintained in the United States, or who are otherwise subject to (or could cause the Company to be subject to)
legal or regulatory provisions of countries or jurisdictions outside the United States, on such terms and
conditions different from those specified in the Plan as may, in the judgment of the Committee, be necessary or
desirable to foster and promote achievement of the purposes of the Plan, and, in furtherance of such purposes, the
Committee may make such modifications, amendments, procedures, or subplans as may be necessary or
advisable to comply with such legal or regulatory provisions.
15.12 No Rights to Awards; Non-Uniform Determinations. No Participant or Eligible Individual
shall have any claim to be granted any Award under the Plan. The Company, its Affiliates, or the Committee
shall not be obligated to treat Participants or Eligible Individuals uniformly, and determinations made under the
Plan may be made by the Committee selectively among Participants and/or Eligible Individuals, whether or not
such Participants and Eligible Individuals are similarly situated. Awards under a particular Section of the Plan
need not be uniform between and among Participants.
15.13 Relationship to Other Benefits. No payment under the Plan shall be taken into account in
determining any benefits under any pension, retirement, savings, profit sharing, group insurance, welfare, or
benefit plan of the Company or any Affiliate unless provided otherwise in such plan.
15.14 Expenses. The expenses of administering the Plan shall be borne by the Company and its
Subsidiaries or Affiliates.
15.15 Titles and Headings. The titles and headings of the Sections in the Plan are for convenience of
reference only, and in the event of any conflict, the text of the Plan, rather than such titles or headings, shall
control.
15.16 Fractional Shares. No fractional Shares shall be issued under the Plan.
15.17 Government and Other Regulations .
Notwithstanding any other provision of the Plan:
(a) No Participant who acquires Shares pursuant to the Plan may, during any period of time that
such Participant is an affiliate of the Company (within the meaning of regulations promulgated pursuant to the
Securities Act of 1933 (the “1933 Act")), offer or sell such Shares, unless such offer and sale are made (i)
pursuant to an effective registration statement under the 1933 Act, which is current and includes the Shares to be
sold, or (ii)pursuant to an appropriate exemption from the registration requirements of the 1933 Act, such as that
set forth in Rule 144 promulgated under the 1933 Act.
(b) If at any time the Committee shall determine that the registration, listing, or qualification of
the Shares covered by an Award upon the Applicable Exchange or under any foreign, federal, state, or local law
or practice, or the consent or approval of any governmental regulatory body, is necessary or desirable as a
condition of, or in connection with, the granting of such Award or the purchase or receipt of Shares thereunder,
no Shares may be purchased, delivered, or received pursuant to such Award unless and until such registration,
listing, qualification, consent, or approval shall have been effected or obtained free of any condition not

acceptable to the Committee. Any Participant receiving or purchasing Shares pursuant to an Award shall make
such representations and agreements and furnish such information as the Committee may request to assure
compliance with the foregoing or any other applicable legal requirements. The Company shall not be required to
issue or deliver any certificate or certificates for Shares under the Plan prior to the Committee's determination
that all related requirements have been fulfilled. The Company shall in no event be obligated to register any
Shares or any other securities pursuant to the 1933 Act or applicable state or foreign law or to take any other
action in order to cause the issuance and delivery of such certificates to comply with any such law, regulation, or
requirement.
15.18 Additional Provisions. Each Award Agreement may contain such other terms and conditions as
the Committee may determine; provided that such other terms and conditions are not inconsistent with the
provisions of the Plan.
15.19 No Limitations on Rights of the Company. The grant of any Award shall not in any way affect
the right or power of the Company to make adjustments, reclassifications, or changes in its capital or business
structure or to merge, consolidate, dissolve, liquidate, sell, or transfer all or any part of its business or assets. The
Plan shall not restrict the authority of the Company, for proper corporate purposes, to draft, grant, or assume
Awards, other than under the Plan, with respect to any person.
15.20 Severability. In the event any provision of the Plan shall be held illegal or invalid for any
reason, such illegality or invalidity shall not affect the remaining parts of the Plan, and the Plan shall be
construed and enforced as if the illegal or invalid provision had not been included.
15.21 Blackout Periods. Notwithstanding any other provision of this Plan or any Award to the
contrary, the Company shall have the authority to establish any “blackout” period that the Company deems
necessary or advisable with respect to any or all Awards.
15.22 Irish Conditions for Issuance. Notwithstanding any other provision of this Plan, (a)the
Company shall not be obliged to issue any Shares pursuant to an Award unless at least the par (nominal) value of
such newly issued Share has been fully paid in advance in accordance with applicable law (which requirement
may mean the holder of an Award is obliged to make such payment) and (b)the Company shall not obliged to
issue or deliver any Shares in satisfaction of Awards until all legal and regulatory requirements associated with
such issue or delivery have been complied with to the satisfaction of the Committee.

1.オプション
アイルランド籍の株式有限責任公開会社であるメドトロニック・パブリック・リミテッド・カンパニー
(以下「当社」という。)は、上記の付与日において、上記の者である貴殿に対して、本税制不適格ストッ
ク・オプション契約(以下「本契約」という。)およびメドトロニック・パブリック・リミテッド・カンパ
ニー修正改訂済2013年株式報酬およびインセンティブ制度(以下「本制度」という。)に定められた条件に
従って、上記の数の1株当たり額面金額が0.0001米ドルの当社普通株式(以下「普通株式」という。)を上
記の1株当たりオプション価格で購入するオプション(以下「本オプション」という。)をここに付与す
る。本契約と本制度の条項が一致しない場合には、本制度の条項が優先するものとする。本契約に定義され
ていない用語は、本制度における意味を有するものとする。
2.オプションの行使
本オプションの行使は、以下の条件および制限に服する。
a.失効
本オプションは、(ⅰ)上記の失効日または(ⅱ)下記2.(c)、(d)または(e)に定められた貴殿の雇用
の終了後の一定期間の満了日のいずれか早い方の日まで、随時、一括してまたはその一部のみを行使す
ることができる。
b.行使可能性の予定
ⅰ.下記2.(b)(ⅱ)に記載の実績目標の達成および貴殿の雇用の継続に従い(下記2.(c)により定め
がある場合を除く。)、本オプションは、2018年6月29日(以下「権利確定日」という。)に、
それぞれ上記の普通株式数の100パーセントが確定し、行使可能となるものとする。
ⅱ.本オプションが確定し、行使可能となるためには、当社の2016事業年度の初日に開始し、2018事
業年度の最終日に終了する3年間に係る当社の1株当たり現金利益成長率(以下「現金EPS成長

c.権利確定日前に雇用が終了した場合
ⅰ.貴殿の死亡または身体障害の場合は、いずれの場合においても、本オプションは引き続き発行済
のものとし、上記2.(b)に従って権利確定日前に確定条件を満たすものとする。
ⅱ.貴殿の雇用の終了が、正当な理由により貴殿により、または事象以外を理由として当社もしくは
当社の関連会社のうち1社により2015年4月25日以降に行われた場合には、いずれの場合において
も、本オプションの比例配分部分は引き続き発行済のものとし、上記2.(b)に従って権利確定日
前に確定条件を満たすものとする。本オプションの比例配分は、付与日から貴殿の雇用終了日ま
での日数を分子とし、付与日から権利確定日までの日数を分母とする分数を使用して算出され
る。本オプションのうち、本2.(c)(ⅱ)に従って確定条件を満たさない部分は、貴殿の雇用の終
了日をもって失効する。
ⅲ.2017年4月29日から2018年4月27日までの期間において貴殿が退職した場合には、本オプションの
50パーセントに相当する部分は、引き続き発行済のものとし、上記2.(b)に従って確定条件を満
たすものとする。2018年4月28日以降に貴殿が退職した場合には、本オプションの100パーセント
を引き続き発行済のものとし、上記2.(b)に従って確定条件を満たすものとする。本オプション
のうち、本2.(c)(ⅲ)に従って確定条件を満たさない部分は、貴殿の雇用の終了日をもって失効
する。
ⅳ.貴殿もしくは貴殿の承継人(場合に応じて)は、本2.(c)に従い算出された本オプションの確定
部分(もしあれば)について、下記2.(g)に従い、(ⅰ)貴殿の死亡、身体障害または退職の場合
は、権利確定日より5年間、または(ⅱ)貴殿の雇用の終了が、正当な理由により貴殿により、ま
たは事象以外を理由として当社もしくは当社の関連会社のうち1社により2015年4月25日以降に行
われた場合には、権利確定日より90日間、随時行使することができる。
本契約において、(ⅰ)「承継人」とは、貴殿の財産の遺産管理人、または遺贈、相続もしくは(本制
度第15.7節に定められた)受益者による有効な指定によって本オプションの行使権を取得する者を意
味し、(ⅱ)「身体障害」および「退職」とは、内国歳入法第401条により認可されている当社のあら
ゆる退職制度における意味(現在のところ、当社または1社以上の関連会社に10年以上勤務した55歳
以上の従業員の退職もしくは62歳以上の従業員の退職を規定している。)、合衆国外の関連会社によ
る雇用もしくは合衆国外での雇用を原因として貴殿に適用される当社もしくはその関連会社の身体障
害もしくは退職の制度における意味またはその他当委員会によって決定される意味を有するものとす
る。
d.権利確定日後に雇用が終了した場合
ⅰ.貴殿または貴殿の承継人(場合に応じて)は、本オプションのうち確定しておりかつ未行使であ
る部分について、権利確定日後における貴殿の死亡、身体障害または退職の場合には、下記2.

(g)に従い、貴殿の身体障害認証の日もしくはかかる雇用の終了日より5年間随時行使すること
ができる。
ⅱ.貴殿または貴殿の承継人(場合に応じて)は、本オプションのうち確定しておりかつ未行使であ
る部分について、権利確定日後に貴殿の雇用の終了が正当な理由により貴殿により、または事象
以外を理由として当社もしくは当社の関連会社のうち1社により行われた場合には、下記2.(g)
に従い、貴殿の雇用の終了日より90日間随時行使することができる。
e.その他の理由による終了
貴殿が2.(c)以外の理由により雇用の終了をした場合には、本オプションの未確定部分は、貴殿の雇
用の終了日における中部標準時間の午後11時(東部標準時間の午前零時)をもって失効するものとす
る。貴殿は、貴殿の雇用の終了日において確定しており、かつ未行使である本オプションの一部を、下
記2.(g)に従い、貴殿の雇用の終了日から90日間行使することができる。貴殿の雇用の終了日から90日
後の中部標準時間の午後11時(東部標準時間の午前零時)をもって、本オプションは失効する。
f.支配権の変動
本契約における他の規定にかかわらず、本オプションは、本制度第10.1節の規定に従うものとする。
g.期限の失効
上記(a)ないし(f)にかかわらず、失効日より後に、本オプションを行使することはできないものと
する。
3.行使方法
貴殿に付与された本オプションを行使するためには、貴殿は、貴殿による行使時に本制度の事務管理に関
連したサービスを提供するために当社が指定する運営者(以下「運営者」という。)に対して行使通知(以
下「本通知」という。)を送付しなければならない。本通知は運営者が指定する方法によりなされるものと
し、本通知には本オプションの行使の対象となる普通株式(以下「本株式」という。)の数を記載し、か
つ、本通知に添えて本株式の購入価格の支払を行わなければならない。購入価格の支払は、現金または小切
手により行われるものとする。購入価格の支払は、適用ある法律の許容する範囲内で、(ⅰ)行使価格に、
(ⅱ)行使される本オプションの対象となる本株式の数を乗じた積に相当する公正市場価格(当該本オプショ
ンの行使日における普通株式の公正市場価格に基づく。)を有する本株式の数を差引くよう当社に指示する
ことによっても行うことができる。
行使は、(ⅰ)本通知および本オプションの行使の対象となる本株式の購入価格を運営者が受領した日、ま
たは(ⅱ)貴殿が、本オプションを行使するのと同時に、購入価格の支払に売却手取金を充当するため本株式
を売却した日のいずれか早い方の日になされたものとみなされる。
4.源泉徴収税
貴殿は、本オプションの行使に伴い源泉徴収されなければならない連邦、州、地方その他の租税を支払う
責任があり、貴殿はかかる租税を当社に直ちに支払わなければならない。当社およびその子会社は、本オプ
ションの行使に伴い生じる所得に関する、社会保障税およびメディケア税(連邦保険寄与法)ならびに連
邦、州および地方の所得税を含め、本株式に関して源泉徴収する必要のある租税を貴殿に対する支払から控
除する権限がある。当社は、本オプションの行使に伴い本株式が発行される以前に、かかる租税の支払を請
求する権利を有するものとする。現金による支払のすべてまたは一部に代えて、貴殿は、適用ある法律の許
容する範囲内で、本オプションの行使に関する源泉徴収税のすべてまたは一部の支払に本オプションの行使
に関する源泉徴収税の算出と同様の方法により評価された本オプションの行使により発行されうる本株式そ
の他を充当するために、本オプションの行使により発行されうる本株式その他の一部を当社に差引かせるこ
とを選択することができる。かかる租税の源泉徴収に関して生じた本株式の端株は直近の本株式1株に切り
上げられるものとし、かかる切り上げ分は貴殿の源泉徴収額に加算される。
5.没 収
貴殿が、貴殿の雇用の終了日の6ヶ月前から貴殿の雇用の終了日の12ヶ月後までの間に本契約に従ってな
される支払を現金、普通株式の交付、もしくはこれらの組み合わせによって受領した場合または受領する権
利を付与された場合、当社は、その単独の裁量により、貴殿が以下の行為に従事した場合には、本オプショ
ンに関して受領したまたは受領し得る現金または普通株式(または本オプションの行使日付で同等の経済的
価値を持つもの)を返還または没収することを貴殿に要求することができる。
a. 貴殿の雇用の終了日から6ヶ月以内における、当社またはその関連会社の競合他社に対するサービス
の提供。
b. 当社またはその関連会社の重要な機密情報の無許可による公開。
c. 適用される商業道徳規定もしくは当社またはその関連会社の経営方針に対する違反行為。
d. 当委員会によって決定されたその他の出来事。
当社の没収要求権は、当社がかかる行為の事実を知ったときから90日より前に行使されなければならず、
いかなる場合も貴殿の雇用の終了後12ヶ月を超えずに行使されなければならない。かかる権利は、当社のか
かる行使の通知が、当社の住所録に掲載された貴殿の最新の住所へ書面によって送付されたことにより、行
使されたとみなされるものとする。かかる没収の要求に加えて、当社は、本第5項に規定された権利を、本
オプションに基づく一切の権利行使の阻止もしくは打ち切りまたはかかる本株式もしくは現金の取得により
行使することができる。
貴殿が、当社により要求された現金または本株式の没収を怠るかまたは拒否した場合(本制度第3.4節に
記載の事由が生じた場合、普通株式の数は調整される)、貴殿は、当社に対して、要求された本株式の数に

貴殿の雇用の終了日から当社に対する判決または仲裁判断が下される日までの期間中で最も高い普通株式の
終値を乗じたものに、本項の執行のために当社が負担したすべての費用および弁護士報酬を含めたものと同
等 の損害賠償責任を負うものとする。
本第5項の目的において、普通株式の没収は、当社の定款の規定に従ったかかる普通株式の償還により、
かつ適用ある法律の許容する範囲内で有効になるものとする。
上記にかかわらず、本第5項は、支配権の変動後、適用されないものとし、また当社のインセンティブ報
酬没収方針も、支配権の変動後、本オプションまたは本オプションに係る手取金に適用されないものとす
る。
6.株式限定株式評価益受益権への転換
付与日以降随時、当社は、本オプションを株式限定株式評価益受益権へ転換することができる。株式限定
株式評価益受益権の行使に際して、貴殿は、(1)行使日付の本株式の公正市場価格が(2)1株当たりのオプ
ション価格を本株式の数で乗じたものを超過する額と同額の価値を有する普通株式を受領するものとする。
7.同 意
貴殿による本オプションおよび本契約の受領は、貴殿の本契約および本制度の要項への同意を意味する。

NON-QUALIFIED STOCK OPTION AGREEMENT
MEDTRONIC plc AMENDED AND RESTATED 2013 STOCK AWARD AND INCENTIVE PLAN
1. The Option . Medtronic plc, an Irish public limited company (the “Company”), hereby grants to you, the
individual named above, as of the above Grant Date, an option (the “Option”) to purchase the above
number of ordinary shares of the Company, par value $0.0001 per share (the “Common Stock"), for the
above Option Price Per Share, on the terms and conditions set forth in this Non-Qualified Stock Option
Agreement (this “Agreement”) and in the Medtronic plc Amended and Restated 2013 Stock Award and
Incentive Plan (the “Plan”). In the event of any inconsistency between the terms of the Agreement and
the Plan, the terms of the Plan shall govern. Capitalized terms not defined in this Agreement shall have
the meanings ascribed to them in the Plan.
2. Exercise of Option . The exercise of the Option is subject to the following conditions and restrictions:
a. Expiration . Upon vesting of the Option, the Option may be exercised in whole or in
part until the earlier of (i) the above Expiration Date, or (ii) the expiration of the
applicable period following your Termination of Employment, as provided in
Sections 2(c), (d) or (e) below.
b. Schedule of Exercisability .
i. Subject to the achievement of the performance target set forth in Section 2
(b)(ii) below and, except as provided in Section 2(c), subject to your
continued employment, the Option shall become vested and exercisable to
the extent of 100% of the above number of shares of Common Stock on
June 29, 2018 (the “Vesting Date").
ii. In order for the Option to vest and become exercisable, the Company's
cash Earnings Per Share Growth Rate for the three year period beginning
on the first day of the Company's 2016 fiscal year and ending on the last
day of the Company's 2018 fiscal year ("Cash EPS Growth Rate") must
equal or exceed a 3% compound annualized growth rate. The
Compensation Committee of the Board of Directors may amend the Cash
EPS Growth Rate no later than its June 2015 meeting; provided, however,
in no case will it be less than a 3% compound annualized growth rate. Any
portion of the Option that does not vest in accordance with this Section 2
(b)(ii) will terminate on the date the Cash EPS Growth Rate is determined
for purposes of this Agreement.
c. Qualifying Termination Prior to the Vesting Date .
i. In the event of your death or Disability, in either case prior to the Vesting
Date, the Option shall remain outstanding and shall be eligible to vest in
accordance with Section 2(b) above.
ii. In the event of a termination of your employment, on or following April
25, 2015, by you for Good Reason or by the Company or one of its
Affiliates other than for Cause, in either case prior to the Vesting Date, a
pro rata portion of the Option shall remain outstanding and such portion
shall be eligible to vest in accordance with Section 2(b) above. The pro-
ration of the Option will be calculated using a fraction, the numerator of
which is the number of days from the Grant Date through the date of your
Termination of Employment, and the denominator of which is the number
of days from the Grant Date through the Vesting Date. Any portion of the
Option that does not remain eligible to vest pursuant to this Section 2(c)(ii)
will terminate on the date of your Termination of Employment.
iii. In the event of your Retirement during the period beginning April 29,
2017 through (and including) April 27, 2018, a portion equal to fifty
percent (50%) of the Option shall remain outstanding and such portion

shall be eligible to vest in accordance with Section 2(b) above. In the event
of your Retirement on or following April 28, 2018, one hundred percent
(100%) of the Option shall remain outstanding and such portion shall be
eligible to vest in accordance with Section 2(b) above. Any portion of the
Option that does not remain eligible to vest pursuant to this Section 2(c)
(iii) will terminate on the date of your Termination of Employment.
iv. The vested portion of the Option, if any, as calculated in accordance with
this Section 2(c), may be exercised by you or your Successor (as
applicable) at any time, or from time to time, subject to Section 2(g)
below, (i) within five years after the Vesting Date in the event of your
death, Disability or Retirement or (ii) within ninety days following the
Vesting Date in the event of a termination of your employment, on or
following April 25, 2015, by you for Good Reason or by the Company or
one of its Affiliates other than for Cause.
For purposes of this Agreement, (i) the term “Successor” shall mean the legal
representative of your estate or the person or persons who may, by bequest,
inheritance or valid beneficiary designation (as provided in Section 15.7 of the
Plan), acquire the right to exercise the Option and (ii) the terms “Disability” and
“Retirement” shall have the meanings ascribed to those terms under any retirement
plan of the Company which is qualified under Section 401 of the Code (which
currently provides for retirement on or after age 55, provided you have been
employed by the Company and/or one or more Affiliates for at least ten years, or
retirement on or after age 62), or under any disability or retirement plan of the
Company or any Affiliate applicable to you due to employment by a non-U.S.
Affiliate or employment in a non-U.S. location, or as otherwise determined by the
Committee.
d. Qualifying Termination Following the Vesting Date .
i. In the event of your death, Disability or Retirement, in each case following
the Vesting Date, the Option, to the extent vested and unexercised, may be
exercised by you or your Successor (as applicable) at any time, or from
time to time, within five years after the date of the determination of your
Disability or the date of such Termination of Employment, subject to
Section 2(g) below.
ii. In the event of the termination of your employment by you for Good
Reason or by the Company or one of its Affiliates other than for Cause, in
either case following the Vesting Date, the Option, to the extent vested
and unexercised, may be exercised by you or your Successor (as
applicable) at any time, or from time to time, within ninety days after the
date of such Termination of Employment, subject to Section 2(g) below.
e. Termination for Any Other Reason . In the event you incur a Termination of
Employment for any reason other than those specified in Section 2(c), any unvested
portion of the Option will terminate as of 11:00 p.m. CT (midnight ET) on the date
of your Termination of Employment. You may exercise that portion of the Option
that was vested but unexercised as of the date of your Termination of Employment
for ninety (90) days following the date of your Termination of Employment, subject
to Section 2(g) below. At 11:00 p.m. CT (midnight ET) on the date that is ninety
(90) days after the date of your Termination of Employment, the Option will expire.
f. Change of Control . Notwithstanding any other provision of this Agreement, the
Option shall be subject to the provisions of Section 10.1 of the Plan.
g. Expiration of Term . Notwithstanding the foregoing paragraphs (a) − (f), in no event
shall the Option be exercisable after the Expiration Date.

3. Manner of Exercise . To exercise your Option, you must deliver notice of exercise (the “Notice”) to the
administrator (the “Administrator”) designated by the Company to provide services relating to the
administration of the Plan at the time of your exercise. The Notice must be given in the manner
specified by the Administrator and must specify the number of shares of Common Stock (the “Shares”)
as to which the Option is being exercised and must be accompanied by payment of the purchase price
for the Shares. Payment of the purchase price may be in cash or by check. To the extent permissible
under applicable law, payment of the purchase price may also be made by instructing the Company to
withhold a number of Shares having a Fair Market Value (based on the Fair Market Value of the
Common Stock on the date the applicable Option is exercised) equal to the product of (i) the exercise
price multiplied by (ii) the number of Shares in respect of which the Option shall have been exercised.
Exercise shall be deemed to occur on the earlier of (i) the date the Notice and the purchase price for the
Shares as to which the Option is being exercised are received by the Administrator and (ii) the date you
simultaneously exercise the Option and sell the Shares, using the proceeds from such sale to pay the
purchase price.
4. Withhold Taxes . You are responsible for payment of any federal, state, local or other taxes which must
be withheld upon the exercise of the Option, and you must promptly pay to the Company any such
taxes. The Company and its subsidiaries are authorized to deduct from any payment owed to you any
taxes required to be withheld with respect to the Shares, including social security and Medicare (FICA)
taxes and federal, state and local income tax with respect to income arising from the exercise of the
Option. The Company shall have the right to require the payment of any such taxes before issuing any
Shares pursuant to an exercise of the Option. In lieu of all or any part of a cash payment, to the extent
permissible under applicable law, you may elect to have a portion of the Shares otherwise issuable
upon exercise of the Option withheld by the Company to satisfy all or part of the withholding tax
requirements relating to the Option exercise with such Shares valued in the same manner as used in
computing such withholding taxes. Any fractional Share amount due relating to such tax withholding
will be rounded up to the nearest whole Share and the additional amount will be added to your federal
withholding.
5. Forfeitures . If you have received or been entitled to receive payment in cash, delivery of Common
Stock or a combination thereof pursuant to this Agreement within the period beginning six months prior
to the date of your Termination of Employment and ending twelve months following the date of your
Termination of Employment, the Company, in its sole discretion, may require you to return or forfeit
the cash and/or Common Stock received or receivable with respect to this Option (or its economic
value as of the date of the exercise of the Option), in the event that you engage in any of the following
activities:
a. performing services for or on behalf of any competitor of, or competing with, the
Company or any Affiliate, within six months of the date of your Termination of
Employment;
b. unauthorized disclosure of material proprietary information of the Company or any
Affiliate;
c. a violation of applicable business ethics policies or business policies of the Company
or any Affiliate; or
d. any other occurrence determined by the Committee.
The Company's right to require forfeiture must be exercised not later than 90 days after the Company
acquires actual knowledge of such an activity, but in no event later than twelve months after your
Termination of Employment. Such right shall be deemed to be exercised upon the Company's mailing
written notice of such exercise to your most recent home address as shown on the personnel records of
the Company. In addition to requiring forfeiture as described herein, the Company may exercise its
rights under this Section 5 by preventing or terminating the exercise of any rights under this Option or
the acquisition of Shares or cash thereunder.
If you fail or refuse to forfeit the cash and/or Shares demanded by the Company (the number of such
shares of Common Stock as may be adjusted for any events described in Section 3.4 of the Plan), you
shall be liable to the Company for damages equal to the number of Shares demanded times the highest

closing price per share of the Common Stock during the period between the date of your Termination
of Employment and the date of any judgment or award to the Company, together with all costs and
attorneys ’ fees incurred by the Company to enforce this provision.
For purposes of this Section 5, forfeiture of Common Stock shall be effected by the redemption of such
Common Stock in accordance with the Articles of Association of the Company and to the extent
permissible under applicable law.
Notwithstanding the foregoing, this Section 5 shall have no application following a Change of Control,
nor shall the Company's Incentive Compensation Forfeiture Policy apply following a Change of
Control to this Option or to any proceeds in respect of this Option.
6. Conversion to Stock Settled Appreciation Rights . At any time following the Grant Date, the Company
may convert this Option to a stock-settled Stock Appreciation Right. Upon exercise of a stock-settled
Stock Appreciation Right, you shall receive shares of Common Stock with a value equal to the excess
of (1) the Fair Market Value of the Shares on the date of exercise over (2) the Option Price Per Share
multiplied by the number of Shares.
7. Agreement . Your receipt of the Option and this Agreement constitutes your agreement to be bound by
the terms and conditions of this Agreement and the Plan.

1【提出理由】
当社は、当社の発行する新株予約権証券の本邦以外の地域における募集について、金融商品取引法第24条の
5第4項および第15項ならびに企業内容等の開示に関する内閣府令第19条第1項および第2項第1号の規定に基づ
き、以下のとおり本外国会社臨時報告書を提出する。
本募集は、当社および当社の子会社の一定の従業員 ( 以下「適格従業員」という。)に対して当社の修正改
訂済2013年株式報酬およびインセンティブ制度(以下「本制度」という。)に従って付与される当社の記名式
額面普通株式を取得する新株予約権(以下「オプション」という。)に関するものである。本募集は、2017年
6月23日付の当社取締役会による決議による授権に基づく、2019年7月29日に発効した当社社内株式委員会の書
面決議に従って行われるものである。

定することができる。優先株式は、取締役会が決定する方法により、配当、清算時の権利または議
決権行使に係る権利に関して優先することができる。また、優先株式は、当該優先株式の保有者ま
たは当社の選択により償還が可能であり、かかる優先株式の条件に応じて、当社の 他のクラスの株
式に転換または交換することができる。
